5、le's r即ublic of china", and those of united states government and washington state, conforming to free and au pair principle, by way of friendly negotiation, party a, party b and party c hereby reach the agreement which all parties promise to comply with.2. cooperation project and enrolment

6、 object2、合作项目与招生对象2.1 party a, party b and party c cooperate in developing the education cooperation project;2.2 students graduating from the oc english program in china and achieve the matriculating score of the cooperation agreement are the object of enrollment.3. cooperation mode(a) party a shall

7、 work with party c to recruit up to twenty (20) students to attend college at party a with classes being led by instructors from party b using the intensive english curriculum of party b.(b) party b shall conditionally accept those students recruited by party a and party c as part of the intensive e

8、nglish program to attend college at party b's campus.(c) conditionally accepted students who achieve the english requirements and acquire visas shall be authorized to study at party b's campus.(d) conditionally accepted students who do not achieve necessary english requirements or are unable

9、 to acquire visas shall not be allowed study at party b's campus4. party a's obligation (and party c)4.1 party a and party c will provide recruiting plans and schemes, organize the recruiting work, and provide written promotional material to prospective students with support from party b.4.2

10、 all new advertising must be approved by an authorized representative of party b prior to issue to ensure all the materials or information are factual and up to date.4.3 party a and party c will take charge of bearing all the cost for promoting the project at its location, including, recruiting adve

11、rtisement. party b will support and assist party a and party c in project promotion and student recruitment, including providing party a and party c the media and video materials.4.4 all parties will work together to ensure the whole quality and management process for the project.4.5 party a is resp

12、onsible for room and board of all teachers and for prov汕ng teaching facilities in party a's campus. party b is responsible for providing the instructors and all curriculum for the intensive english program to be taught on party a's campus. party b will also be responsible for paying for the

13、teacher visasand providing airfare.4.6 party a will be responsible for hiring and paying for a classroom assistant.4.7 party a will cooperate fully with party b in providing all necessary assistance5. party b*s obligation5、乙方的义务5.1 party b shall issue the "conditional acceptance" to studen

14、ts when they are enrolled into the cooperation project. this will also include a conditional acceptance letter to a transfer admission guaranteed (tag) university.5.15.2 party b will provide the english placement assessment every year at party a's campus, as well as the testing method and scale

15、of marks, and assist party a to organize the test.5.25.3 party b will be responsible for teaching english to students,includingprovidingcurriculum andguidelines,teaching methods, and names oftextbooks, etc, and make sure that they are up dated.5.35.4 party b will notify party a of any new regulation

17、help to project students who apply for visas of studying in u.s., such as providing the required documents, assisting in accommodation recommendation and writing reference letters, etc. (the fees for studying aboard are the students' responsibility.)6.2 see above area under party a obligations.7

18、. the expense of the project7.1 party b will provide a bottom line price to party a and party c that party b is willing to offer the course at. party a and party c will need to work together to determine what they will charge the students to cover8.1both party a's and party c's costs.8. inte

19、llectual property8、知识产权8.1 all intellectual property rights owned by or licensed to either party prior to the commencement date and which is used in connection with the program remains the property of or licensed to that party notwithstanding the performance of that party's obligations under thi

21、any amendment or alteration of this agreement shall be by mutual consent of the parties, in writing, signed and dated by both parties.对协议的任何修订或变更应征得双方同意，以书面形 式，山双方签署姓名和日期后方可有效。10. termination10.协议的终止10.1 either party may terminate this agreement by giving six months written notice to the other party

22、10.110.2 if there are still project students studying at party a*s campus and are going to apply to study at party b's campus when this agreement is terminated, their rights and interests should not be affected by the termination of the agreement.10.210.3 parties hereto will be released from the

23、ir obligations under this agreement in the event of a national emergency, war, prohibitive government regulations, or any other cause beyond the control of the parties hereto that renders the performance of this agreement impossible.10.3如果发生国家紧急状态、政府禁止或其他不可 抗力情况，致使此协议无法执行，双方将解除 本协议规定的责任和义务。11. coope

24、ration term11.合作期限11.1 this agreement is entered into on the date of signing.11.1合同自签订日期起生效。11.2 unless terminated earlier as provided herein (clause 13), the cooperation term between party a, party b, and party c is 10 years (subject to a review every 3 years and also is subject to any relevant gov
