Yet, he has been sounding off more vociferously than his colleagues about unacceptable pay deals for bankers. Derivatives traders are not footballers with unique talents and should not be paid as though they

The watchdogs only sanction is to demand more regulatory capital from those banks whose pay policies appear to be putting their firms at greater risk. The Treasury could influence matters at
11、RBS and Lloyds Banking Group, two big banks in which it has substantial shareholdings, but is reluctant to micromanage. 3 The government worries that any attack on bankers pay could drive financiers offshore, depriving the exchequer of much revenue. City bonuses, which dropped from 10 billion in 200
12、7 to 4 billion in 2008, could bounce back to 6 billion this year, says the Centre for Economic and Business Research (CEBR), a consultancy. They mirror the health of a financial-services sector that in the good times brought in up to 67 billion in annual tax revenues, estimates PWC, an accounting fi
13、rm. This fiscal year the figure could drop to 39 billion, says Douglas McWilliams at the CEBR, although banks recently buoyant business may increase it. 4 So could the slightly softer option of preventing banks from offsetting past losses against future tax bills. The reluctance to bash bankers bonu
14、ses stems from recognition that wholesale finance is a global business. Bankers are highly mobile, says Marcus Agius, chairman of Barclays. He argues that banks in Britain must be free to pay as much as those elsewhere, but says he is agnostic about what that level should be. National and internatio
15、nal proposals to reform pay at regulated financial firms are similarly agnostic. They mostly do not spell out how much public disclosure there should be of big pay packages, other than those for board members. 5 It requires a detailed breakdown of the remuneration of employees whose actions have a m
16、aterial impact on the risk exposure of the firm. Yet that measure is unlikely to be implemented, even though the big British banks and the London-based operations of global investment banks have agreed to it. The FSA, for its part, is not bothered about public disclosure as long as it has the inform
17、ation itself. Sir David Walker, a former central banker charged with an official review of bank-governance practices, has suggested that bands of remuneration for heavy hitters outside the boardroom be disclosed. It seems that banks, in the absence of much more than appeals to their better nature, w
18、ill be setting their own benchmarks as and when they please. Barclays began a review of its remuneration policies in 2008. It remains unfinished. A. 25、den founded his company, Critical Path, an email provider, in 1997 to take advantage of the boom in email traffic. Critical Path became a public company two years later, and Hayden took the opportunity to step down from his executive position in order to work on personal projects. At the same time,
26、he agreed to stay with the company as Chairman, but the business was put in the hands of new managers by its investors. With sector-leading products and an expanding market, the company seemed to be on the up and up. However, by early 2001, it was in trouble. Shares that had been worth $26 in 1999,
27、when they were first sold, were down to a mere 24 cents. Called in by a panicking board, Hayden found himself back in charge as Executive Chairman, trying desperately to rescue what he could. The 1,100 staff had lost confidence in the company and did not know what was going to happen to them. And, a
28、s Hayden discovered, the management team was incompetent. Those guys didnt understand the product or the sector, says Hayden. The heads of department didnt communicate and they didnt lead. But what was worse, Critical Path had lost the goodwill of its investors. Hayden knew that bringing the figures
29、 under control would be a vital step in the companys turnaround. Youve got to sort out the finances. For me, that meant getting back the goodwill of the investors. That was tough, after what had happened. But although they were angry with the company, they didnt have bad feelings about me. I told th
30、em that I knew I could get the company on its feet again. He was authorised to make whatever changes were required, and his first act was to find people within the company he could trust and put them in charge. The next thing Hayden had to tackle was morale. Everyone left the office at five on the d
31、ot-they couldnt get away quickly enough. To get the buzz back and win the staff over, I had to prove my own commitment and put in the extra hours with them. In return, it was assumed that nobody would ask for overtime pay until the company was on its feet again. Contrary to normal practice, Hayden w
32、as reluctant to lay people off, and apart from not replacing people as they reached retirement age, he left the workforce largely unchanged, although he did identify key people throughout the company who were given more responsibility. But, as Hayden insists, before a company reaches such a crisis,
33、there are warning signs that any financial director or accountant should take note of. A business that has an unrealistic pricing policy or has to negotiate extended credit with its suppliers is in trouble, is his message. Or if you often have to apply for your overdraft limit to be raised or have t
34、rouble paying tax on time, something needs to be done. By 2003, the company was healthy again, with reasonably stable finances and a modest but steady share price of $1.60. One thing that helped save us was that our technology worked, says Hayden. With 20 million email accounts, we never lost a sing
35、le major client because the product kept on working. With ideas for a fresh venture demanding his attention elsewhere, Hayden has moved on. It was time to go, he says.
