Thiscontractisapplicabletothetransactionofrealpropertiesthathavebeenissuedwithatitledeed.ShenzhenContractfortheSaleofSecond-HandHousePropertyUrbanPlanning,LandandResourcesCommissionofShenzhenMunicipalityMarketSupervisionAdministrationofShenzhenMunicipalityEdition2008S(F)FXMZi(2010)No.XXXXSpecialNotesTobettersafeguardtheBuyersandtheSellerslegitimaterightsandinterests,theBuyerandtheSellerareexpectedtoreadthroughthefollowingcontentscarefullybeforeconcludingthiscontract.1.Thetextofthiscontractisautomaticallygeneratedthroughthe“OnlineTransactionSystemforSecond-handRealEstateinShenzhen”.Thecontractingpartiescan,aftermutualagreement,makemodificationorsupplementationtoitemsspecifiedintheContract,butsuchmodificationandsupplementationmustbeinconformitywiththerelevantprovisionsstipulatedinlawsandrules.2.Priortoenteringthiscontract,theBuyerandtheSellermayrequesttheotherpartytoshowhisorherrelevantcertificates,suchasIDcard,BusinessLicenseofEnterpriseLegalPerson,HouseOwnershipCertificate,etc.Theyshallcarefullyreadthroughthecontentsofthiscontractandthenmakeconfirmationsabouttheitemsselected,supplemented,ormodified.Ifyouhaveanyquestions,pleaseaskforprofessionaladvicefrompeoplefamiliarwithlawsandlegislations.3.TheBuyershall,priortoenteringintothiscontract,makeacompleteandfullsitesurveyoverthehousepropertyinrespectoftheenvironment,transportation,adjacentschools,opportunitytoattendschools,andhouseholdconditions.TheSellerisobligatedtoprovidetrueinformationaboutthehousepropertysownership,leasecondition,household,etc.4.Forthepurposeofassuringthesafetyofthecapital,itisrecommendedthattheBuyerandtheSellershallhaveathirdpartysupervisethefundsbyconcludingaspecialagreementtoclearlyspecifythecapitalsupervisionaccountandtheothermattersaboutpaymentoffunds.5.Afterthiscontractcomesintoeffect,theunmodifiedandprintedwordsaswellasthevalidwritingsandmarksfilledoutintheblanksshallbedeemedascontentsagreedbybothparties.Inaddition,theattachmentsandthesupplementaryagreementsofthiscontract,oncesignedbybothparties,shallhavethesamelegalforceasthetextofthiscontract.6.WheretheBuyerneedstoborrowamortgageloantopaythepriceofthehouseproperty,heorsheshallfirstofallgettoknowexactlyabouttherequirementsformortgageloanaswellasthedocumentstobeprovided.7.Thetransferofownershipisnotmarkedbytheconclusionofthiscontract,butbytheregistrationofownershiptransferbyhousepropertyrightregistrationorgan.Asittakestimetotransfertheownershipafterconcludingthiscontract,theremaybespecialconditionslikesealingupofhouseproperty,pleasepayattentiontothepossiblerisksinthetransaction.BasicInformationofPartiesHeretoSeller:Name:XXXNationality:ChineseIDCardNo.:XXXShareofOwnership:1/2TransferredShareofOwnership:1/2Seller:Name:XXXNationality:ChineseIDCardNo.:XXXShareofOwnership:1/2TransferredShareofOwnership:1/2Buyer:Name:XXXNationality:ChineseIDCardNo.:XXXShareofOwnershipAccepted:100%AccordingtotheContractLawofthePeoplesRepublicofChina,theLawofthePeoplesRepublicofChinaonAdministrationoftheUrbanRealEstate,theRegulationsofShenzhenSpecialEconomicZoneonTransactionofRealProperty,andrelevantlawsandregulations,theSellerandtheBuyerherebyenterintothiscontractonthetransferofahousepropertyafteramicablenegotiationontheprinciplesofequality,fairnessandvoluntaryparticipation.Article1SubjectofTransactionThehousepropertysoldbytheSeller(hereinafterreferredtothehouseproperty)islocatedatXXXHongliRoad,FutianDistrict,ShenzhenCity.ThehouseownershipcertificateNo.isXXX;thehousepropertyisusedforthepurposeofResidence.Theregisteredconstructionareais:84.12squaremeters;theroombuildingareais-squaremeters.ThelanduserightrelatingtothehousepropertyfeaturesatermfromOctober17,1984toOctober16,2054.ThehousepropertyiscompletedinJuly1984.Currentlythehousepropertymanagementcompanyis-;thepropertymanagementfeeisRMB-/squaremeter.Article2CurrentStatusofHousePropertyThehousepropertyisneithermortgagednorsealedup;theSellerenjoysfullrighttodisposethehouseproperty.Article3LeaseConditionofHousePropertyTheleaseconditionofthehousepropertyisasthefollowing1condition:1.Thehousepropertyisnotleasedtoanybody.2.Thehousepropertyisleasedtosomeone;pleaserefertotheattachmentsfortheleasecontract(No.-).ThemonthlyrentalisRMB-/month;theleasetermis-yearsfrom-to-.TheSellershall,beforesigningonthiscontract,obtainthelesseeswrittenacknowledgementofgivinguptheprioritytobuythehouseproperty;otherwiseitshallbedeemedasviolationofthecontract.Afterconsultation,theSellerandtheBuyerdecidetodealwiththeleasecontractinthefollowing-ways:a)Afterthehousepropertyistransferred,theoriginalleasecontractisstillvalidfortheBuyerbeforetheexpirydate.TheSellershallhelpthebuyertoconcludeanewleasecontractwiththelesseebefore-andinthemeantimegivetheleasedepositandadvancerentalpaidbythelesseetotheBuyerforkeeping.TheBuyershallenjoytheoriginalrightsofSellerundertheleasecontractafter-.b)TheSellershallrescindtheoriginalleasecontractbeforedeliveringthehousepropertytotheBuyer;Buyerisnotliableforanydisputesarisingfromtheoriginalleasecontract.Article4HouseholdAffiliatedtoHousePropertyTheSellerhaspromisedtotransferoutthehouseholdaffiliatedtothehousepropertywithin30daysafterreceivingthetotalpaymentforthehouseproperty.Iftheyfailtodosowithinthetimelimit,theyshallpaytheBuyerliquidateddamagesat0.03%ofthetotalhousetransferpriceonadailybasis.Article5TransferPriceofHousePropertyThetransferpriceofthehousepropertyisRMBThirty-sixThousand,FiveHundredandForty-fiveYuanonly(innumber:36545);itdoesnotincludethetaxes.Article6EarnestMoneyTheearnestmoneyforthetransactionofthepropertyisRMBFiveThousandYuanonly(innumber:RMB5000).TheSelleragreesthatitshallbepaidinthefollowingways:Uponconclusionofthiscontract,theBuyershallpaytheSellertheearnestmoneyofRMBFiveThousandYuanonly(RMB5,000).ItisrecommendedthattheBuyershallfirstgivetheearnestmoneytoamutuallyspecifiedthirdpartyforsupervision.TheBuyerspayingtheearnestmoneytothethirdpartyforsupervisionshallbedeemedastheSellersreceivingofthedeposit.TheearnestmoneywillbelatterlypaidtoSelleraspartofthetransferpriceofthehousepropertywhentheformalitiesfortransferofownershiparecompleted.Article7DepositforDeliveryofHousePropertyInordertopreventrisksinthetransactionandmeanwhileurgetheSellertodeliverthehouseandsettlerelevantexpensesasscheduled,theBuyerandtheSellerbothagreethatRMB-ofthetransferpriceshallbefirstlyretainedasadepositfordeliveryofthehouse(notexceeding2%ofthetotalprice.ThedepositshallbepaidtotheSelleraftertherealestateisactuallydeliveredandtheownershipistransferred.Thedepositshallbekeptasfollowingfirstitem:1.keptbytheintermediaryparty2.others:-Article8PaymentMethodUnlessotherwisespecificallyagreed,alltheBuyerspayments(includingdepositandpaymentforpriceofhouse)arerecommendedtobekeptbythebankasathirdpartyforsupervisionofcapital.TheBuyershallpaythehousepriceotherthantheearnestmoneyandthedepositforthedeliveryofhouseinthefollowingfirstways,thatis:RMBThirtyoneThousand,FiveHundredandFortyFiveYuanOnly(RMB31545)totheSeller.1.One-offpaymentTheBuyershallpaytheabovehousepricetothebankaccountmutuallyspecifiedbybothpartiesforsupervisionbeforeXXX.2.Paymentwithmortgageloanfrombank(1)TheBuyershall,before-,paythefirstinstallmentofpayment,RMB-otherthantheearnestmoneyandthedepositfordeliveryofhousetothebankaccountmutuallyspecifiedbybothpartiesheretoforsupervisionbythebankasathirdparty.(2)TheBuyershallsubmitthedocumentsrelatingtotheapplicationformortgageloantotheBankandthencooperatewiththebanktohandletheloanexaminationandapprovalformalities.Theamountofthemortgageloanissubjecttothebanksletterofcommitment.(3)Wheretheloanissuedbythebankisinsufficienttopaytherestpriceofthehouseproperty,partiesheretoagreetohandlethecaseinthefollowing-ways.a.TheBuyershallsupplementtheinsufficientamountwithin3daysafterthebankissuestheletterofcommitment.b.ThecontractshallberescindedandtheSellershallrefundthecapitalpaidbytheBuyerwithin3days.3.Otherpaymentmethod-Article9BuyersLiabilityforBreachofContractduetoLatePaymentWheretheBuyerfailstomakethepaymentintime,theSellershallhavetherighttoasktheBuyertoundertaketheliabilityforbreachofcontractinthefollowing1way.(1)AskingtheBuyertopayaliquidateddamageat0.04%oftheunpaidamountonadailybasisandthecontractshallremainvalid.(2)RequiringtheterminationofthiscontractandaskingtheBuyertopayaliquidateddamageat-%ofthetotalprice.Article10UndertakingofTaxesandfeesAccordingtotherelevantregulations,theSellershallundertakethefollowingtaxesandfees:a.businesstax;b.urbanconstructionandmaintenancetax;cationsurcharge;d.stamptax;e.individualincometax;e;landVAT;f.realpropertytransactionservicecharge;g;landuserightfee;h.deedtax;erestforadvancerepaymentofshort-termloan;j.penaltyforadvancerepayment.TheBuyershallundertakethefollowingtaxesandfees:k.stamptax;l.deedtax;m.housepropertyrightregistrationfee;n.housepropertytransactioncharge;o.stamponhouseownershipcertificate;p.mortgageregistrationfee;q.borrowingcontractnotarizationfee;r.entrustmentnotarizationfee.Otherexpenses:s.ownershipinvestigationfee;t.realpropertytransactioncontractfee;u.appraisalfee;v.lawyersfee;w.insurancefee;x.others-(subjecttotheactualoccurrence)Afteramicablenegotiation,thepartiesheretoagreethatallaboveitemaitemxshallbeundertakenbytheBuyer.Newtaxesandfeesoccurringduetothelaws,regulationsandpoliciesshallbedisposedwiththefollowing1stmethod:1.payablebypartiesasrequiredbythelaws,regulationsandpolicies2.payablebyparty-.3.Others:-%payablebyBuyer;-%payablebySeller.WithregardtoaforementionedtaxesandfeespayablebytheBuyerand(or)theSeller,ifthepartiesheretochangetheactualpaymentmethod,thelegalresponsibilitieswillnotbetransferredwiththealterationoftaxpayment.Wherethetransactioncannotbecontinuedduetoapartysfailureinpayingthetaxesandfees,thecontract-breachingpartyshallpaytheotherpartyaliquidateddamageat1%ofthetotaltransferpriceoftheproperty.Article11DeliveryofRealPropertyTheSellershalldeliverthehousepropertytotheBuyerwithin7daysafterreceivingtheentiretransferpriceofthehouseproperty(exceptforthedepositforthedelivery),andmeanwhileperformthefollowingduties:1.TheBuyerandtheSellershallcheckthehousepropertyanditsaffiliatedequipment,decoration,furnitureandetc.togetherandrecordthereadingsofthewater,electricityandgasmeters;2.Tohandoverthekeytothehouseproperty.3.-Article12LiabilityforBreachofContractDuetoLateDeliveryUnlessotherwiseagreedbythiscontract,iftheSellerfailstodeliverthehousepropertytotheBuyer,heorsheshallpaytheBuyeraliquidateddamageat0.04%ofthetotaltransferpriceofthehousepropertyonadailybasisfortheperiodfromtheduedateofdeliverytothedateofactualdelivery,andthenthecontractshallremainvalid.Article13DisposalofAccompanyingDebtsUpondeliveryofthehouseproperty,theSellershallalsosettlealltheexpensesrelatingtothehouseproperty,suchaswaterfee,electricityfee,gasfee,telephonefee,cableTVfee,propertymanagementfee,garbagedisposalfee,etc.andthengivetherelevantslipstotheBuyerforconfirmation.Otherwise,theBuyershallhavetherighttodeductsuchamountsfromthedepositfordeliveryofhouseproperty.Article14HousePropertyRightTransferRegistrationTheBuyerandtheSellershall,within30daysafterconcludingthiscontract,applyforthetransferofthehousepropertysownershipwiththepropertyrightregistrationauthority.Thenwithin3daysafterthereplydateindicatedbythedocumentreceiptexpires,theSellerandtheBuyershallpaytherelevanttaxesandfeesaccordingly.TheBuyershallobtainthehouseownershipcertificate.WheretheBuyerisobligatedwithmortgage,heorsheshallderegisterthemortgagewithin0workdaysafterobtainingthenewhouseownershipcertificate.Article15OtherLiabilitiesforBreachofContractWherethepurposeofthiscontractcannotberealizedduetoapartysfailureinperformingtheobligations,thecontractobservingpartymayeitherdisposethecasefollowingtheregulationsabouttheearnestmoneyorasktheotherpartytopayaliquidateddamageat3%ofthetotalhouseprice.Article16ForceMajeureWherethiscontractcannotbeperformedduetoforcemajeure,thepartiesmaybefullyorpartiallyexemptfromtheliabilitiesaccordingtotheeffectoftheforcemajeureunlessotherwisespecifiedbythelaws.Thepartythatcannotperformthiscontractduetotheforcemajeureshallnotifytheotherpartyintimeandinthemeantimeproviderelevantevidencestot
