协议合同英文范本ContractNo.:[合同编号]DateofSigning:[签订日期]ThisAgreementismadeandenteredintoasofthe[date]byandbetween:PartyA:CompanyName:[甲方公司名称]LegalRepresentative:[法定代表人姓名]Address:[甲方公司地址]ContactInformation:[联系电话、邮箱等]PartyB:CompanyName:[乙方公司名称]LegalRepresentative:[法定代表人姓名]Address:[乙方公司地址]ContactInformation:[联系电话、邮箱等]一、引言鉴于双方有意就[标的物或服务名称]建立合作关系，经友好协商，依据《中华人民共和国民法典》及相关法律法规的规定，达成如下协议，以资共同遵守。二、标的物或服务具体描述（一）标的物或服务内容1.PartyAshallprovide[详细描述标的物或服务的具体内容，包括但不限于规格、型号、数量、质量标准等]toPartyB.2.The[标的物或服务名称]shallbeofhighqualityandmeettheindustrystandardsandthespecificrequirementsagreeduponbybothparties.（二）交付时间和地点1.DeliveryTime:PartyAshalldeliverthe[标的物或服务]toPartyBonorbefore[具体交付日期].Incaseofanydelay,PartyAshallnotifyPartyBinwritinginadvanceandexplainthereasonsforthedelay.2.DeliveryLocation:Thedeliveryshallbemadeat[详细交付地点].PartyBshallberesponsibleforarrangingthenecessaryreceivingfacilitiesandpersonnelatthedeliverylocation.（三）验收标准和方法1.AcceptanceCriteria:PartyBshallinspectthe[标的物或服务]uponreceipt.The[标的物或服务]shallbedeemedacceptedifitmeetsthequalitystandardsandspecificationsagreeduponinthisAgreement.2.AcceptanceMethod:PartyBshallconductadetailedinspectionwithin[验收期限]daysafterreceivingthe[标的物或服务].IfPartyBdiscoversanydefectsornonpliance,itshallnotifyPartyAinwritingwithinthisperiod.PartyAshallthenberesponsibleforrectifyingtheissuesorprovidingareplacementwithin[整改期限]days.三、双方权利义务（一）PartyA'sRightsandObligations1.RightsPartyAhastherighttoreceivepaymentfromPartyBinaccordancewiththetermsofthisAgreement.PartyAhastherighttoterminatethisAgreementunderthecircumstancesstipulatedinthisAgreement.2.ObligationsPartyAshallprovidethe[标的物或服务]inaccordancewiththequalitystandards,deliverytime,anddeliverylocationspecifiedinthisAgreement.PartyAshallberesponsibleforanydefectsorqualityissuesofthe[标的物或服务]duringthewarrantyperiodandshallprovidefreerepair,replacement,orotherremediesasrequired.PartyAshallkeepconfidentialanytradesecrets,technicalinformation,orotherconfidentialinformationobtainedfromPartyBduringtheperformanceofthisAgreement.（二）PartyB'sRightsandObligations1.RightsPartyBhastherighttoinspectthe[标的物或服务]uponreceiptandrequestPartyAtorectifyanynonplianceissues.PartyBhastherighttoterminatethisAgreementunderthecircumstancesstipulatedinthisAgreement.2.ObligationsPartyBshallpaytheagreeduponpricetoPartyAwithinthepaymentperiodspecifiedinthisAgreement.PartyBshallcooperatewithPartyAduringthedeliveryandinstallationprocessofthe[标的物或服务],providingnecessaryassistanceandinformation.PartyBshallkeepconfidentialanytradesecrets,technicalinformation,orotherconfidentialinformationobtainedfromPartyAduringtheperformanceofthisAgreement.四、价格及支付方式（一）价格1.Thetotalpriceforthe[标的物或服务]shallbe[具体金额](inwords:[大写金额]).Thispriceshallincludeallcostsrelatedtothe[标的物或服务],suchasproductioncosts,transportationcosts,installationcosts,andtaxes(exceptfortaxesthatPartyBisrequiredtopayseparatelyasrequiredbylaw).2.Anypriceadjustmentsshallbemadeonlywiththepriorwrittenconsentofbothparties.（二）支付方式1.PartyBshallpay[预付款金额及比例]asanadvancepaymenttoPartyAwithin[预付款支付期限]daysafterthesigningofthisAgreement.2.Theremainingpaymentof[尾款金额及比例]shallbepaidbyPartyBtoPartyAwithin[尾款支付期限]daysafterPartyBhaspletedtheacceptanceofthe[标的物或服务]andhasissuedawrittenacceptancenotice.3.PartyAshallissueavalidinvoicetoPartyBforeachpayment.PartyBshallmakethepaymentuponreceiptoftheinvoice.五、知识产权归属1.Allintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,relatedtothe[标的物或服务]providedbyPartyAshallremaintheexclusivepropertyofPartyA,unlessotherwiseagreedinwriting.2.PartyBshallnot,duringthetermofthisAgreementandforaperiodof[保密期限]yearsaftertheterminationofthisAgreement,use,disclose,ortransferanyoftheintellectualpropertyrightsobtainedfromPartyAwithoutthepriorwrittenconsentofPartyA.六、保密条款1.EachpartyacknowledgesthatduringtheperformanceofthisAgreement,itmayhaveaccesstocertainconfidentialinformationoftheotherparty,includingbutnotlimitedtobusinessplans,customerlists,technicalknowhow,andfinancialinformation.2.Bothpartiesshallkeepconfidentialallsuchconfidentialinformationandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.3.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[保密期限]years.七、违约责任1.BreachbyPartyAIfPartyAfailstodeliverthe[标的物或服务]ontime,PartyAshallbeliableforanylossessufferedbyPartyBasaresultofthedelay,includingbutnotlimitedtodirecteconomiclosses,lossofbusinessopportunities,andadditionalcostsincurredbyPartyB.PartyAshallpayliquidateddamagesof[违约金金额]toPartyBforeachdayofdelay.Ifthequalityofthe[标的物或服务]providedbyPartyAdoesnotmeettheagreeduponstandards,PartyAshallberesponsibleforrectifyingtheissuesorprovidingareplacementatnoadditionalcosttoPartyB.PartyAshallalsopensatePartyBforanylossescausedbythequalityproblems,includingbutnotlimitedtorepaircosts,replacementcosts,andlossesresultingfromtheinterruptionofbusinessoperations.2.BreachbyPartyBIfPartyBfailstopaythepriceontime,PartyBshallbeliableforpayingoverdueinterestattherateof[逾期利率]perannumontheoverdueamount.PartyBshallalsopayliquidateddamagesof[违约金金额]toPartyAforeachdayofdelayinpayment.IfPartyBfailstocooperatewithPartyAduringthedeliveryandinstallationprocessorfailstoprovidenecessaryassistanceandinformation,resultingindelaysordifficultiesintheperformanceofthisAgreement,PartyBshallberesponsibleforanylossessufferedbyPartyAasaresult.八、不可抗力1."ForceMajeure"shallmeananyeventthatisbeyondthereasonablecontrolofaparty,includingbutnotlimitedtonaturaldisasters,wars,strikes,riots,governmentactions,andactsofGod,whichpreventapartyfromperformingitsobligationsunderthisAgreement.2.IfapartyisunabletoperformitsobligationsunderthisAgreementduetoForceMajeure,itshallnotifytheotherpartyinwritingassoonaspossibleandprovidedetailedinformationabouttheForceMajeureevent.TheaffectedpartyshallbeexcusedfromliabilityfornonperformanceduringtheperiodofForceMajeure,providedthatittakesallreasonablemeasurestominimizetheimpactoftheeventandresumesperformanceassoonastheForceMajeureeventceases.九、争议解决1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiationbetweenthetwoparties.Ifthenegotiationfails,eitherpartymaysubmitthedisputeto[具体仲裁机构名称]forarbitrationinaccordancewiththearbitrationrulesofthatinstitution.2.Thearbitrationshallbeconductedin[仲裁地点],andthelanguageofthearbitrationshallbe[仲裁语言].Thearbitralawardshallbefinalandbindingonbothparties.3.Incaseofanydisputes,duringtheprocessofnegotiation,arbitration,orlitigation,thepartiesshallcontinuetoperformtheirrespectiveobligationsunderthisAgreementthatarenotindispute.十、协议变更与解除1.ThisAgreementmaybeamendedorsupplementedonlybyawrittenagreementsignedbybothparties.2.EitherpartymayterminatethisAgreementunderthefollowingcircumstances:IftheotherpartymateriallybreachesthisAgreementandfailstocurethebreachwithin[违约整改期限]
