I.BACKGROUND

1.PartyAandPartyBenteredintoa[typeofcontract](the"OriginalContract")dated[dateoforiginalcontract]inrelationto[descriptionofthesubjectmatterorservice].

2.Forvariousreasons,thepartiesnowwishtoterminatetheOriginalContractandenterintothisAgreementtogovernthetermsandconditionsofsuchtermination.

II.DESCRIPTIONOFTHESUBJECTMATTERORSERVICE

1.TheOriginalContractwasfortheprovisionof[detaileddescriptionofthegoods,services,orrightscoveredbytheOriginalContract].Thisincluded,butwasnotlimitedto,[listanyspecificponents,tasks,ordeliverablesrelatedtothesubjectmatterorservice].

2.AsofthedateofthisAgreement,PartyAhadalreadyprovided[descriptionoftheworkorgoodsalreadydeliveredorservicesalreadyperformed],andPartyBhadreceivedandacceptedsuchdeliveriesorservices.

III.TERMINATIONOFTHEORIGINALCONTRACT

1.ThepartiesherebymutuallyagreetoterminatetheOriginalContracteffectiveasof[terminationdate].

2.AllrightsandobligationsofthepartiesundertheOriginalContractshallceaseandterminateasoftheterminationdate,exceptasexpresslyprovidedinthisAgreement.

IV.RIGHTSANDOBLIGATIONSUPONTERMINATION

A.PartyA'sRightsandObligations

1.PaymentRights

PartyAshallbeentitledtoreceivepaymentfromPartyBforanyworkorservicesthatwerepletedandacceptedbyPartyBpriortotheterminationdateinaccordancewiththetermsoftheOriginalContract.PartyBshallpayPartyAtheoutstandingamountof[amount]within[numberofdays]daysoftheexecutionofthisAgreement.

2.ReturnofMaterialsandInformation

PartyAshallhavetherighttorequestthereturnofanymaterials,documents,orinformationprovidedbyPartyAtoPartyBinconnectionwiththeOriginalContract.PartyBshallreturnsuchitemstoPartyAwithin[numberofdays]daysofPartyA'srequest.

3.Confidentiality

PartyAshallretainitsrightstoenforceanyconfidentialityprovisionsoftheOriginalContractwithrespecttoanyinformationdisclosedduringthecourseoftherelationship.PartyBshallcontinuetobeboundbysuchconfidentialityobligationsevenaftertheterminationoftheOriginalContract.

B.PartyB'sRightsandObligations

1.FinalAcceptanceandPayment

PartyBshallhavetherighttoconductafinalreviewandacceptanceofanyworkorservicesprovidedbyPartyApriortotheterminationdate.IfPartyBdeterminesthatanysuchworkorservicesdonotmeettherequirementsoftheOriginalContract,PartyBshallnotifyPartyAwithin[numberofdays]daysoftheterminationdateandspecifythedeficiencies.PartyAshallhavetheopportunitytocureanydeficiencieswithin[numberofdays]days.IfPartyAfailstocurethedeficienciestoPartyB'ssatisfaction,PartyBmaywithholdpaymentforthenonconformingworkorservicesinaccordancewiththetermsoftheOriginalContract.

2.ReturnofMaterialsandInformation

PartyBshallpromptlyreturntoPartyAanymaterials,documents,orinformationinitspossessionthatarerelatedtotheOriginalContractupontheterminationoftheOriginalContract.PartyBshallensurethatallcopiesofsuchmaterialsaredestroyedorerased,andshallcertifytoPartyAinwritingthatsuchdestructionorerasurehasoccurredwithin[numberofdays]daysoftheterminationdate.

3.NonDisparagement

PartyBshallrefrainfrommakinganydisparagingremarksorstatementsaboutPartyA,itsproducts,services,orreputationinconnectionwiththeOriginalContract.

V.COMPENSATIONANDSETTLEMENT

1.InconsiderationoftheterminationoftheOriginalContract,PartyBshallpayPartyAalumpsumsettlementamountof[amount](the"SettlementAmount").ThisSettlementAmountisintendedtocoveralloutstandingpayments,anypotentialclaims,andtoprovideafullandfinalsettlementofalldisputesbetweenthepartiesrelatedtotheOriginalContract.

2.PartyAacknowledgesthatuponreceiptoftheSettlementAmount,itshallreleasePartyBfromallclaims,demands,andcausesofactionrelatedtotheOriginalContract,whetherknownorunknownasofthedateofthisAgreement.PartyAshallexecuteanddelivertoPartyBawrittenreleaseinaformacceptabletoPartyBwithin[numberofdays]daysofreceivingtheSettlementAmount.

VI.INTELLECTUALPROPERTY

1.AnyintellectualpropertyrightscreatedordevelopedbyPartyAinthecourseofperformingtheOriginalContractshallremaintheexclusivepropertyofPartyA.PartyBshallnotassertanyclaimtosuchintellectualpropertyrights.

2.PartyBshallnotuse,reproduce,distribute,ordiscloseanyintellectualpropertyofPartyAwithoutPartyA'spriorwrittenconsent.ThisprohibitionshallsurvivetheterminationoftheOriginalContract.

VII.CONFIDENTIALITY

1.ThepartiesacknowledgethatduringthecourseoftheirrelationshipundertheOriginalContract,theymayhaveexchangedconfidentialinformation.EachpartyshallcontinuetobeboundbytheconfidentialityprovisionsoftheOriginalContractwithrespecttosuchconfidentialinformation.

2.Confidentialinformationshallinclude,butnotbelimitedto,businessplans,customerlists,technicaldata,andanyotherinformationmarkedasconfidentialorthatshouldreasonablybeconsideredconfidentialunderthecircumstances.

3.Withoutthepriorwrittenconsentofthedisclosingparty,thereceivingpartyshallnotdisclose,use,orpermittheuseofconfidentialinformationforanypurposeotherthaninconnectionwiththeperformanceofthisAgreementorasrequiredbylaw.

VIII.NONCOMPETITION

1.Foraperiodof[numberofmonths/years]fromtheterminationdate,PartyBshallnotengageinanybusinessactivitiesthatpetedirectlywithPartyA'sbusinessasitrelatestothesubjectmatteroftheOriginalContract.

2.Thisnonpetitionobligationshallapplywithinageographicalareadefinedas[descriptionofthegeographicalarea].

3.PartyBacknowledgesthatthisnonpetitionprovisionisreasonableandnecessarytoprotectPartyA'slegitimatebusinessinterests,andthatanyviolationofthisprovisionmaycauseirreparableharmtoPartyAforwhichmonetarydamagesmaynotbeanadequateremedy.Intheeventofaviolation,PartyAshallbeentitledtoinjunctivereliefinadditiontoanyotherremediesavailableatlaw.

Ix.DEFAULTANDREMEDIES

1.Default

ApartyshallbeindefaultifitfailstoperformanyofitsobligationsunderthisAgreementwithinthetimeperiodsspecifiedhereinorifitbreachesanyoftherepresentations,warranties,orcovenantsmadeinthisAgreement.

2.Remedies

IntheeventofadefaultbyPartyB,PartyAshallhavetherighttopursueallavailablelegalremedies,includingbutnotlimitedto,seekingdamagesforbreachofcontract,specificperformance,andinjunctiverelief.PartyAmayalsowithholdanypaymentsduetoPartyBuntilthedefaultiscured.

IntheeventofadefaultbyPartyA,PartyBshallhavetherighttopursuesimilarlegalremedies,includingseekingdamages,specificperformance,orinjunctiverelief.

x.DISPUTERESOLUTION

1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationbetweentheparties.Ifthepartiesareunabletoresolvethedisputewithin[numberofdays]daysofthenoticeofdispute,thedisputeshallbesubmittedto[nameofarbitrationinstitution/court]forresolution.

2.Arbitration

Ifthepartieschoosearbitration,thearbitrationshallbeconductedinaccordancewiththerulesof[arbitrationinstitution].Thearbitrationawardshallbefinalandbindingonbothparties,andjudgmentupontheawardmaybeenteredinanycourthavingjurisdiction.

3.Litigation

Ifthepartieschooselitigation,thelawsuitshallbefiledinthe[nameofcourt]locatedin[location].Thepartiesshallabidebytherulesandproceduresofsuchcourt.

xI.GOVERNINGLAW

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].

xII.MISCELLANEOUS

1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

2.NowaiverbyeitherpartyofanybreachofthisAgreementshallbedeemedawaiverofanysubsequentbreach.

3.ThisAgreementmaynotbeamendedormodifiedexceptinwritingsignedbybothparties.

4.IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

5.ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

INWITNESSWHEREOF,thepartieshaveexecutedthisContractTerminationAgreementasofthedatefirstabovewritten.
