车辆挂靠协议书英语ThisVehicle挂靠Agreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:PartyA:Name:[Company/IndividualName]Address:[Address]ContactPerson:[Name]ContactNumber:[PhoneNumber]ID/CompanyRegistrationNumber:[Number]PartyB:Name:[Company/IndividualName]Address:[Address]ContactPerson:[Name]ContactNumber:[PhoneNumber]ID/CompanyRegistrationNumber:[Number]I.SubjectMatter1.PartyBownsavehicle(s)describedasfollows:Make:[VehicleMake]Model:[VehicleModel]LicensePlateNumber:[LicensePlateNumber]VehicleIdentificationNumber(VIN):[VINNumber]2.PartyBwishesto挂靠thevehicle(s)withPartyAforthepurposeofengagingincertainbusinessoperationsrelatedtothetransportationindustry.PartyAagreestoprovidethenecessary挂靠servicesinaccordancewiththetermsandconditionsofthisAgreement.II.RightsandObligationsofPartyAA.Rights1.PartyAshallhavetherighttouseitsbusinessname,licenses,andoperatingpermitsinconnectionwiththeoperationofthe挂靠vehicle(s)totheextentpermittedbylaw.2.PartyAshallhavetherighttochargereasonablefeesforthe挂靠servicesprovided,assetforthinSectionVofthisAgreement.B.Obligations1.PartyAshallensurethatthe挂靠vehicle(s)plywithallapplicablelaws,regulations,andsafetystandardsduringthe挂靠period.Thisincludesbutisnotlimitedtomaintainingvalidvehicleregistration,insurance,andensuringthatthevehicleisinaroadworthycondition.2.PartyAshallprovidenecessaryadministrativeandoperationalsupporttoPartyB,suchasassistingwiththerenewaloflicenses,permits,andhandlingofadministrativeformalitiesrelatedtotheoperationofthe挂靠vehicle(s).3.PartyAshallnotengageinanyactivitiesthatwouldcausedamagetothereputationorinterestsofPartyBinrelationtothe挂靠vehicle(s).III.RightsandObligationsofPartyBA.Rights1.PartyBshallretaintheownershipofthe挂靠vehicle(s)throughoutthetermofthisAgreement.2.PartyBshallhavetherighttoreceiveanyiegeneratedfromtheoperationofthe挂靠vehicle(s)afterdeductingthefeespayabletoPartyAasperthisAgreement.B.Obligations1.PartyBshallberesponsibleforthemaintenance,repair,andupkeepofthe挂靠vehicle(s)atitsownexpense,ensuringthatthevehicleremainsingoodworkingcondition.2.PartyBshallprovideaccurateandpleteinformationregardingthe挂靠vehicle(s)toPartyA,includingbutnotlimitedtovehiclecondition,mileage,andanyrelevantoperationaldetails.3.PartyBshallplywithalllaws,regulations,andsafetystandardsapplicabletotheoperationofthe挂靠vehicle(s)andshallindemnifyandholdPartyAharmlessfromanylosses,damages,orliabilitiesarisingoutofPartyB'snonpliance.4.PartyBshallpayallfeesandchargesduetoPartyAinatimelymannerasperthetermsofthisAgreement.IV.FeesandPayment1.PartyBshallpayPartyAa挂靠feeof[amount]permonth/year(specifythetimeperiod).ThefirstpaymentshallbemadeupontheexecutionofthisAgreement,andsubsequentpaymentsshallbemadeona[paymentfrequency,e.g.,monthly/quarterly]basisinadvance.2.Inadditiontothe挂靠fee,PartyBshallberesponsibleforanyadditionalcostsorexpensesrelatedtotheoperationofthe挂靠vehicle(s)asrequiredbylaworarisingfromnormalbusinessoperations,suchasfuelcosts,driversalaries(ifapplicable),andmaintenanceexpenses.3.PartyAreservestherighttoadjustthe挂靠feeupongivingPartyBwrittennotice[numberofdays]inadvance,providedthatsuchadjustmentisreasonableandbasedonchangesinmarketconditions,regulatoryrequirements,orotherrelevantfactors.V.DurationofAgreement1.ThisAgreementshallmenceon[startdate]andshallcontinueforaperiodof[duration,e.g.,1year/3years],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.2.EitherpartymayterminatethisAgreementupongivingtheotherpartywrittennoticeof[numberofdays]inadvance.Intheeventofearlytermination,PartyBshallberesponsibleforensuringthatthe挂靠vehicle(s)areremovedfromPartyA's挂靠systemandallnecessaryformalitiesarepleted.VI.Confidentiality1.EachpartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstocertainconfidentialinformationoftheotherparty,includingbutnotlimitedtobusinesssecrets,financialinformation,andcustomerdata.2.BothpartiesshallkeepconfidentialandshallnotdisclosetoanythirdpartyanyconfidentialinformationobtainedfromtheotherpartyduringthetermofthisAgreement,exceptasrequiredbylaworwiththepriorwrittenconsentoftheotherparty.VII.Insurance1.PartyBshallmaintainprehensiveinsurancecoverageforthe挂靠vehicle(s)withreputableinsurancepanies.TheinsurancepolicyshallnamePartyAasanadditionalinsuredtotheextentpermittedbylaw.2.PartyBshallprovidePartyAwithcopiesoftheinsurancepoliciesandrenewalnoticesinatimelymanner.Intheeventofanyinsuranceclaim,PartyBshallcooperatefullywithPartyAandtheinsurancepanytoensuretheproperhandlingoftheclaim.VIII.Indemnification1.PartyBshallindemnify,defend,andholdPartyAharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwith:PartyB'sownership,operation,ormaintenanceofthe挂靠vehicle(s);PartyB'sbreachofanyprovisionofthisAgreement;AnyactoromissionofPartyBoritsagents,employees,ordriversinrelationtothe挂靠vehicle(s).2.PartyAshallindemnify,defend,andholdPartyBharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwith:PartyA'snegligenceorwillfulmisconductinperformingitsobligationsunderthisAgreement;AnyactoromissionofPartyAoritsagents,employees,orrepresentativesinrelationtothe挂靠vehicle(s)thatisnotattributabletoPartyB.Ix.Assignment1.NeitherpartymayassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty.Anyattemptedassignmentwithoutsuchconsentshallbenullandvoid.2.Notwithstandingtheabove,PartyAmayassignthisAgreementtoathirdpartyintheeventofamerger,acquisition,orsaleofallorsubstantiallyallofitsassets,providedthattheassigneeassumesallofPartyA'sobligationsunderthisAgreementandPartyAprovidesPartyBwithwrittennoticeoftheassignment.x.GoverningLawandJurisdiction1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction,e.g.,thePeople'sRepublicofChina].2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthe[courtname]locatedin[jurisdiction].xI.EntireAgreement1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.2.Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.xII.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.PartyA(Signature):______________________Date:______________________PartyB(Signature):______________________Date:______________________InaccordancewithArticle464oftheCivilCodeofthePeople'sRepublicofChina,"Acontractisanagreementestablishing,modifying,andterminatingcivillegalrelationshipsbetweensubjectsofequalfooting,namelynaturalpersons,legalpersons,andunincorporatedorganizations."ThisVehicle挂靠Agreementisalegal
