1.Introduction

Thepartiesherebydesiretoformapartnershipforthepurposeofengaginginthebusinessdescribedbelow.ThisAgreementsetsforththetermsandconditionsoftheirpartnershiprelationship.

2.PartnershipBusiness

2.1BusinessDescription

Thepartnershipshallengageinthebusinessof[describethenatureofthebusiness,e.g.,providingconsultingservicesinthefieldof[specificindustry],developingandsellingsoftwareapplicationsfor[targetmarket],etc.].

2.2BusinessObjectives

Theprimaryobjectivesofthepartnershipshallbeto:

Maximizeprofitsandreturnsforthepartners.

Buildandmaintainagoodreputationinthemarket.

Continuouslyinnovateandimprovetheproductsorservicesoffered.

3.CapitalContributions

3.1InitialContributions

Eachpartnershallmakethefollowinginitialcapitalcontributionstothepartnership:

PartnerAshallcontribute[amount]incash,tobepaidwithin[numberofdays]daysoftheexecutionofthisAgreement.

PartnerBshallcontribute[amount]intheformof[describethenoncashcontribution,e.g.,equipmentworth[value],intellectualpropertyrightsrelatedto[specifictechnologyorknowhow]],tobetransferredormadeavailabletothepartnershipwithin[numberofdays]daysoftheexecutionofthisAgreement.

3.2AdditionalContributions

Fromtimetotime,asthebusinessofthepartnershipmayrequire,thepartnersmayberequiredtomakeadditionalcapitalcontributions.Suchadditionalcontributionsshallbemadeinproportiontothepartners'respectiveownershipinterestsinthepartnershipasdeterminedbythisAgreement,unlessotherwiseagreeduponbythepartnersinwriting.

3.3CapitalAccounts

Aseparatecapitalaccountshallbemaintainedforeachpartner.Allcontributions,distributions,andallocationsrelatedtothepartnershipshallberecordedinthesecapitalaccounts.

4.ProfitandLossAllocation

4.1AllocationRatio

Theprofitsandlossesofthepartnershipshallbeallocatedbetweenthepartnersintheratioof[ratioofPartnerA'ssharetoPartnerB'sshare,e.g.,60:40].

4.2DistributionofProfits

Attheendofeachfiscalyearofthepartnership,afterallexpenses,taxes,andotherobligationshavebeenpaidorprovidedfor,thenetprofitsofthepartnershipshallbedistributedtothepartnersinaccordancewiththeprofitallocationratiosetforthabove.Thedistributionshallbemadewithin[numberofdays]daysafterthedeterminationofthenetprofits.

4.3SharingofLosses

Intheeventoflosses,thepartnersshallsharesuchlossesinthesameratioastheprofitallocationratio.Eachpartnershallberesponsibleforcontributingitsshareofthelossestothepartnershipasandwhenrequired.

5.ManagementandOperations

5.1ManagementRights

PartnerAshallberesponsibleforthedaytodaymanagementofthepartnership'soperations,includingbutnotlimitedtooverseeingtheproductionordeliveryofservices,managingemployees,andhandlingcustomerrelations.

PartnerBshallhavetherighttoreviewandprovideinputonmajorbusinessdecisions,suchasstrategicplanning,significantcapitalexpenditures,andnewbusinessinitiatives.

5.2DecisionMaking

Fordaytodayoperationaldecisions,PartnerAshallhavetheauthoritytomakedecisionsonbehalfofthepartnership,subjecttotheoverallobjectivesandpoliciesofthepartnership.

Formajordecisions,asdefinedinthisAgreementorasotherwisemutuallyagreeduponbythepartners,amajorityvoteofthepartnersshallberequired.Intheeventofadeadlockinvoting,[describethetiebreakingmechanism,e.g.,PartnerAshallhavethecastingvote].

5.3DutiesofPartners

Eachpartnershallactingoodfaithandexercisereasonablecareandskillintheperformanceofitsdutiesandobligationstothepartnership.

Partnersshallnotengageinanyactivitythatiscontrarytotheinterestsofthepartnershiporthatmaycauseharmtothepartnership'sreputationorbusiness.

Partnersshallkeepaccurateandpleterecordsofallpartnershiptransactionsandmakesuchrecordsavailabletotheotherpartneruponreasonablenotice.

6.RightsandObligationsofPartners

6.1RightsofPartners

EachpartnershallhavetherighttoshareintheprofitsandlossesofthepartnershipinaccordancewiththetermsofthisAgreement.

Partnersshallhavetherighttoaccessthepartnership'sbooksandrecords,subjecttotheprovisionsofthisAgreementandapplicablelaws.

Apartnermayassignitsinterestinthepartnership,subjecttothepriorwrittenconsentoftheotherpartner.However,suchassignmentshallnotrelievetheassigningpartnerofitsobligationsunderthisAgreement.

6.2ObligationsofPartners

Partnersshallcontributetherequiredcapitaltothepartnershipasandwhennecessary.

Partnersshalldevotesuchtimeandattentiontothebusinessofthepartnershipasmaybereasonablyrequiredtocarryoutthepartnership'sobjectives.

PartnersshallnotpetewiththepartnershipduringthetermofthisAgreementinanybusinessthatissimilartothebusinessofthepartnershipwithinthegeographicalareaspecifiedinthisAgreement.

7.DurationandTermination

7.1Duration

ThispartnershipshallmenceonthedateofexecutionofthisAgreementandshallcontinueforatermof[numberofyears]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

7.2TerminationEvents

ThisAgreementmaybeterminated:

Bymutualwrittenagreementofthepartners.

Upontheexpirationoftheterm.

Intheeventofthebankruptcy,dissolution,orliquidationofeitherpartner.

IntheeventofamaterialbreachofthisAgreementbyapartnerthatisnotcuredwithin[numberofdays]daysafterwrittennoticethereoftothebreachingpartner.

7.3ConsequencesofTermination

UponterminationofthisAgreement,thepartnershipshallbeliquidatedinaccordancewiththeprovisionsofapplicablelaw.

Afterpayingoffalldebtsandobligationsofthepartnership,theremainingassetsshallbedistributedtothepartnersinaccordancewiththeircapitalaccountbalances.

8.Confidentiality

8.1ConfidentialInformation

Eachpartneracknowledgesthatduringthecourseoftheirpartnershiprelationship,theymayhaveaccesstoconfidentialinformationofthepartnership,includingbutnotlimitedtobusinessplans,customerlists,financialinformation,andtradesecrets.

8.2ObligationtoKeepConfidential

Eachpartnershallkeepallsuchconfidentialinformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherpartner,exceptasrequiredbylaw.

8.3ReturnofConfidentialInformation

UpontheterminationofthisAgreementoratanytimeupontherequestoftheotherpartner,eachpartnershallreturnordestroyallconfidentialinformationinitspossessionorcontrol.

9.IntellectualProperty

9.1OwnershipofIntellectualProperty

Anyintellectualpropertycreatedordevelopedbythepartnershipinthecourseofitsbusinessoperationsshallbeownedbythepartnership.

9.2UseofIntellectualProperty

Eachpartnershallhavetherighttousethepartnership'sintellectualpropertysolelyforthepurposeofcarryingoutthebusinessofthepartnershipandinaccordancewiththetermsofthisAgreement.

9.3ProtectionofIntellectualProperty

Thepartnersshalltakeallreasonablestepstoprotectthepartnership'sintellectualpropertyrights,includingfilingforpatents,trademarks,andcopyrightsasappropriate.

10.Indemnification

10.1IndemnificationObligation

Eachpartnershallindemnifyandholdharmlesstheotherpartner,thepartnership,andtheirrespectiveofficers,directors,employees,andagentsfromandagainstanyandalllosses,liabilities,damages,claims,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanybreachofthisAgreementbysuchpartneroranyactoromissionofsuchpartnerintheperformanceofitsdutiesandobligationstothepartnership.

10.2Insurance

Thepartnershipshallmaintaininsurancecoverageasdeterminedbythepartnersfromtimetotime,toprotectagainstrisksandliabilitiesassociatedwiththepartnership'sbusinessoperations.

11.DisputeResolution

11.1Mediation

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughmediationbyamutuallyagreeduponmediator.

11.2Arbitration

Ifthedisputecannotberesolvedthroughmediationwithin[numberofdays]days,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesof[nameofarbitrationinstitution].Thearbitrationshallbeconductedin[locationofarbitration],andthedecisionofthearbitrator(s)shallbefinalandbindingontheparties.

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothpartners.

12.3Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

12.4Counterparts

ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.
