I.SubjectMatter

B.ObligationsofPartyA

1.PartyAshallpaytheagreedpriceforthegoodsorservicesinatimelymannerinaccordancewiththepaymenttermsspecifiedinthisAgreement.

2.PartyAshallprovidePartyBwithanynecessaryinformationorcooperationrequiredfortheperformanceofthegoodsorservices.

3.PartyAshallhandleandusethegoodsorservicesinaccordancewiththerelevantlaws,regulations,andindustrystandards.

C.RightsofPartyB

1.PartyBhastherighttoreceivepaymentfromPartyAinaccordancewiththetermsandconditionsofthisAgreement.

2.PartyBhastherighttorequestPartyAtoclarifyanyunclearinstructionsorrequirementsregardingthegoodsorservices.

3.PartyBhastherighttoprotectitsintellectualpropertyrightsassociatedwiththegoodsorservicesprovidedunderthisAgreement.

D.ObligationsofPartyB

1.PartyBshalldeliverthegoodsorprovidetheservicesinaccordancewiththeagreedspecifications,qualitystandards,anddeliveryschedule.

2.PartyBshallensurethatthegoodsorservicesprovidedarefreefromanydefectsordeficienciesandplywithallrelevantlaws,regulations,andindustrystandards.

3.PartyBshallprovidePartyAwithanynecessarydocumentationorcertificatesrelatedtothegoodsorservices.

III.PaymentTerms

1.Price

IV.DeliveryandAcceptance

1.Delivery

PartyBshalldeliverthegoodsorprovidetheservicesattheagreeddeliverylocationorserviceperformancesite.

PartyBshallberesponsibleforarrangingthetransportationandensuringthesafeandtimelydeliveryofthegoodsortheproperperformanceoftheservices.

2.Acceptance

Upondeliveryofthegoodsorpletionoftheservices,PartyAshallconductaninspectionwithin[numberofdays]days.IfPartyAfindsanynonpliancewiththeagreedspecifications,itshallnotifyPartyBinwritingwithinthisperiod.

PartyBshall,within[numberofdays]daysafterreceivingthenoticefromPartyA,takemeasurestocorrectthenonpliance.Afterthecorrection,PartyAshallconductareinspection.Oncethegoodsorservicesmeettherequirements,PartyAshallissueawrittenacceptancenoticetoPartyB.

V.IntellectualPropertyRights

1.Ownership

PartyBshallretainallintellectualpropertyrightsassociatedwiththegoodsorservicesprovidedunderthisAgreement,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets.

PartyAshallnotclaimanyownershiporexclusiverightstosuchintellectualpropertyrights,exceptfortherighttousethegoodsorservicesinaccordancewiththetermsofthisAgreement.

2.UseRestriction

PartyAshallnotusethegoodsorservicesinanywaythatinfringesuponPartyB'sintellectualpropertyrights.PartyAshallnotcopy,modify,reverseengineer,ordiscloseanyconfidentialinformationrelatedtotheintellectualpropertyrightsofPartyBwithoutpriorwrittenconsent.

PartyAshallensurethatanythirdpartyusersofthegoodsorservicesalsoplywiththeabovementionedrestrictions.

VI.Confidentiality

1.ConfidentialInformationDefined

BothpartiesacknowledgethatduringthecourseofperformingthisAgreement,theymayhaveaccesstocertainconfidentialinformationoftheotherparty,includingbutnotlimitedtobusinessplans,customerlists,technicalspecifications,andfinancialinformation.

2.ObligationtoKeepConfidential

Eachpartyshallkeepconfidentialallconfidentialinformationoftheotherpartyandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

3.Exceptions

Thisconfidentialityobligationshallnotapplytoinformationthat:

Isalreadyinthepublicdomainthroughnofaultofthereceivingparty;

Isrequiredtobedisclosedbylaworbyacourtorder;

Isdisclosedbythereceivingpartytoitslegal,accounting,orotherprofessionaladvisorsforthepurposeofperformingitsobligationsunderthisAgreement,providedthatsuchadvisorsarealsoboundbyconfidentialityobligations.

VII.Warranty

1.ProductWarranty

PartyBwarrantsthatthegoodsprovidedshallbeofmerchantablequalityandfitfortheordinarypurposesforwhichsuchgoodsareused.PartyBshallprovideawarrantyperiodof[numberofmonths/years]fromthedateofdelivery.

Duringthewarrantyperiod,ifthegoodsarefoundtohaveanydefectsormalfunctionsduetofaultymaterialsorworkmanship,PartyBshall,atitsownexpense,repairorreplacethedefectivepartsortheentiregoods.

2.ServiceWarranty

PartyBwarrantsthattheservicesprovidedshallbeperformedinaprofessionalandworkmanlikemannerandshallmeettheagreedservicestandards.PartyBshallberesponsibleforanyreperformanceorcorrectionoftheservicesiftheydonotmeettherequirementswithinareasonabletimeafterbeingnotifiedbyPartyA.

VIII.LiabilityandIndemnification

1.LiabilityforBreach

IfeitherpartybreachesanyprovisionofthisAgreement,itshallbeliableforalllosses,damages,costs,andexpenses(includingreasonableattorneys'fees)sufferedbytheotherpartyasaresultofsuchbreach.

TheliabilityofapartyforbreachofthisAgreementshallbelimitedtotheamountdirectlyrelatedtothebreachandshallnotincludeanyindirect,consequential,orpunitivedamages,unlessotherwiseprovidedbylaw.

2.Indemnification

PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwithPartyB'sbreachofthisAgreement,includingbutnotlimitedtoclaimsbythirdpartiesforinfringementofintellectualpropertyrights,productliability,orservicerelateddisputes.

PartyAshallindemnifyandholdPartyBharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwithPartyA'sbreachofthisAgreement,suchasclaimsfornonpaymentorimproperuseofthegoodsorservices.

Ix.Termination

1.TerminationbyAgreement

ThisAgreementmaybeterminatedbymutualwrittenagreementofbothpartiesatanytime.

2.TerminationforBreach

IfeitherpartymateriallybreachesthisAgreementandfailstocuresuchbreachwithin[numberofdays]daysafterreceivingwrittennoticefromtheotherparty,thenonbreachingpartyhastherighttoterminatethisAgreement.

UponterminationofthisAgreement,thebreachingpartyshallbeliableforanylossescausedtothenonbreachingpartyinaccordancewiththeprovisionsofthisAgreement.

3.EffectofTermination

UponterminationofthisAgreement,allrightsandobligationsofthepartieshereundershallcease,exceptforthoseobligationsthatbytheirnatureshouldsurvivetermination,suchastheobligationtopayforgoodsorservicesalreadyreceived,theobligationtokeepconfidentialinformationconfidential,andtheliabilityforpastbreaches.

x.DisputeResolution

1.Negotiation

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiationwithin[numberofdays]daysaftertheoccurrenceofthedispute.

2.ArbitrationorLitigation

Ifthepartiesareunabletoresolvethedisputethroughnegotiation,thedisputeshallberesolvedeitherbyarbitrationorbylitigationinaccordancewiththelawsof[jurisdiction].

Ifarbitrationischosen,thearbitrationshallbeconductedinaccordancewiththerulesof[arbitrationinstitution].Thearbitrationawardshallbefinalandbindingonbothparties.

xI.GoverningLaw
