2025年贷款协议中英合同LoanAgreement(2025)贷款协议（2025年）ThisLoanAgreement("Agreement")ismadeandenteredintoasofthedayof,2025,byandbetween:本贷款协议（“协议”）由下列双方于2025年月日签订：Lender:,a[country/nationality]corporationorganizedunderthelawsof[country],withitsprincipalplaceofbusinessat[address],hereinafterreferredtoasthe"Lender".贷款人：，一家根据[国家/地区]法律成立的[国家或地区]公司，其主要营业地为[地址]，以下简称“贷款人”。Borrower:,a[country/nationality]corporationorganizedunderthelawsof[country],withitsprincipalplaceofbusinessat[address],hereinafterreferredtoasthe"Borrower".借款人：，一家根据[国家/地区]法律成立的[国家或地区]公司，其主要营业地为[地址]，以下简称“借款人”。WHEREAS,theBorrowerhasrequestedtheLendertoprovidealoan(the"Loan")intheamountof(currency),andtheLenderhasagreedtoprovidesuchloanonthetermsandconditionssetforthherein.NOW,THEREFORE,thepartiesheretoagreeasfollows:鉴于借款人已请求贷款人提供一笔金额为（货币）的贷款（“贷款”），而贷款人已同意根据本协议规定的条款和条件提供此贷款。据此，双方兹达成协议如下：1.LOANAMOUNT贷款金额1.1TheLenderagreestolendtotheBorroweranamountequalto(currency)(the"LoanAmount")inaccordancewiththetermsandconditionsofthisAgreement.1.1贷款人同意根据本协议规定的条款和条件向借款人提供金额为（货币）的贷款（“贷款金额”）。1.2TheBorroweragreestousetheLoanAmountsolelyforthepurposessetforthinScheduleAattachedhereto(the"PermittedUses").AnydeviationfromthePermittedUsesshallconstituteamaterialbreachofthisAgreement.1.2借款人同意仅将贷款金额用于本协议附件A所列的用途（“允许用途”）。任何偏离允许用途的行为均构成对本协议的重大违约。2.TERMANDREPAYMENT期限与还款2.1ThetermofthisAgreementshallbeyears(the"Term"),commencingonthedatehereofandendingonthedatewhichisyearsfromthedatehereof(the"MaturityDate").2.1本协议的期限为年（“期限”），自本协议之日起至本协议之日起年后的日期（“到期日”）终止。2.2TheBorrowershallrepaytheprincipalamountoftheLoaninfullontheMaturityDate.InterestontheLoanshallbepayablemonthlyinarrearsatarateofpercent(%)perannum.2.2借款人应于到期日偿还贷款的本金总额。贷款的利息应每月支付，利率为每年百分比（%），按期末付息方式计算。2.3TheBorrowermay,atitsoption,prepayalloranypartoftheLoan,providedthattheBorrowergivestheLenderwrittennoticeofsuchprepaymentatleastdaysinadvance.PrepaymentshallbesubjecttothepaymentofanyapplicableprepaymentpenaltiesasspecifiedinScheduleBattachedhereto.2.3借款人有权全部或部分提前偿还贷款，但前提是借款人应至少提前天书面通知贷款人。提前还款应支付适用的提前还款罚金，具体金额见附件B。3.INTERESTRATE利率3.1TheinterestrateapplicabletotheLoanshallbefixedatpercent(%)perannum(the"InterestRate").3.1适用于贷款的利率为每年百分比（%）（“利率”）。3.2InterestshallaccrueontheoutstandingprincipalbalanceoftheLoanfromthedateofdisbursementuntilthefullrepaymentoftheLoan,inclusive.3.2贷款的利息应从贷款发放之日起至贷款全部偿还之日（包括偿还日）计算，按未偿还本金余额计算。4.DISBURSEMENT发放4.1TheLendershalldisbursetheLoanAmounttotheBorroweronthedatehereof,providedthattheBorrowerhasfulfilledallconditionsprecedentsetforthinScheduleCattachedhereto.4.1在借款人满足附件C所列的所有先决条件的前提下，贷款人应于本协议签订日向借款人发放贷款金额。4.2TheBorrowershallexecuteanddelivertotheLendersuchdocumentsandinstrumentsasmaybereasonablyrequiredtoevidencetheBorrower'srightsandobligationsunderthisAgreement.4.2借款人应签署并交付给贷款人所有合理要求的文件和工具，以证明借款人根据本协议享有的权利和承担的义务。5.GUARANTYANDCOLLATERAL担保与抵押5.1AssecurityfortheBorrower'sobligationsunderthisAgreement,theBorrowershallprovidetheLenderwiththefollowingcollateral:5.1为担保借款人根据本协议的义务，借款人应向贷款人提供以下抵押物：(a);and/or(a)；以及/或者(b)Anyothercollateralorguaranteesasmutuallyagreeduponbythepartieshereto.(b)本协议双方另行约定的任何其他抵押或担保。5.2TheBorrowershallmaintainthecollateralingoodconditionandshallpromptlynotifytheLenderofanymaterialdamageorlossaffectingthecollateral.5.2借款人应保持抵押物的良好状态，并应在抵押物发生重大损失或损坏时立即通知贷款人。6.EVENTSOFDEFAULT违约事件6.1TheoccurrenceofanyofthefollowingeventsshallconstituteaneventofdefaultunderthisAgreement(each,an"EventofDefault")):6.1下列任何事件的发生均构成本协议项下的违约事件（每一事件均为“违约事件”）：(a)Failuretorepayanyprincipalorinterestpaymentwhendue;(a)未能在到期时偿还任何本金或利息；(b)MisapplicationoftheLoanproceeds;(b)贷款资金的不当使用；(c)Failuretomaintainthecollateralingoodcondition;(c)未能维持抵押物的良好状态；(d)AnymaterialadversechangeintheBorrower'sfinancialconditionoroperations;(d)借款人财务状况或运营的重大不利变化；(e)AnybreachofrepresentationorwarrantymadebytheBorrowerunderthisAgreement;(e)借款人违反本协议项下的任何陈述或保证；(f)TheBorrower'sinsolvency,bankruptcy,ortheappointmentofareceiverortrusteeoveritsassets;(f)借款人破产、无力偿债，或财产管理人或受托人被任命接管其资产；(g)Anyothereventasagreeduponbythepartieshereto.(g)本协议双方另行约定的其他事件。6.2UpontheoccurrenceofanEventofDefault,theLendermay,atitssolediscretion,declaretheentireoutstandingprincipalbalanceoftheLoanandallaccruedinterestthereonimmediatelydueandpayable.6.2违约事件发生后，贷款人可自主决定将贷款的全部未偿还本金余额及累计利息全部宣布立即到期并要求偿还。7.GOVERNINGLAWANDJURISDICTION适用法律与管辖7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[country],withoutregardtoitsconflictoflawsprinciples.7.1本协议应受[国家/地区]法律的管辖，并依其解释，不考虑其冲突法原则。7.2Anylegalsuit,action,orproceedingarisingoutoforrelatingtothisAgreementorthetransactionscontemplatedherebyshallbeinstitutedinthecourtsof[specificjurisdiction],andeachpartyirrevocablysubmitstotheexclusivejurisdictionofsuchcourts.7.2因本协议或本协议所涉交易引起的或与之相关的任何法律诉讼、行动或程序应在[具体司法管辖区]的法院提起，且双方不可撤销地同意此类法院的专属管辖。8.CONFIDENTIALITY保密性8.1EachpartyagreestomaintaintheconfidentialityofallinformationdisclosedbytheotherpartyinconnectionwiththisAgreement,exceptasrequiredbylaw,regulation,orcourtorder.8.1双方同意对与本协议相关的另一方披露的所有信息保密，除非法律、法规或法院命令另有要求。8.2ThisobligationofconfidentialityshallsurvivetheterminationofthisAgreement.8.2本保密义务在本协议终止后仍然有效。9.ENTIREAGREEMENT完整协议9.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,betweentheparties.9.1本协议构成双方关于本协议标的事项的完整协议，取代双方之间所有先前的协议、理解、谈判和讨论，无论口头或书面。9.2NoamendmentormodificationofthisAgreementshallbevalidunlessmadeinwritingandsignedbybothparties.9.2对本协议的任何修改或补充均需以书面形式作出，并经双方签署方可有效。10.NOTICES通知10.1Allnotices,requests,demands,orothercommunicationshereundershallbeinwritingandshallbedeemedtohavebeendulygivenifdeliveredpersonally,sentbyregisteredorcertifiedmail,returnreceiptrequested,orsentbyovernightcourierorfacsimiletransmission,totherespective
