ThisPurchaseContract(the"Contract")ismadeandenteredintobyandbetweentheBuyerandtheSellerinaccordancewiththerelevantlawsandregulationsof[country/region],andthroughfriendlyconsultations,bothpartiesagreetoconcludethefollowingtermsandconditionsforthepurchaseandsaleofthegoods:

8.3PaymentProcedure1.AftertheSellerhasshippedthegoods,itshallpresentthefollowingdocumentstothenegotiatingbankinaccordancewiththetermsoftheletterofcredit:Billoflading;Commercialinvoice;Packinglist;Insurancepolicy;Certificateofquality;Certificateoforigin;Otherdocumentsrequiredbytheletterofcredit.2.Thenegotiatingbankshallexaminethedocumentsand,iftheyareinpliancewiththetermsoftheletterofcredit,shallpaytheSellertheamountspecifiedintheletterofcredit.3.TheBuyershallreimbursethenegotiatingbankinatimelymannerafterreceivingthenoticeofpayment.

9.InspectionandAcceptance9.1InspectionattheSeller'sFactoryBeforethegoodsareshipped,theBuyeroritsauthorizedrepresentativeshallhavetherighttoinspectthegoodsattheSeller'sfactorytoensurethattheymeetthequalityandspecificationsrequirementsofthisContract.TheSellershallprovideallnecessaryfacilitiesandassistancefortheinspection.

9.2InspectionattheDestinationAfterthegoodsarriveatthedestination,theBuyershallconductinspectionwithin[检验时间]days.Ifanyqualityorquantityproblemsarefound,theBuyershallhavetherighttoclaimagainsttheSellerwithin[索赔时间]days.

10.Warranty10.1WarrantyPeriodTheSellershallprovideawarrantyperiodof[质保期]monthsfromthedateofacceptanceofthegoods.

10.2WarrantyContentDuringthewarrantyperiod,theSellershallberesponsibleforrepairingorreplacinganydefectivepartsorproductsfreeofchargeiftheyarefoundtobedefectiveduetothequalityproblemsoftheSeller.

10.3WarrantyProcedureIftheBuyerdiscoversanyqualityproblemsduringthewarrantyperiod,itshallnotifytheSellerinwritingwithin[通知时间]days.TheSellershallrespondtotheBuyer'snoticewithin[回复时间]daysandsenditstechnicalpersonnelorauthorizedrepresentativestothesitetohandletheproblemassoonaspossible.

11.LiabilityforBreachofContract11.1Seller'sLiability1.IftheSellerfailstodeliverthegoodswithintheagreedtime,itshallpayliquidateddamagestotheBuyerattherateof[违约比例]ofthetotalcontractamountforeachdayofdelay.2.IfthegoodsdonotmeetthequalityandspecificationsrequirementsofthisContract,theSellershallberesponsibleforreplacingthegoods,makingpensation,ortakingothermeasuresasrequiredbytheBuyer.3.IftheSellerfailstoperformotherobligationsunderthisContract,itshallberesponsibleforpensatingtheBuyerforalllossescausedthereby.

11.2Buyer'sLiability1.IftheBuyerfailstopaythecontractamountwithintheagreedtime,itshallpayliquidateddamagestotheSellerattherateof[违约比例]ofthetotalcontractamountforeachdayofdelay.2.IftheBuyerfailstoperformotherobligationsunderthisContract,itshallberesponsibleforpensatingtheSellerforalllossescausedthereby.

12.ForceMajeure12.1DefinitionForcemajeurereferstoanyeventthatisbeyondthecontrolofeitherpartyandthatmakesitimpossibleorimpracticalforthatpartytoperformitsobligationsunderthisContract,includingbutnotlimitedtonaturaldisasters,wars,strikes,lockouts,governmentactions,etc.

12.2NotificationIfeitherpartyisaffectedbyforcemajeure,itshallnotifytheotherpartyinwritingwithin[通知时间]daysaftertheoccurrenceoftheforcemajeureevent,statingthedetailsoftheeventandtheexpecteddurationofitsimpact.

12.4ResumptionofPerformanceAftertheforcemajeureeventhasended,bothpartiesshallresumetheperformanceofthisContractassoonaspossible.IftheforcemajeureeventcontinuesforalongtimeandmakesitimpossibletoperformthisContract,bothpartiesshallnegotiateanddeterminewhethertoterminatethisContractormakeotherarrangements.

13.Arbitration13.1ArbitrationClauseAnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughfriendlyconsultationsbetweenthetwoparties.Iftheconsultationsfail,thedisputesshallbesubmittedto[仲裁机构名称]forarbitrationinaccordancewithitsarbitrationrules.
