1.Membership

1.1TheMemberacknowledgesthatbysigningthisContract,theyarebecomingamemberoftheClubandagreeingtobeboundbytherulesandregulationsoftheClub.

1.2TheClubshallprovidetheMemberwithaccesstotheonlineclubactivities,facilities,andservices,subjecttothetermsandconditionssetforthinthisContract.

2.MembershipFees

2.1TheMemberagreestopaythemembershipfeesasspecifiedintheattachmenthereto,"AttachmentA-MembershipFees."

2.2TheClubreservestherighttoadjustthemembershipfeesfromtimetotime,providedthatsuchadjustmentsaremadeinaccordancewiththeprovisionsofthisContract.

3.TermofMembership

3.1ThetermofmembershipshallcommenceonthedateofthisContractandshallcontinueforaperiodofone(1)year,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

3.2Uponexpirationoftheinitialterm,themembershipshallautomaticallyrenewforsuccessiveone-yearterms,unlesseitherpartyprovideswrittennoticeofterminationatleastthirty(30)dayspriortotheexpirationdate.

4.TerminationofMembership

4.1TheClubmayterminatethisContractandterminatetheMember'smembershipupontheoccurrenceofanyofthefollowingevents:

a.Non-paymentofmembershipfees;

b.ViolationoftherulesandregulationsoftheClub;

c.MisconductorotherinappropriatebehaviorthatisdetrimentaltothereputationoftheClub;

d.AnybreachofthisContractbytheMember.

4.2TheMembermayterminatethisContractandterminatetheirmembershipupontheoccurrenceofanyofthefollowingevents:

a.Non-compliancewiththetermsandconditionssetforthinthisContract;

b.AnybreachofthisContractbytheClub;

c.AnyotherreasondeemedjustifiablebytheMember.

5.Liability

5.1TheClubshallnotbeliableforanydirect,indirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeMember'sparticipationintheonlineclubactivities,facilities,andservices.

5.2TheMemberagreestoindemnifyandholdtheClubharmlessagainstanyandallclaims,actions,liabilities,losses,damages,andexpenses,includingattorney'sfees,arisingoutoforinconnectionwiththeMember'suseoftheonlineclubactivities,facilities,andservices.

6.GoverningLawandDisputeResolution

6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionwheretheClubislocated.

6.2AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughmediation,andifmediationfails,througharbitrationinaccordancewiththerulesoftherelevantarbitrationinstitution.

INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.

2.RightsandObligationsofthePrincipal

2.1ThePrincipalshallhavethefollowingrights:

a.TooverseethequalityanddeliveryofservicesprovidedbytheThirdParty;

b.TorequesttheThirdPartytorectifyanyissuesordeficienciesintheservicesprovided;

c.ToterminatethisContractwiththeconsentoftheMemberiftheThirdPartyfailstomeettheagreed-uponservicestandards.

2.2ThePrincipalshallhavethefollowingobligations:

a.ToensurethattheMemberreceivestheservicesasspecifiedinthisContract;

b.TocommunicatewiththeMemberregardinganychangestotheservicesprovidedbytheThirdParty;

c.TocompensatetheMemberforanylossesincurredduetothefailureoftheThirdPartytoprovidetheservicesasagreed.

3.RightsandObligationsoftheSecondary

4.LimitationsandRestrictions

4.1TheSecondaryagreesthattheservicesprovidedbytheThirdPartyaresubjecttothetermsandconditionssetforthbytheThirdParty,andthePrincipalshallnotbeliableforanybreachofsuchtermsbytheThirdParty.

4.2ThePrincipalshallhavetherighttolimittheuseoftheonlineclubactivities,facilities,andservicesbytheSecondaryintheeventofnon-paymentoffeesorbreachoftherulesandregulations.

5.TerminationofMembership

5.1ThePrincipalmayterminatethisContractandterminatetheSecondary'smembershipupontheoccurrenceofanyofthefollowingevents:

b.AnybreachofthisContractbythePrincipalortheThirdParty;

c.AnyotherreasondeemedjustifiablebytheSecondary.

6.LiabilityandIndemnification

6.1ThePrincipalshallnotbeliableforanydirect,indirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeSecondary'sparticipationintheonlineclubactivities,facilities,andservices,exceptincasesofgrossnegligenceorwillfulmisconductbythePrincipal.

6.2TheSecondaryagreestoindemnifyandholdthePrincipalharmlessagainstanyandallclaims,actions,liabilities,losses,damages,andexpenses,includingattorney'sfees,arisingoutoforinconnectionwiththeSecondary'suseoftheonlineclubactivities,facilities,andservices.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionwheretheClubislocated.

7.2AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughmediation,andifmediationfails,througharbitrationinaccordancewiththerulesoftherelevantarbitrationinstitution.

c.Toreceivedetailedpost-eventreportsandanalytics;
