1.Introduction

PartyAshallperformitsdutiesandobligationsunderthisAgreementinatimelyandefficientmanner,includingbutnotlimitedtoprovidingnecessaryresources,participatinginjointprojects,andplyingwithrelevantlawsandregulations.

3.2.2Confidentiality

PartyAshallkeepconfidentialallinformationobtainedfromPartyBduringthecooperationprocessandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofPartyB,exceptasrequiredbylaw.

3.3RightsofPartyB

PartyBshallhavetherighttoaccessrelevantinformationprovidedbyPartyAinrelationtothecooperation,includingbutnotlimitedtotechnicalinformation,businessplans,andfinancialinformation,forthepurposeoffulfillingitsobligationsunderthisAgreement.

3.3.2IntellectualPropertyRights

PartyBshallhavetherighttousetheintellectualpropertyrightsjointlydevelopedoracquiredduringthecooperationprocessinaccordancewiththetermsofthisAgreement.

3.4ObligationsofPartyB

3.4.1PerformanceofDuties

PartyBshallperformitsdutiesandobligationsunderthisAgreementinatimelyandefficientmanner,includingbutnotlimitedtoprovidingnecessaryresources,participatinginjointprojects,andplyingwithrelevantlawsandregulations.

3.4.2Confidentiality

PartyBshallkeepconfidentialallinformationobtainedfromPartyAduringthecooperationprocessandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofPartyA,exceptasrequiredbylaw.

4.IntellectualPropertyRights

4.1OwnershipofExistingIntellectualPropertyRights

Eachpartyshallretainitsrespectiveexistingintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets.

4.2JointlyDevelopedIntellectualPropertyRights

Intheeventthatanyintellectualpropertyrightsarejointlydevelopedduringthecooperationprocess,bothpartiesshalljointlyownsuchintellectualpropertyrightsandshallsharetherightsandobligationsinaccordancewiththetermsagreeduponbybothparties.

4.3ProtectionofIntellectualPropertyRights

Bothpartiesshalltakereasonablemeasurestoprotecttheintellectualpropertyrightsinvolvedinthecooperation,includingbutnotlimitedtofilingforpatents,trademarks,andcopyrights,andimplementingconfidentialitymeasurestopreventtheleakageoftradesecrets.

5.Confidentiality

5.1ConfidentialInformationDefined

"ConfidentialInformation"shallincludeanyinformationdisclosedbyeitherpartytotheotherpartyduringthecooperationprocess,includingbutnotlimitedtobusinesssecrets,technicalinformation,customerinformation,andfinancialinformation.

5.2ConfidentialityObligations

BothpartiesshallkeeptheConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

5.3DurationofConfidentiality

Theconfidentialityobligationsofbothpartiesshallremaininforceforaperiodof[numberofyears]aftertheterminationofthisAgreement.

6.TermandTermination

6.1Term

7.Liability

7.1LimitedLiability

Eachpartyshallbeliableonlyforitsownactsandomissionsandshallnotbeliablefortheactsandomissionsoftheotherparty,exceptasotherwiseprovidedbylaw.

7.2Indemnification

Intheeventthateitherpartyissuedorotherwiseheldliableforanyclaim,loss,damage,orexpensearisingoutoforinconnectionwiththisAgreement,theindemnifyingpartyshallindemnifyandholdtheindemnifiedpartyharmlessfromandagainstallsuchclaims,losses,damages,andexpenses.

8.DisputeResolution

8.1Negotiation

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,bothpartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.

8.2Arbitration

Ifthenegotiationfails,thedisputeshallbesubmittedto[arbitrationinstitution]forarbitrationinaccordancewithitsarbitrationrules.Thearbitrationawardshallbefinalandbindingonbothparties.

8.3GoverningLaw
