2025【英文合同】跨国贸易合作框架协议（中英文对照）（参考文本）THISFRAMEWORKAGREEMENTFORINTERNATIONALTRADECOOPERATION2025<跨国贸易合作框架协议2025>PartiesInvolved<合同当事人>ThisFrameworkAgreementismadeandenteredintoonthisdayof,2025,byandbetween:<本框架协议于2025年月日由以下双方签订：>[NameofPartyA],acompanyincorporatedunderthelawsof[CountryA],withitsregisteredofficelocatedat[AddressofPartyA],hereinafterreferredtoas"PartyA".<[甲方名称]，根据[国家A]法律注册成立，注册地址为[甲方地址]，以下简称“甲方”。>[NameofPartyB],acompanyincorporatedunderthelawsof[CountryB],withitsregisteredofficelocatedat[AddressofPartyB],hereinafterreferredtoas"PartyB".<[乙方名称]，根据[国家B]法律注册成立，注册地址为[乙方地址]，以下简称“乙方”。>WHEREASbothpartiesintendtoestablishalong-termcooperativerelationshipinthefieldofinternationaltrade,topromotemutualdevelopmentandbenefit.<鉴于双方均有意在国际贸易领域建立长期合作关系，以促进双方共同发展和互惠。>NOW,THEREFORE,the双方herebyagreeasfollows:<基于此，双方兹达成协议如下：>1.SCOPEOFCOOPERATION<第一条合作范围>1.1BothPartiesagreetoestablishaframeworkforcollaborationinthefieldofinternationaltrade,withafocusonthefollowingareas:<1.1双方同意在国际贸易领域建立合作框架，重点包括以下领域：>ProcurementandsupplyofgoodsandservicesbetweentheParties;Jointexplorationofnewmarketopportunities;Exchangeoftechnicalandcommercialinformationtofacilitatetrade;OtherareasofcooperationasmutuallyagreedbybothParties.**<-甲乙双方之间的货物和服务采购与供应；新市场机会的共同探索；促进贸易的技术和商业信息交换；双方另行协商一致的其他合作领域。>**1.2ThespecifictermsandconditionsofanytransactionunderthisFrameworkAgreementshallbegovernedbyseparateagreementstobeenteredintobybothParties.<1.2本框架协议项下任何具体交易的具体条款和条件应由双方另行签订的协议规定。>2.TERMSANDCONDITIONS<第二条条款与条件>2.1GeneralObligations<一般义务>2.1.1BothPartiesshallusetheirbesteffortstofulfilltheirobligationsunderthisAgreementandtopromotethesuccessofthecooperation.<2.1.1双方应尽最大努力履行本协议下的义务，并推动合作成功。>2.1.2EachPartyshallappointaprojectmanagertooverseetheimplementationofthisAgreementandensuresmoothcommunicationbetweenthetwoParties.<2.1.2各方应指定一名项目经理负责监督本协议的实施，并确保双方之间的沟通顺畅。>2.2GoodsandServices<货物与服务>2.2.1ThegoodsandservicestobeprovidedunderthisAgreementshallmeetthequalitystandardsagreedbybothPartiesinwriting.<2.2.1本协议项下提供的货物和服务应符合双方书面同意的质量标准。>2.2.2Priceandpaymenttermsforthegoodsandservicesshallbespecifiedintherelevanttransactionagreements.<2.2.2货物和服务的价格及支付方式应在相关交易协议中明确规定。>2.3PaymentTerms<支付条款>2.3.1AllpaymentsunderthisAgreementshallbemadein[Currency],inaccordancewiththetermsspecifiedinthetransactionagreements.<2.3.1本协议项下的所有支付应以[货币]进行，并根据交易协议中规定的条款支付。>2.3.2Incaseofanydelayinpayment,thedefaultingPartyshallbeliableforinterestattherateof[InterestRate]%perannum.<2.3.2如有任何支付延迟，违约方应按年利率[利率]%支付利息。>2.4DeliveryandLogistics<交付与物流>2.4.1Deliveryofgoodsshallbemadeinaccordancewiththetermsspecifiedinthetransactionagreements,includingthedeliveryscheduleandmodeoftransport.<2.4.1货物交付应按照交易协议中规定的条款进行，包括交货时间表和运输方式。>2.4.2Riskoflossordamagetothegoodsshallpasstothebuyerupondeliveryinaccordancewiththeapplicabletradeterms(e.g.,EXW,FOB,etc.).<2.4.2货物灭失或损坏的风险在适用贸易术语（如EXW、FOB等）规定的交货时转移给买方。>3.INTELLECTUALPROPERTYRIGHTS<第三条知识产权>3.1Anyintellectualpropertyrightsdevelopedorusedinthecourseofthiscooperationshallremaintheexclusivepropertyoftherespectiveowner(s).<3.1在本合作过程中开发或使用的任何知识产权应归各自所有者单独所有。>3.2BothPartiesagreetorespecteachother'sintellectualpropertyrights,andnorightsaregrantedbythisAgreementunlessexplicitlystatedinwriting.<3.2双方同意尊重彼此的知识产权，除非有书面明确规定，否则本协议不授予任何权利。>4.CONFIDENTIALITY<第四条保密>4.1Allinformation,whetherwrittenororal,disclosedbyonePartytotheotherinconnectionwiththisAgreementshallbetreatedasconfidential.<4.1任何一方在与本协议相关联的情况下向另一方披露的所有信息，无论是书面的还是口头的，均应被视为机密。>4.2ThereceivingPartyshallusetheconfidentialinformationsolelyforthepurposesofthisAgreementandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty.<4.2接收方应仅将机密信息用于本协议的目的，并且未经披露方的事先书面同意，不得向任何第三方披露此类信息。>5.TERMANDTERMINATION<第五条期限与终止>5.1ThisFrameworkAgreementshallcomeintoeffectonthedateofitssigningandshallremaininforceforaninitialtermof[Number]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.<5.1本框架协议自签署之日起生效，并在初始[期限]年内有效，除非根据本协议的规定提前终止。>5.2EitherPartymayterminatethisAgreementbygiving[Number]days'writtennoticetotheotherParty,providedthatsuchterminationisnotinbreachofanyexistingobligationsunderthisAgreement.<5.2任一方可提前[天数]天书面通知另一方终止本协议，前提是此类终止不违反本协议下的任何现有义务。>5.3UponterminationofthisAgreement,allrightsandobligationsofbothPartiesshallterminate,exceptforthoseobligationsthatareintendedtosurvivetermination.<5.3本协议终止后，双方的所有权利和义务均应终止，除非有义务在终止后继续存在。>6.DISPUTERESOLUTION<第六条争议解决>6.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiationsbetweentheParties.<6.1因本协议产生或与本协议相关的任何争议，双方应通过友好协商解决。>6.2Ifthedisputescannotberesolvedthroughnegotiations,theyshallbesubmittedtoarbitrationin[Location]inaccordancewiththerulesofthe[ArbitrationInstitution].ThearbitrationawardshallbefinalandbindingonbothParties.<6.2如果通过协商无法解决争议，则应根据[仲裁机构]的规则提交[地点]仲裁。仲裁裁决应为最终裁决并约束双方。>7.MISCELLANEOUS<第七条其他条款>7.1GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].**<7.1适用法律本协议应受[司法管辖区]法律的管辖并据此解释。>**7.2EntireAgreementThisAgreementconstitutestheentireunderstandingb
