5.IntellectualPropertyRights

a.Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,andtradesecrets,arisingfromorinconnectionwiththeServicesshallbesolelyownedbyPartyA.

b.PartyBshallnot,directlyorindirectly,infringeuponorotherwiseviolateanyintellectualpropertyrightsofPartyA.

6.Confidentiality

a.ThepartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedbyeitherpartytotheotherduringthetermofthisContractandforaperiodof[NumberofYears]yearsthereafter.

b.Confidentialinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.

7.WarrantiesandRepresentations

a.PartyAwarrantsandrepresentsthatithasthelegalcapacitytoenterintothisContractandtoperformitsobligationshereunder.

b.PartyBwarrantsandrepresentsthatithasthelegalcapacitytoenterintothisContractandtoperformitsobligationshereunder.

8.Indemnification

a.PartyAshallindemnify,defend,andholdharmlessPartyBagainstanyandallclaims,liabilities,losses,damages,costs,andexpensesarisingoutoforinconnectionwiththeServicesprovidedbyPartyA.

b.PartyBshallindemnify,defend,andholdharmlessPartyAagainstanyandallclaims,liabilities,losses,damages,costs,andexpensesarisingoutoforinconnectionwiththeServicesprovidedbyPartyB.

9.Termination

a.ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeshallbegivenatleast[NumberofDays]dayspriortotheeffectivedateoftermination.

b.IntheeventofterminationofthisContract,thepartiesshallpromptlydischargetheirrespectiveobligationsunderthisContract.

10.GoverningLawandJurisdiction

6.RightsandObligationsofThirdParty

7.TerminationandConsequences
