WHEREAS,theEmployeedesirestoacceptemploymentwiththeEmployeronthetermsandconditionssetforthherein.
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesagreeasfollows:
1.**EmploymentRelationship**
1.1TheEmployeeshallbeemployedbytheEmployerasapart-timeemployee("theEmploymentRelationship")toperformtheservicesdescribedinSection2hereof.
1.2TheEmploymentRelationshipshallcommenceon[StartDate]andshallcontinueforaperiodof[DurationofEmployment],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.
2.**ScopeofEmployment**
2.1TheEmployeeshallperformsuchservicesasmaybereasonablyrequiredbytheEmployerfromtimetotime,includingbutnotlimitedto[ListofDutiesandResponsibilities].
2.2TheEmployeeshallperformtheservicesatsuchlocations,duringsuchhours,andundersuchconditionsasmaybereasonablyrequiredbytheEmployer.
3.**Compensation**
3.1TheEmployershallpaytheEmployeeasalaryof[SalaryAmount]per[PaymentPeriod],subjecttoapplicabletaxesanddeductions.
3.2TheEmployershallprovidetheEmployeewith[ListofBenefits,ifany],includingbutnotlimitedto[ListofBenefits].
4.**Termination**
4.1TheEmploymentRelationshipmaybeterminatedbyeitherPartyupon[NoticePeriod],unlessotherwiseagreeduponinwritingbybothParties.
4.2TheEmployermayterminatetheEmploymentRelationshipimmediatelyiftheEmployeeengagesinanyconductthatisdetrimentaltotheEmployerortheEmployer'sbusiness,oriftheEmployeeviolatesanyprovisionofthisAgreement.
5.**Confidentiality**
5.1TheEmployeeagreestokeepconfidentialallconfidentialinformationoftheEmployer,includingbutnotlimitedto[ListofConfidentialInformation].
5.2TheEmployeeshallnotuseanyconfidentialinformationforanypurposeotherthantheperformanceoftheEmployee'sdutiesunderthisAgreement.
6.**GeneralProvisions**
6.1ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,oftheParties.
6.2ThisAgreementmaybeamendedonlybyawritteninstrumentexecutedbybothParties.
6.3IfanyprovisionofthisAgreementisfoundtobeunenforceable,theremainingprovisionsshallremaininfullforceandeffect.
INWITNESSWHEREOF,thePartieshaveexecutedthisAgreementasofthedatefirstabovewritten.

5.**PartyB'sRightsandObligations**
5.1PartyBshallprovidetheservicesandsupportasagreeduponinSection3.
5.2PartyBshallensurethattheservicesprovidedareofahighstandardandmeettherequirementsofPartyA.
5.3PartyBshallnotdiscloseanyconfidentialinformationofPartyAtoanythirdpartywithoutpriorwrittenconsent.
6.**PartyC'sRightsandObligations**
6.1PartyCshallperformtheserviceswithduediligenceandinaccordancewiththehigheststandardsofprofessionalconduct.
6.2PartyCshallcomplywithallapplicablelaws,regulations,andpoliciesofPartyA.
6.3PartyCshallnotengageinanyactivitythatmaybedetrimentaltoPartyAoritsreputation.
7.**Termination**
7.1TheEmploymentRelationshipmaybeterminatedbyeitherPartyupon[NoticePeriod],unlessotherwiseagreeduponinwritingbybothParties.
7.2PartyAmayterminatetheEmploymentRelationshipimmediatelyifPartyCengagesinanyconductthatisdetrimentaltoPartyAorviolatesanyprovisionofthisAgreement.

8.**ConsequencesofNon-Performance**
8.1IntheeventofPartyC'sorPartyB'sfailuretoperformitsobligationsunderthisAgreement,thenon-breachingPartyshallhavetherighttorecoveranydamagessufferedasaresultofsuchfailure.
8.2PartyCshallindemnifyandholdharmlessPartyAagainstanyclaims,damages,orliabilitiesarisingoutofPartyC'sbreachofthisAgreement.
8.3PartyBshallindemnifyandholdharmlessPartyAagainstanyclaims,damages,orliabilitiesarisingoutofPartyB'sbreachofthisAgreement.
9.**GeneralProvisions**
9.1ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,oftheParties.
9.2ThisAgreementmaybeamendedonlybyawritteninstrumentexecutedbyallParties.
9.3IfanyprovisionofthisAgreementisfoundtobeunenforceable,theremainingprovisionsshallremaininfullforceandeffect.
