1.EducationServices:

TheEducationalInstitutionagreestoprovidetheStudentwiththenecessaryeducationalservices,includingbutnotlimitedtoadmission,registration,courseenrollment,academicadvising,andothersupportservices,inaccordancewiththetermsandconditionsofthisContract.

2.TuitionFeesandPayment:

TheStudentagreestopaythetuitionfees,asspecifiedintheEducationalInstitution'sfeeschedule,inaccordancewiththepaymenttermsagreeduponbetweentheparties.FailuretomaketimelypaymentsmayresultintheterminationoftheStudent'senrollmentandaccesstoeducationalservices.

3.DurationoftheContract:

ThedurationofthisContractshallcommenceon[StartDate]andshallcontinueforaperiodof[DurationoftheContract]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

4.TerminationoftheContract:

b.TheContractmaybeterminatedbyeitherpartyintheeventofabreachofanytermorconditionherein,uponwrittennoticetotheotherpartyandfailuretocurethebreachwithin[CurePeriod]days.

5.Confidentiality:

Thepartiesagreetomaintaintheconfidentialityofanyandallinformation,includingbutnotlimitedtopersonaldata,educationalrecords,andfinancialinformation,obtainedduringthecourseofthisContract.Suchinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofbothparties.

6.GoverningLawandJurisdiction:

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].

7.EntireAgreement:

2.RoleoftheEducationalConsultant:

TheEducationalConsultantshallactastheintermediarybetweentheClientandtheEducationalInstitution,providingthefollowingservices:

a.AssistingtheClientinidentifyingsuitableeducationalinstitutionsandprogramsforitsdesignatedstudent(s);

b.FacilitatingcommunicationbetweentheClientandtheEducationalInstitution;

c.ProvidingguidanceandsupporttotheClientthroughouttheapplicationprocess;

d.Ensuringcompliancewithallrelevantregulationsandrequirementsoftheeducationalinstitutionsandprograms.

3.Client'sRightsandObligations:

a.TheClienthastherighttoselecttheeducationalinstitutionandprogramforitsdesignatedstudent(s);

b.TheClientisobligatedtoprovideaccurateandcompleteinformationregardingitsdesignatedstudent(s)totheEducationalConsultantandtheEducationalInstitution;

c.TheClientshallcomplywithalltermsandconditionssetforthinthisContract;

d.TheClientisresponsibleforthepaymentofallfeesandexpensesassociatedwiththeeducationalservicesprovidedbytheEducationalInstitution.

4.EducationalInstitution'sRightsandObligations:

a.TheEducationalInstitutionhastherighttoreceivepaymentfortheeducationalservicesprovidedtotheClient'sdesignatedstudent(s);

b.TheEducationalInstitutionisobligatedtoprovidetheeducationalservicesinaccordancewiththetermsandconditionssetforthinthisContract;

c.TheEducationalInstitutionshallensurethattheClient'sdesignatedstudent(s)receiveaqualityeducationandadheretotherulesandregulationsoftheeducationalinstitution.

5.EducationalConsultant'sRightsandObligations:

a.TheEducationalConsultanthastherighttoreceivecompensationforitsservicesprovidedtotheClient;

b.TheEducationalConsultantisobligatedtoactinthebestinterestsoftheClientandensurethequalityoftheeducationalservicesprovidedbytheEducationalInstitution;

c.TheEducationalConsultantshallmaintainconfidentialityregardinganyandallinformationobtainedduringthecourseofthisContract.

6.Client'sRightsinCaseofBreach:

a.IntheeventofabreachofanytermorconditionofthisContractbytheEducationalInstitutionortheEducationalConsultant,theClientshallhavetherighttoterminatethisContractwithimmediateeffect;

b.TheClientshallbeentitledtoseekdamagesfromthepartyinbreachforanylossesincurredasaresultofsuchbreach.

7.EducationalInstitution'sandEducationalConsultant'sLiability:

a.TheEducationalInstitutionandtheEducationalConsultantshallbejointlyandseverallyliableforanybreachofthisContract;

b.TheEducationalInstitutionandtheEducationalConsultantshallindemnifytheClientagainstanylossesordamagesincurredasaresultoftheirbreachofthisContract.

8.LimitationsonLiability:

a.TheEducationalInstitutionandtheEducationalConsultantshallnotbeliableforanyindirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththisContract;

b.TheClientacknowledgesthattheEducationalInstitutionandtheEducationalConsultantshallnotbeliableforanyactsoromissionsoftheeducationalinstitutionsorprogramsselectedbytheClient.

9.GoverningLawandJurisdiction:

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].
