b.ProvidetheFranchiseewiththenecessarytrademarks,logos,andotherintellectualpropertyrightstobeusedinconnectionwiththeFranchisee'soperationofthefranchisebusiness.

c.MonitorandenforcethequalityandstandardsofthefranchisebusinessoperatedbytheFranchisee.

5.Franchisee'sRightsandObligations.TheFranchiseeagreesto:

a.Complywithalllaws,regulations,andstandardsapplicabletotheoperationofthefranchisebusiness.

b.OperatethefranchisebusinessinaccordancewiththeSystem'soperatingprocedures,policies,andstandards.

c.MaintainthequalityandreputationoftheSystembyprovidinghigh-qualityproductsandservices.

6.Confidentiality.ThePartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedtothembytheotherPartyinconnectionwiththisAgreement.Suchconfidentialinformationshallnotbeusedforanypurposeotherthanthepurposeforwhichitwasdisclosed.

7.Termination.ThisAgreementmaybeterminatedbyeitherPartyupontheoccurrenceofanyofthefollowingevents:

a.BreachofanymaterialtermorconditionofthisAgreementbytheotherParty.

b.BankruptcyorinsolvencyofeitherParty.

c.SaleortransferoftheFranchisee'sinterestinthefranchisebusinesswithoutthepriorwrittenconsentoftheFranchisor.

8.GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof_______________.
