1.ScopeofAgreement

ThisAgreementshallgoverntherelationshipbetweenPartyAandPartyBwithrespectto[ScopeofAgreement],andshallbebindinguponthepartiesheretoandtheirrespectivesuccessorsandassigns.

2.TermandTermination

3.Payment

4.IntellectualProperty

Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,andtradesecrets,arisingoutoforinconnectionwiththisAgreementshallbetheexclusivepropertyofthepartythatcreatedorownssuchintellectualpropertyrights.

5.Confidentiality

Thepartiesheretoagreetomaintaintheconfidentialityofallinformationdisclosedtothembytheotherparty,eitherdirectlyorindirectly,inconnectionwiththisAgreement,andshallnotusesuchinformationforanypurposeotherthanaspermittedbythisAgreement.

6.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction],andanydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrough[DisputeResolutionMechanism].

7.Miscellaneous

a.ThisAgreementmaybeamendedormodifiedonlybywrittenagreementexecutedbybothparties;
