1.PositionandResponsibilities

4.Confidentiality

4.1TheEmployeeagreestokeepconfidentialanyandallinformationandmaterialsrelatedtotheEmployer'sbusiness,includingbutnotlimitedtotechnicalinformation,customerinformation,andbusinessstrategies.

4.2TheconfidentialityobligationshallcontinuetobeeffectiveevenaftertheterminationofthisAgreement.

5.Non-Competition

5.1Foraperiodof[DurationofNon-Competition]followingtheterminationofthisAgreement,theEmployeeshallnotengageinanybusinessactivitiesthatareindirectcompetitionwiththeEmployer.

5.2TheEmployeeshallnotsolicitanyoftheEmployer'scustomers,employees,orbusinesspartnersduringthenon-competitionperiod.

6.TerminationandRescission

6.1ThisAgreementmaybeterminatedorrescindedbyeitherPartyinaccordancewiththeprovisionsofthisAgreementorapplicablelawsandregulations.

6.2UpontheterminationorrescissionofthisAgreement,theEmployeeshallreturnanyandallpropertyanddocumentsprovidedbytheEmployer.

7.GoverningLawandDisputeResolution

7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.

7.2AnydisputesarisingfromtheexecutionorinterpretationofthisAgreementshallberesolvedthroughfriendlynegotiation.Ifthenegotiationfails,thedisputeshallbesubmittedtothePeople'sCourtof[CityName]forarbitration.

8.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,understandings,andcommitments,whetherwrittenororal.
