dEFiniTionS定义

a.“coal”shallmeanSteamcoal(noncokingcoal)inbulk.煤指的是散装动力煤（非焦煤）。

B.“countryoforigin”shallmeanSouthKalimantan,indonesia原产国指印度尼西亚加里曼丹南部。

c.“wetBasis”shallmeancoalinitsnaturalwetstate湿基指的是自然水分状态下的煤。

d.“airdriedBasis”shallmeancoaldriedatroomtemperature.空干基指的是室温下干的煤。

E.“SuitableVessel”meansvessel,whichissuitableforenteringandleaving(whenloaded)thedischargingportalwayssafelyafloatandfordischargingatthedischargingport.

合适的船舶，指船舶符合卸货港要求，始终处于安全漂浮的状态进入和离开（卸完货）卸货港，并能安全地进行卸货作业。

F.“independentSurveyor”shallmeanSGSindonesiaandciQasmutuallyagreedbetweentheSELLERandtheBUYER.SGSShantouchinaasthirdpartysurveyor.

独立检测机构指双方认可的检测机构，即印度尼西亚SGS和中国检验检疫局，以及第三方检测机构，中国汕头SGS。

G.“L/c”shallmeanirrevocableLetterofcreditmadeavailableatSighttothebeneficiaryissuedbyanyprimeinternationalBankwhichisacceptabletotheSELLER’SBank.

信用证指的不可撤销的即期信用证，是由一流国际银行开出的，并由卖方银行认可的，受益人可即期议付。

H.“aRB”means“asReceivedBasis”.aRB指的是收到基。

i.“aSTm”meansthestandardsprescribedbytheamericanSocietyforTestingandmaterials.aSTm指的是美国材料与试验协会的标准。

J.“iSo”meansthestandardsprescribedbytheinternationalStandardizationorganizationforTestingand

materials.

iSo指的是国际标准化组织的标准。

K.“Businessday”&“workingday”meansanydayotherthanSaturday,Sundayoranypublicholidays.营业日和工作日指的是除星期六、星期日和法定节假日的任何一天。

L.“demurrage”meansachargepayableintheeventtheBuyerisunabletocompletedischargingtheshipwithinagreedlaytime.

滞期费指的是因买方在规定的卸货时间内不能完成卸货而产生所要支付的费用。

m.“dispatch”meansthechargepayableintheeventthetheBuyercompletethedischargebeforetheendofthelaytime.

速遣费指的是因买方在规定的卸货时间之前完成卸货而应被支付的费用。n.“Kcal/Kg”meanskilocaloriesofenergyperkilogramofcoal.千卡/千克指每一千克煤所含的能量千卡。

o.“USd”,”$”,“USdollar”,”dollar”means(unlessotherwisespecified)thecurrencyoftheUnitedStatesofamerica.

“USd”,”$”,“USdollar”,”dollar”指的是（除非另外规定）美利坚众合国的货币。P.“Tonne”,“Tons”,“Tonnes”,“mT”meansametrictonof1000kilograms.“Tonne”,“Tons”,“Tonnes”,“mT”指1000千克。

Q.“ncV”meansthenetcalorificValueofthesaidcoal.ncV指煤的低位发热量。

R.afractionofacentinanycalculationshallberoundeduptothenearestcentifsuchfractionisonehalfofacentormore,andshallberoundeddownwhenotherwise.在计算中，零点几分应四舍五入到最近的分。

S.“Pratique”meanspermissiontodobusinessataportbyashipthathascompliedwithallapplicablelocal

healthregulations.

无疫入港许可证指船舶符合当地卫生法规，允许在一个港口作业。

T.“BasePrice”shallbethepricecturntimeunlessdischargingoperationssoonercommenceddischargingrate.

基准价指宁波到岸价（运费加成本），港口吃水14.10米，卸率是12,000吨每晴天工作日，包括星期天和假期，除非卸货操作提前开始。

wHEREaSthepartiesmutuallydesiretoexecutethiscontractwhichshallbebindinguponeachpartyandtheirrespectivesuccessorsandassign,inaccordancewiththelawsofthejurisdictionofchoicetogetherwithtermsandconditionasprovidedhereinandmutuallyagreedupon.

鉴于双方都有意执行此合同，依照法律和此合同条款，此合同对双方、双方的继承人和双方债权人都有约束力。

第一条：商品

第二条：数量、交货期&有效期

2.1QUanTiTY数量

Thecontractquantityofthecoaltobesoldandpurchasedunderthiscontractis65.000mT±10%inSeller’soption(Sixty-fiveThousandmetricTonsplusminusTenPercent).

此合同项下将出售和购买的煤合同数量是65,000吨，卖方有权上下调整±10%的幅度。2.2LoadinG装运

Thiscontractshallremaininforceandbelegallyvalidtillalltheobligationsarefulfilledbyeitherpartytotheotherparty,commencingfromthedateofsigningthiscontracttotheconclusionofthistrialshipment.本合同从签约日开始有效直至双方责任和义务履行结束。

第三条：价格

3.1BaSEPRicE基准价

ThepriceforthecoalwithspecificationaspercLaUSE2(two)isUSd$69.00mT(SixtynineUnitedStatesdollars),oncFR(costandFreight)basis,atningbo,china.ThepriceisinclusiveofGoodsinspectionexpensesandanyotherexpensesrequiredfortheexportofcoalfromindonesia.

中国宁波港到港价格（运费加成本）USd69.00/公吨，本到岸价格已包含印度尼西亚出口煤矿的货物检验和其他费用。

Theabovepriceisbasedondischargingrateof12,000mtperdaySHinc12hturntimeunlessdischargingoperationssoonercommencedand14.10mtrsFwdraft,andnootherprevailingrestrictionsforpanamaxvessels.

以上价格基于卸率12,000吨每晴天工作日，包括星期天和假期，除非卸货操作提前开始，船舶吃水14.1米，对于巴拿马型的船舶，没有其他限制条件。

Buyerguaranteethenominateddischargeportshallhaveminimumdraftallowedof14.10m(freshwater)meters.

买方保证被指定的卸货港口最小吃水为14.1米

3.2ToTaLSHiPmEnTVaLUE货物总值

considering-ningbo-------Portasdischargeport,theTotalShipmentvalueof65000mTwillbeUSd$-4,485,000withaplusminusoftenpercentallowedinbothquantityandvalue.Partialshipmentandtranshipmentarenotallowed.

就宁波港作为卸货港而言，65000吨的货物价值是USd$4,485,000。允许10%的金额和数量的上下幅度。不允许分批装运和转运。

3.3PRicEadJUSTmEnT价格调整

一、交货时间及数量

交货时间式量原煤产地

自签定合同之日起15天供货完毕

二、交货地点：甲方货场三、煤炭运输时间：按甲方要求时间运输。四、质量要求(以甲方中心化验室化验数据为准)1、收到基低位发热值：Qnet.ar≥5000Kcal/Kg2、挥发份：Vad22%—28%3、全水份：mt≤8%4、含硫量：St.ad≤0.7%5、焦渣特性：2—56、灰份：aad≤24%7、粒度：粒度小于3mm占30%以下，大于3mm占70%以上

五、价格及金额

乙方煤炭达到第四条要求，在5000Kcal/Kg的基础上，定价为元/吨(按1票结算)。高于5000Kcal/Kg的价格见本合同第七条第四款。

六、煤炭检验

1、煤炭检验数据以甲方中心化验室出具的检验报告为准。

2、煤炭到货后，须先经甲方中心化验室到乙方存货点(或车内)取样化验。如达到

第四条质量要求，甲方通知乙方进煤200-300吨进行试烧。如煤炭适合甲方炉型则继续履行合同。如不适合甲方炉型则中止该批合同,乙方损失自负。

3、乙方批量供煤过程(1)汽车运输甲方每500吨化验一次，连续二次不合格,中止执行合同,责任乙方自负。(2)火车运输到站后甲方负责到火车站取样化验，确定是否接收,运输中每500吨化验一次,连续二次不合格,中止执行合同,责任乙方自负。

4、在取样化验过程中，甲方安排中心化验室、热源部、物资供应部人员参加，乙方安排人员参加，取样完毕后，按要求填写热电燃气总公司入场煤炭取样会签单。

5、在进煤过程中，发现乙方明显掺假作弊，立即终止合同。甲方中心化验室单独取作弊部分化验，并将化验结果作为该批次的结帐依据，由此造成的损失由乙方全部承担。

七、奖罚措施

1、合同签定的同时，乙方应向甲方交纳5万元的合同保证金(甲方尚欠煤炭款的除外)。

2、乙方严格按甲方进煤计划和本合同有关质量要求供货，因供货不及时或未达到本合同有关质量要求给甲方生产造成的一切损失，由乙方承担，所交保证金甲方不再退还(或从尚欠煤炭款中扣除)。

3、全水份大于8%的部分，按比例扣除重量。

4、收到基低位发热值在4901-5000Kcal/Kg之间，扣减10元/吨，在

4801-4900Kcal/Kg，扣减20元/吨，低于4800Kcal/Kg拒收，甲方终止合同，已入库部分按热值与吨煤产气量理论值折算扣款。

5、收到基低位发热值5000Kcal/Kg---5500Kcal/Kg内,每增加100Kcal/Kg，价格上调10元/吨，在5500Kcal/Kg---5800Kcal/Kg内,发热量每增加100Kcal/Kg，价格上调5元/吨，大于5800Kcal/Kg不再上调价格。

6、含硫量在指标要求范围内每高于0.1%,价格下调5元/吨.

7、挥发份在指标要求范围内每降低1%，价格下调10元/吨。

八、数量计量

以甲方地中衡称量为准，双方共同监磅。如需外委称重，需有甲乙双方共同监磅，并在过磅单上签字。

九、付款方式及时间

全部接货并验收合格后，乙方按要求出举发票，甲方在十五个工作日内付清货款。

十、本合同如有变更，双方另立供货合同。

十一、本合同如发生纠纷由双方协商解决，如协商不成，提交黄岛区人民法院仲裁。

十二、本合同一式五份，甲方执四份，乙方执一份。

20.Priceadjustmentandrejectionaccordingtoqualityreceived

Undertheagreementofthetwoparties,therewardsandpenaltiestermsshallbeappliedifthequalityofthecoalshippedislowerorhigherthanstandardspecificationsinthecontract.

20.1ForactualGrosscalorificValue,thepriceadjustmentshallasfollowingterms

21.Forcemajeure:

EventsconstitutingForcemajeure

neitherPartyheretoshallbeliableforanydelayorfailureintheperformanceofitsobligationsunderthecontractifandtotheextentthatsuchdelayorfailureisdirectlycausedbyanyeventofForcemajeure.Theexpression“Forcemajeure”asusedinthecontract,meanscauseneitherunforeseeableinnormalplanning,noravoidableusingreasonablediligence,andnotwithinthecontrolofthepartyorPartiesclaimingForcemajeure.including:

actsofGod(naturalforces),warfare,blockade,riots,revolution,insurrection,civiliancommotions,strikes,plagues,epidemics,fires,floods,storms,typhoons,Earthquakes,landslides,obstructionofnavigationattheportofloading,governmentactsincludingpolicychange,ordersofanybranchorsubdivisionthereof,actsofpublicenemiesetc.;Seller’sinabilitytoobtainexportlicenseorBuyer’sinabilitytoobtainimportlicenseorclearance,shallnotbeconsideredasForcemajeure.

21.1.notice

ThepartywhoseperformanceofanyobligationdirectlyaffectedbyaForcemajeureeventshallnotifytheotherpartybyfaxortelegramwithproofatoncetheoccurrencethereof,andshallmakeeveryeffecttomitigatetheadverseeffectthereofonitsperformanceofthecontract.Failuretosubmitsuchalegalnotificationwillnotwaivetheparty’sexonerationfromcontractualobligationsunderForcemajeureevent.

21.2.compensationdelivery

deliveryofgoodsthatwouldhavebeenmadeunderthisagreementduringanyperiodinwhichtheperformanceofeitherpartyispreventedbyForcemajeuredeclaredasspecified,shallbecontinuedduringthecertainperiodundertheagreementoftwoparties.However,theshipmentshallbecancelledifbothpartiesfailtoagreetosuchdeliveryaffectedbyForcemajeuredeclared.
