inisteredtheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)inaccordancewithitsapplicablerules.11.3仲裁解决Ifthepartiesareunabletoresolveadisputethroughmediation,eitherpartymaysubmitthedisputetoarbitrationadministeredCIETACinaccordancewithitsapplicablerules.11.4法律诉讼第十二条合同的变更与终止12.1合同变更ThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.12.2合同终止ThisAgreementmaybeterminatedeitherpartyuponwrittennoticetotheotherpartyiftheotherpartybreachesamaterialprovisionofthisAgreementandfailstocuresuchbreachwithinareasonableperiodoftime.12.3终止后的权利与义务UponterminationofthisAgreement,AgentshallceaseusingBrand'sTrademarksandotherintellectualpropertyandreturnallpromotionalmaterialsandinventoryrelatedtotheProducts.BrandshallcontinuetoprovideAgentwithaftersalesservicefortheProductssoldpriortotermination.第十三条法律适用与争议解决13.1法律适用ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofCountryA.13.2争议解决方式ThepartiesagreetoresolveanydisputesarisingoutoforinconnectionwiththisAgreementthroughthedisputeresolutionmechanismssetforthinthisAgreement.第十四条其他条款14.1合同的生效14.2合同的附件TheexhibitsattachedheretoareanintegralpartofthisAgreementandareincorporatedhereinreference.14.3合同的修订ThisAgreementmayberevisedfromtimetotimethepartiesinwriting第二部分:其他补充性说明和解释说明一:附件列表:附件一:商品种类、规格及数量列表详细列出所有商品的种类、规格和数量信息,作为合同附件,以便双方明确了解合同约定的商品范围。附件二:代理期限时间表明确列出代理期限的起始日期和终止日期,以及双方约定的年度、季度和月度销售目标。附件三:商标授权书Brand出具的商标授权书,授权代理商在指定区域内使用品牌商标进行销售活动。附件四:市场推广和售后服务计划详细描述品牌商为代理商提供的市场推广活动和售后服务内容,包括广告支持、促销活动、培训等。附件五:价格政策表列出商品的采购价格、销售价格以及任何可能的价格调整政策。附件六:采购与销售合同范本明确代理商与品牌商之间的采购和销售条款,包括采购数量、
