新三板的股票转让协议转让2025年通用合同编号：__________stocktransferagreementforthetransferofsharesonthenewthirdboardin2025Thisstocktransferagreement(the"Agreement")isenteredintoasof__________(the"EffectiveDate"),andbetween:RECITALSWHEREAS,theTransfereedesirestopurchasefromtheTransferor,andtheTransferordesirestoselltotheTransferee,theSharesuponthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.SaleandPurchaseofShares1.1SaleofShares.SubjecttothetermsandconditionsofthisAgreement,theTransferoragreestosell,andtheTransfereeagreestopurchase,theShares.1.2PurchasePrice.ThepurchasepricefortheShares(the"PurchasePrice")shallbe__________(the"ClosingDate"),theTransfereeshallpaythePurchasePricetotheTransferorwiretransfertoanaccountdesignatedtheTransferorinaccordancewiththeinstructionssetforthinExhibitAattachedhereto.2.RepresentationsandWarranties2.1RepresentationsandWarrantiesoftheTransferor.TheTransferorrepresentsandwarrantstotheTransfereethat:(a)OwnershipofShares.TheTransferoristherecordowneroftheSharesandhasthelegalrightandauthoritytosell,transferandconveytheSharestotheTransfereefreeandclearofanyliens,encumbrances,orclaims;(b)Authority.TheTransferorhasallnecessarycorporatepowerandauthoritytoenterintothisAgreementandtoconsummatethetransactionscontemplatedhere;(c)ValidandBinding.ThisAgreementhasbeendulyexecutedanddeliveredtheTransferorandconstitutesalegal,validandbindingobligationoftheTransferor,enforceableagainsttheTransferorinaccordancewithitsterms;and(d)NoViolation.TheexecutionanddeliveryofthisAgreementandtheconsummationofthetransactionscontemplatedheredonotandwillnotviolateanylaw,regulation,order,judgmentordecreetowhichtheTransferorissubject,oranyagreementorinstrumenttowhichtheTransferorisapartyorwhichitisbound.2.2RepresentationsandWarrantiesoftheTransferee.TheTransfereerepresentsandwarrantstotheTransferorthat:(a)Authority.TheTransfereehasallnecessarycorporatepowerandauthoritytoenterintothisAgreementandtoconsummatethetransactionscontemplatedhere;(b)ValidandBinding.ThisAgreementhasbeendulyexecutedanddeliveredtheTransfereeandconstitutesalegal,validandbindingobligationoftheTransferee,enforceableagainsttheTransfereeinaccordancewithitsterms;(d)NoBrokerageorfinder'sfee.TheTransfereeagreestoindemnifyandholdharmlesstheTransferorfromanyliabilityforbrokerageorfinder'sfeesorsimilarchargesinconnectionwiththetransactionscontemplatedthisAgreement.3.CovenantsandAgreements3.1TransferofShares.AttheClosing,theTransferorshalldelivertotheTransfereeastockcertificateorcertificatesrepresentingtheShares,properlyexecutedinblank,togetherwithanynecessarystockpowerorotherinstrumentrequiredtoeffectthetransferoftheSharestotheTransferee.3.2DeliveryofDocuments.TheTransferorandtheTransfereeshalleachdeliversuchotherdocumentsandinstrumentsasarenecessarytoconsummatethetransactionscontemplatedthisAgreement.一、附件列表：1.股票转让协议

7.其他根据本协议约定需要提交的相关文件和资料。二、违约行为及认定：1.违反合同的条款：包括但不限于未按约定的时间和方式支付购买价格，未按照约定的期限交付股票等。

2.实质性违约：指违约行为对合同目的产生重大影响，无法通过补救措施弥补损失的情况。

3.轻微违约：指违约行为对合同目的产生一定影响，可以通过补救措施弥补损失的情况。三、法律名词及解释：1.股票转让协议：指转让方和受让方之间关于股票转让的书面协议。

2.转让方：指持有股票并同意将其转让给他人的一方。

3.受让方：指同意购买并接收股票的一方。
