塑料制品分销方案合同编号:__________plasticproductsdistributionschemeCONTRACTAGREEMENTRECITALSWHEREAS,Manufacturerisengagedinthemanufacturingandsupplyofplasticproducts(the"Products");WHEREAS,DistributordesirestodistributetheProductsintheTerritory(asdefinedbelow)andManufactureriswillingtoappointDistributorasitsexclusivedistributoroftheProductsintheTerritory,subjecttothetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:1.APPOINTMENTANDTERRITORY1.1Appointment.ManufacturerhereappointsDistributorasitsexclusivedistributoroftheProductsintheTerritory(asdefinedinSection1.2below).1.2Territory.ForthepurposeofthisAgreement,the"Territory"means____________________.2.DISTRIBUTIONRIGHTSANDOBLIGATIONS2.1Rights.SubjecttothetermsandconditionsofthisAgreement,DistributorshallhavetheexclusiverighttodistributetheProductsintheTerritory.2.2Obligations.Distributorshall:(a)useitsbesteffortstopromoteandselltheProductsintheTerritory;(b)maintainadequateinventoryoftheProductstomeetthedemandintheTerritory;(d)providepromptandefficientaftersalesserviceandsupportfortheProducts;and(e)promptlyreporttoManufacturerallsalesactivitiesandprovidesuchotherinformationasManufacturermayreasonablyrequest.3.MANUFACTURER'SOBLIGATIONS3.1SupplyofProducts.ManufacturershallsupplytheProductstoDistributorinaccordancewiththetermsofthisAgreementandthescheduleagreedupontheparties.3.2QualityControl.ManufacturershallmaintainthequalityoftheProductsinaccordancewiththestandardssetforthinthisAgreement.3.3SupportandTraining.ManufacturershallprovideDistributorwithnecessarysupportandtrainingtoenableDistributortoeffectivelypromoteandselltheProductsintheTerritory.4.PRICINGANDPAYMENT4.1Pricing.ThepurchasepriceoftheProducts(the"PurchasePrice")shallbeassetforthinthescheduleagreedupontheparties.4.2Payment.DistributorshallmakepaymentfortheProductspurchasedunderthisAgreementwithin30daysafterthedateoftheinvoiceissuedManufacturer.5.ORDERANDSHIPMENT5.1Orders.DistributormayplaceordersfortheProductswithManufacturerinaccordancewiththetermsofthisAgreement.5.2Shipment.ManufacturershallpromptlyshiptheProductstoDistributor'sdesignatedlocationintheTerritory.6.TERMANDTERMINATION6.2Termination.ThisAgreementmaybeterminatedeitherpartyuponwrittennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementwhichremainsunremediedforaperiodof30daysafterreceiptofwrittennoticethereoffromthenonbreachingparty.7.CONFIDENTIALITY8.INDEMNIFICATION8.1Indemnification.Eachpartyheretoshallindemnifyandholdharmlesstheotherpartyanditsaffiliates,directors,officers,employeesandagentsfromandagainstanyandalllosses,damages,claims,liabilities,costsandexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanybreachofthisAgreementsuchpartyoranyclaim,action,proceedingorsuitbroughtagainst一、附件列表:1.产品目录和规格书2.销售和市场计划3.价格表4.质量控制标准5.培训材料和手册6.订单模板7.发票和付款记录8.保密协议9.territorymaps二、违约行为及认定:1.未能履行订单或供应产品2.未能满足质量控制标准3.未能在规定时间内支付款项4.未经授权销售产品5.违反保密协议6.未能在规定时间内完成培训或提供支持7.未能遵守适用的法律法规三、法律名词及解释:1.违约(Breach):违反合同条款的行为。2.独家分销权(ExclusiveDistributionRights):制造商授予分销商在特定区域内独家销售其产品的权利。3.领土(Territory):分销协议中指定的产品销售和分销的区域。4.质量控制(QualityControl):确保产品符合既定标准的程序和措施。5.保密信息(ConfidentialInformation):与商业、运营、技术、产品、服务或人员有关的非公开信息。四、执行中遇到的问题及解决办法:1.供应短缺:提前沟通和规划,确保库存充足。2.质量问题:及时沟通,制造商提供补救措施或更换产品。3.支付纠纷:明确支付
