1.ScopeofWork

PartyAshallundertaketheconstructionoftheProjectinaccordancewiththeplans,specifications,anddrawingsprovidedbyPartyB.Thescopeofworkincludes,butisnotlimitedto,thefollowing:

a.Civilengineeringworks,suchasfoundation,superstructure,andfinishes;

b.Electricalandmechanicalinstallations;

c.Plumbingandsanitationworks;

d.Landscapeandhorticulturalworks;

e.AnyotherworknecessaryforthecompletionoftheProjectasspecifiedintheplans,specifications,anddrawings.

2.ContractPrice

ThecontractpricefortheconstructionoftheProjectshallbe[ContractPrice](hereinafterreferredtoas“theContractPrice”)inIndianRupees(INR).

3.PaymentTerms

PartyBshallmakepaymentstoPartyAinaccordancewiththefollowingschedule:

a.AdvancePayment:PartyBshallpay[AdvancePaymentAmount](hereinafterreferredtoas“theAdvancePayment”)toPartyAwithin[AdvancePaymentPeriod]fromthedateofexecutionofthisContract.

b.ProgressPayments:PartyBshallmakeprogresspaymentstoPartyAattherateof[ProgressPaymentPercentage]oftheContractPriceafterthecompletionofeachphaseoftheProject,subjecttotheapprovaloftherelevantauthoritiesandthesatisfactionofPartyB.

c.FinalPayment:PartyBshallmakethefinalpaymenttoPartyAuponthecompletionandacceptanceoftheProject,subjecttothesatisfactionofallconditionsandrequirementsasspecifiedinthisContract.

4.TimeforCompletion

PartyAshallcompletetheconstructionoftheProjectwithin[DurationofConstruction]fromthedateofcommencementofwork,asspecifiedintheplans,specifications,anddrawings.

5.LiabilityandIndemnity

a.PartyAshallbeliableforanydamages,losses,orclaimsarisingoutoftheconstructionoftheProject,includingbutnotlimitedto,anyaccidents,injuries,orpropertydamagecausedduringtheconstructionprocess.

b.PartyAshallindemnifyandholdharmlessPartyBfromanyandallliabilities,claims,demands,actions,orproceedingsarisingoutoforinconnectionwiththeconstructionoftheProject.

6.Insurance

PartyAshallobtainandmaintainallnecessaryinsurancepolicies,includingbutnotlimitedto,workers’compensation,generalliability,andpropertyinsurance,tocovertherisksassociatedwiththeconstructionoftheProject.

7.DisputeResolution

IntheeventofanydisputearisingoutoforinconnectionwiththisContract,thepartiesheretoshallendeavortoresolvethedisputeamicably.Ifthedisputecannotberesolvedamicably,itshallbereferredtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

8.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
