1.LeaseTerm

3.Rent

4.MaintenanceandRepairs

TheLesseeshallberesponsibleforallmaintenanceandrepairstotheEquipmentduringtheLeaseTerm,exceptforrepairscausedbyordinarywearandtearordefectsinmaterialsandworkmanship.

5.Insurance

TheLessorshallmaintainadequateinsurancecoverageontheEquipmentduringtheLeaseTerm.TheLesseeshallberesponsibleforobtainingandmaintainingliabilityinsurancefortheuseoftheEquipment.

6.ReturnofEquipment

AttheexpirationorterminationoftheLeaseTerm,theLesseeshallreturntheEquipmenttotheLessorinthesameconditionasatthecommencementoftheLeaseTerm,ordinarywearandtearexcepted.

7.DefaultandTermination

IntheeventofanydefaultbytheLesseeunderthisAgreement,theLessormay,atitsoption,terminatethisAgreementandrecoverpossessionoftheEquipment.

8.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

9.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.

4.Lessee'sRightsandObligations

b.TheLesseeshallberesponsiblefortheproperoperation,maintenance,andcareoftheEquipment.

c.TheLesseeshallprovidetimelypaymentofRentasspecifiedinSection5.

5.Lessor'sRightsandObligations

a.TheLessorretainsownershipoftheEquipmentduringtheLeaseTerm.

b.TheLessorshallprovidetheLesseewithacopyoftheEquipment'swarrantyandusermanual.

c.TheLessorshallensurethattheThirdPartyServicesareprovidedinatimelyandefficientmanner.

6.Rent

9.Lessee'sDefaultandTermination
