WHEREAS,Party1isengagedintheprofessionoffilmdirectinganddesirestodirectafilmprojectproducedbyParty2;

WHEREAS,Party2isengagedintheproductionofmotionpicturesanddesirestoengageParty1todirectafilmproject;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thereceiptandsufficiencyofwhichareherebyacknowledged,thePartiesagreeasfollows:

1.ScopeofWork:Party1agreestodirectthefilmprojecttitled"[FilmTitle]"("Film")forParty2.TheservicesprovidedbyParty1shallinclude,butnotbelimitedto,thefollowing:

a.Pre-production:Developingthefilm'sstory,script,andoverallvision;

b.Production:Directingthecastandcrewduringthefilmingprocess,includingcasting,shooting,andediting;

c.Post-production:ApprovingthefinalcutoftheFilm,ensuringthatitmeetstheagreed-uponstandardsandspecifications.

2.Compensation:Party1shallbecompensatedasfollows:

a.UpfrontPayment:Party1shallreceiveanupfrontpaymentof[Amount]("UpfrontPayment")upontheexecutionofthisAgreement;

b.AdditionalCompensation:Party1shallbeentitledtoreceiveadditionalcompensationintheformofroyaltiesorresiduals,asagreeduponintheattachedScheduleA.

3.TermandTermination:ThisAgreementshallcommenceonthedateofthisAgreementandshallcontinueforaperiodof[Number]months("Term").EitherPartymayterminatethisAgreementupon[Number]days'writtennoticetotheotherParty.Intheeventoftermination,Party1shallbeentitledtoreceiveanyunpaidcompensationandotherbenefitsdueunderthisAgreement.

4.IntellectualPropertyRights:Party1acknowledgesandagreesthatallrights,title,andinterestinandtotheFilm,includingbutnotlimitedtothescreenplay,script,andanyderivativeworks,shallremainthesoleandexclusivepropertyofParty2.Party1herebyassigns,transfers,andconveystoParty2allofitsrights,title,andinterestinandtotheFilm.

5.Confidentiality:Party1agreestokeepconfidentialallinformationandmaterialsrelatingtotheFilm,includingbutnotlimitedtothescript,casting,andproductiondetails.Party1shallnotdiscloseanysuchinformationtoanythirdpartywithoutthepriorwrittenconsentofParty2.

6.Indemnification:Party1agreestoindemnify,defend,andholdharmlessParty2,itsofficers,directors,employees,andagentsfromandagainstanyandallclaims,liabilities,damages,losses,andexpensesarisingoutoforinconnectionwithParty1'sperformanceorfailuretoperformunderthisAgreement.

7.GoverningLawandJurisdiction:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

1.Engagement:

a.Party1agreestoserveasthedirectoroftheFilm,subjecttothetermsandconditionssetforthinthisAgreement.

b.Party2agreestoemployParty1insuchcapacityandtoprovidethenecessarysupportandresourcesforthesuccessfulcompletionoftheFilm.

2.ScopeofWork:

a.Party1shallberesponsibleforallcreativeandartisticdecisionsrelatedtotheFilm,includingbutnotlimitedtoscriptinterpretation,casting,shotselection,andpost-productionsupervision.

b.Party1shallattendallproductionmeetings,rehearsals,andfilmingsessionsasrequiredtoensuretheproperexecutionoftheFilm.

3.Compensation:

a.Party1shallbeentitledtoreceiveanupfrontpaymentof[Amount]("UpfrontPayment")upontheexecutionofthisAgreement.

b.InadditiontotheUpfrontPayment,Party1shallbeentitledtoreceiveapercentageofthenetprofitsderivedfromtheFilmassetforthintheattachedScheduleB.

4.Term:

a.ThisAgreementshallcommenceonthedateofthisAgreementandshallcontinueuntilthecompletionoftheFilm,asdefinedinSection2above.

b.EitherPartymayterminatethisAgreementuponwrittennoticetotheotherParty,providedsuchterminationismadeatleast[Number]dayspriortothescheduledcompletiondateoftheFilm.

5.IntellectualPropertyRights:

a.Party1herebyassignstoParty2allright,title,andinterestinandtoanyandallintellectualpropertyrightsarisingoutoforinconnectionwiththeFilm.

b.Party1agreestoexecuteallnecessarydocumentsandtakeallactionsrequiredtoconfirmtheassignmentofsuchintellectualpropertyrightstoParty2.

6.Confidentiality:

a.Party1agreestomaintaintheconfidentialityofallconfidentialinformationdisclosedbyParty2duringthecourseofthisAgreement.

b.Party1agreesnottodiscloseanysuchconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentofParty2.

7.Indemnification:

a.Party1agreestoindemnify,defend,andholdharmlessParty2fromandagainstanyandallclaims,liabilities,damages,losses,andexpensesarisingoutoforinconnectionwithParty1'sperformanceorfailuretoperformunderthisAgreement.

b.Party2agreestoindemnify,defend,andholdharmlessParty1fromandagainstanyandallclaims,liabilities,damages,losses,andexpensesarisingoutoforinconnectionwithParty2'sbreachofthisAgreement.

8.GoverningLawandJurisdiction:

a.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].

4.TerminationandCancellation:

a.Party2mayterminatethisAgreementuponwrittennoticetoParty1ifParty1failstoperformitsobligationsunderthisAgreement,providedsuchfailureisnotcuredwithin[Number]daysofwrittennotice.

b.Party1maycancelthisAgreementuponwrittennoticetoParty2ifParty2failstomeetitspaymentobligationsorbreachesanyothermaterialtermofthisAgreement.

5.LimitationsofLiability:

a.Party1shallnotbeliableforanyindirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththeFilm,includingbutnotlimitedtolossofprofitsorgoodwill.

b.Party2shallindemnify,defend,andholdharmlessParty1fromandagainstanyandallclaims,actions,orproceedingsarisingoutoforinconnectionwiththeFilm,providedthatParty1promptlynotifiesParty2ofanysuchclaim.

6.GoverningLawandDisputeResolution:

a.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].
