ANDWHEREAS,theSellerandtheBuyerwishtoenterintothisContractforthepurposeofpurchasingthefollowinggoodsandservices(hereinafterreferredtoas“theGoods”):

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereinaftersetforth,thepartiesheretoagreeasfollows:
1.SupplyandPurchaseofGoods
1.1TheSellershallsupplytheBuyerwiththeGoodsinaccordancewiththespecificationsandquantitiessetforthintheattachedScheduleA(hereinafterreferredtoas“theSchedule”).
1.2TheBuyershallpurchasetheGoodsfromtheSellerinaccordancewiththetermsandconditionssetforthinthisContract.
1.3TheSellershalldelivertheGoodstotheBuyeratthedesignateddeliverylocationspecifiedintheSchedule.
1.4TheBuyershallinspecttheGoodsuponreceiptandconfirmthequantityandqualitythereofwithin[Number]daysfromthedateofdelivery.
2.PriceandPayment
2.1ThepricefortheGoodsshallbe[Price]perunit,asstatedintheSchedule.
2.2TheBuyershallpaytheSellerfortheGoodsinaccordancewiththepaymenttermssetforthinthisContract.
2.3Thepaymentshallbemadeby[PaymentMethod]within[Number]daysfromthedateofinvoice.
3.DeliveryandAcceptance
3.1TheSellershalldelivertheGoodstotheBuyerwithin[Number]daysfromthedateofexecutionofthisContract.
3.2TheBuyershallaccepttheGoodsupondeliveryandconfirmtheacceptanceinwritingwithin[Number]daysfromthedateofdelivery.
4.Warranties
4.1TheSellerwarrantsthattheGoodsshallbefreefromdefectsinmaterialsandworkmanshipandshallconformtothespecificationssetforthintheSchedule.
4.2TheSellershallprovideawarrantyperiodof[Number]monthsfromthedateofdeliveryfortheGoods.
5.IntellectualProperty
5.1TheSellerretainsallrights,title,andinterestinandtoanyintellectualpropertyrightsassociatedwiththeGoods.
5.2TheBuyershallnotinfringeuponanyintellectualpropertyrightsoftheSellerduringthetermofthisContract.
6.GoverningLawandDisputeResolution
6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
6.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifthepartiesfailtoreachanamicableresolution,thedisputesshallbesubmittedtothecompetentcourtof[Jurisdiction]forarbitration.
7.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.

ANDWHEREAS,theSellerisengagedinthebusinessofsupplyinggoodsandservices;
ANDWHEREAS,theThirdPartyisengagedinthebusinessofprovidingspecializedservicesrelatedtotheprocurementandsupplyofgoodsandservices;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereinaftersetforth,thepartiesheretoagreeasfollows:
1.ProcurementofGoodsandServices
1.1ThePrincipalPartyshallprocuretheGoodsandServicesfromtheSeller,asspecifiedintheattachedScheduleA(hereinafterreferredtoas“theSchedule”).
1.2TheSellershallsupplytheGoodsandServicestothePrincipalPartyinaccordancewiththespecificationsandquantitiessetforthintheSchedule.
2.RoleoftheThirdParty
2.1TheThirdPartyshallactasaconsultantandfacilitatorintheprocurementprocess,providingspecializedservicestothePrincipalParty.
2.2TheThirdPartyshallnotassumeanyliabilityforthequality,delivery,orperformanceoftheGoodsandServices.
3.PrincipalParty'sRightsandObligations
3.1ThePrincipalPartyhastherighttoinspectandapprovetheGoodsandServicespriortoacceptance.
3.2ThePrincipalPartyshallhavetherighttoterminatethisContractiftheSellerfailstomeettheagreed-uponspecificationsordeliveryschedule.
3.3ThePrincipalPartyshallpaytheSellerfortheGoodsandServicesinaccordancewiththepaymenttermssetforthinthisContract.
4.Seller'sRightsandObligations
4.1TheSellerhastherighttoreceivepaymentfromthePrincipalPartyfortheGoodsandServicessupplied.
4.2TheSellershalldelivertheGoodsandServicestothePrincipalPartyinaccordancewiththespecificationsandquantitiessetforthintheSchedule.
4.3TheSellershallprovideawarrantyperiodof[Number]monthsfromthedateofdeliveryfortheGoodsandServices.
5.ThirdParty'sRightsandObligations
5.1TheThirdPartyhastherighttoreceivepaymentfromthePrincipalPartyforthespecializedservicesprovided.
5.2TheThirdPartyshallberesponsibleforprovidingaccurateandtimelyinformationtothePrincipalPartyregardingtheprocurementprocess.
5.3TheThirdPartyshallnotdiscloseanyconfidentialinformationofthePrincipalPartytoanythirdpartywithoutthePrincipalParty'spriorwrittenconsent.
6.Seller'sandThirdParty'sLimitationsofLiability
6.1TheSellershallnotbeliableforanylossordamagecausedbyanyfailureofthePrincipalPartytocomplywiththetermsofthisContract.
6.2TheThirdPartyshallnotbeliableforanylossordamagecausedbyanyfailureoftheSellertocomplywiththetermsofthisContract.
7.PrincipalParty'sRightsinCaseofSeller'sDefault
7.1IntheeventoftheSeller'sdefault,thePrincipalPartyshallhavetherighttoterminatethisContractimmediately.
7.2Upontermination,thePrincipalPartyshallhavetherighttoseekalternativesuppliersandshallnotbeliableforanyadditionalcostsincurredindoingso.
8.GoverningLawandDisputeResolution
8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

9.EntireAgreement

TheinterventionoftheThirdPartyinthisContractservestoenhancetheefficiencyandeffectivenessoftheprocurementprocessforthePrincipalParty.Byprovidingspecializedservices,theThirdPartyaimstofacilitateasmoothertransaction,reducerisks,andoptimizethePrincipalParty'spurchasingdecisions.ThePrincipalParty,asthedominantpartyinthiscontract,seekstoprotectitsinterestsbyensuringthequalityandtimelinessoftheGoodsandServices,aswellasmaintainingcontrolovertheprocurementprocess.Theinclusionofdetailedrights,obligations,andlimitationsforallpartiesinvolvedensuresthatthePrincipalParty'sinterestsareprioritizedandthatthecontractisenforceableintheeventofanydisputes.

3.2TheSellershalldelivertheGoodsandServicestothePrincipalPartyinaccordancewiththespecificationsandquantitiessetforthintheSchedule.
3.3TheSellershallprovideawarrantyperiodof[Number]monthsfromthedateofdeliveryfortheGoodsandServices.
4.PrincipalParty'sRightsandObligations
4.1ThePrincipalPartyhastherighttoinspectandaccepttheGoodsandServicesupondelivery.

5.ThirdParty'sRightsandObligations
5.1TheThirdPartyhastherighttoreceivepaymentfromthePrincipalPartyforthespecializedservicesprovided.
5.2TheThirdPartyshallberesponsibleforprovidingaccurateandtimelyinformationtothePrincipalPartyregardingthesupplyprocess.
5.3TheThirdPartyshallnotdiscloseanyconfidentialinformationofthePrincipalPartytoanythirdpartywithoutthePrincipalParty'spriorwrittenconsent.
6.Seller'sLimitationsofLiability
6.1TheSellershallnotbeliableforanylossordamagecausedbyanyfailureofthePrincipalPartytocomplywiththetermsofthisContract.
6.2TheSellershallnotbeliableforanylossordamagecausedbyanyunforeseencircumstancesbeyonditsreasonablecontrol.
7.PrincipalParty'sRightsinCaseofSeller'sDefault
7.1IntheeventoftheSeller'sdefault,thePrincipalPartyshallhavetherighttoterminatethisContractimmediately.
7.2Upontermination,thePrincipalPartyshallhavetherighttoseekalternativesuppliersandshallnotbeliableforanyadditionalcostsincurredindoingso.
8.GoverningLawandDisputeResolution
8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
