2024年度商务代理及授权合同本合同目录一览第一条商务代理及授权范围1.1代理产品及服务1.2代理区域1.3代理期限第二条双方的权利和义务2.1代理商的权益2.2授权方的责任2.3代理商的责任第三条商务条款3.1销售目标3.2价格政策3.3付款条件3.4售后服务第四条宣传与推广4.1代理商宣传策略4.2授权方提供的支持4.3市场推广活动第五条培训与技术支持5.1代理商培训5.2技术支持与服务第六条知识产权保护6.1授权方知识产权6.2代理商的行为规范第七条保密协议7.1保密信息7.2保密期限7.3保密泄露后果第八条违约责任8.1违约行为8.2违约责任承担第九条争议解决9.1协商解决9.2调解9.3法律途径第十条合同的生效与终止10.1合同生效条件10.2合同终止条件第十一条合同的修改与补充11.1修改条件11.2补充协议第十二条法律适用与管辖12.1适用法律12.2争议管辖第十三条其他条款13.1信息保密13.2商业信誉13.3合作精神第十四条双方签字盖章14.1授权方签字14.2代理商签字14.3签字日期第一部分：合同如下：第一条商务代理及授权范围1.1代理产品及服务代理商shallactasanexclusiveagentforthesaleofthefollowingproductsandservices(the"Products")intheterritory(the"Territory"):(i)allproductsmanufacturedordistributedtheLicensor,aslistedintheappendixhereto;(ii)allservicesprovidedtheLicensor,aslistedintheappendixhereto.1.2代理区域TheTerritoryshallmeanthe[insertdescriptionofterritory,e.g.,allofChina].1.3代理期限第二条双方的权利和义务2.1代理商的权益(i)TheLicensoragreestosupplytheProductstotheAgentinsuchquantitiesandwithinsuchtimeframesastheLicensormaydetermine,subjecttothetermsandconditionsofthisAgreement.(iii)TheAgentshallhavetherighttousetheLicensor'stradenames,trademarksandlogosinconnectionwiththemarketingandsaleoftheProducts,subjecttothetermsandconditionsofthisAgreement.2.2授权方的责任(i)TheLicensorshallberesponsibleforthequalityandsafetyoftheProductsandforanyclaimsorliabilityarisingoutoforinconnectionwiththeuseorsaleoftheProducts.(ii)TheLicensorshallindemnifyandholdharmlesstheAgentagainstanyclaimsorliabilityarisingoutoforinconnectionwithanyuseorsaleoftheProducts,excepttotheextentcausedtheAgent'snegligenceorbreachofthisAgreement.2.3代理商的责任(i)TheAgentshallberesponsiblefortheproperstorage,handlingandsaleoftheProductsinaccordancewiththeLicensor'sinstructionsandallapplicablelawsandregulations.(ii)TheAgentshallmaketimelypaymentstotheLicensorfortheProductssuppliedunderthisAgreement,subjecttothetermsandconditionsofthisAgreement.(iii)TheAgentshallnotassignorsublicenseanyofitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheLicensor.第三条商务条款3.1销售目标3.2价格政策ThepricesfortheProductsshallbeassetforthinthepricelistprovidedtheLicensorfromtimetotime,whichshallbeeffectiveupontheAgent'sreceiptthereof.TheLicensorreservestherighttoadjustthepricesoftheProductsfromtimetotime.3.3付款条件TheAgentshallmakepaymentsfortheProductswithin[insertnumber]daysafterthedateoftheinvoiceissuedtheLicensor.3.4售后服务TheAgentshallprovideaftersaleservicefortheProductsinaccordancewiththetermsandconditionssetforthintheappendixhereto.第四条宣传与推广4.1代理商宣传策略TheAgentshalldevelopandimplementamarketingplanfortheProducts,whichshallbesubjecttotheapprovaloftheLicensor.TheAgentshallprovidetheLicensorwithcopiesofallpromotionalmaterialsandadvertisingusedinconnectionwiththeProducts.4.2授权方提供的支持TheLicensorshallprovidetheAgentwithreasonabletechnicalandpromotionalsupportinconnectionwiththemarketingandsaleoftheProducts,assetforthintheappendixhereto.4.3市场推广活动TheAgentshallberesponsiblefororganizingandhostingallmarketingeventsandpromotionalactivitiesfortheProductsintheTerritory,atitsownexpense.TheLicensormay,atitsoption,providesupportforsucheventsandactivities,subjecttothetermsandconditionsofthisAgreement.第五条培训与技术支持5.1代理商培训TheLicensorshallprovidetrainingtotheAgent'semployeeswithrespecttotheProducts,assetforthintheappendixhereto.5.2技术支持与服务TheLicensorshallprovidetechnicalsupportandservicesfortheProductstothecustomersintheTerritory,assetforthintheappendixhereto.第六条知识产权保护6.1授权方知识产权AllintellectualpropertyrightsinandtotheProductsandanyassociatedtechnology,documentationandmaterialsshallremainthepropertyoftheLicensor.6.第八条违约责任8.1违约行为(i)IfeitherpartybreachesanymaterialprovisionofthisAgreement,theotherpartymayhavetherighttoterminatethisAgreementuponwrittennoticetothebreachingparty.(ii)IftheAgentfailstoachievethesalestargetssetforthintheappendixhereto,theLicensormayhavetherighttoterminatethisAgreementuponwrittennoticetotheAgent,unlesstheAgentcuresuchfailurewithinareasonableperiodoftimeasdeterminedtheLicensor.8.2违约责任承担(i)IntheeventofabreachofthisAgreementeitherparty,thenonbreachingpartyshallbeendtorecoverfromthebreachingpartyalldamages,costsandexpenses(includingreasonableattorney'sfees)incurredthenonbreachingpartyasaresultofsuchbreach.(ii)TheLicensorshallnotbeliableforanyindirect,incidental,consequentialorpunitivedamagesarisingoutoforinconnectionwiththisAgreement,underanylegaltheory.第九条争议解决9.1协商解决AnydisputesarisingoutoforinconnectionwiththisAgreementshallfirstberesolvedthroughnegotiationsbetweentheparties.9.2调解Ifthepartiesareunabletoresolveanysuchdisputesthroughnegotiations,eitherpartymaysubmitthedisputestomediationadministeredtheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)inaccordancewithitsrulesthenineffect.9.3法律途径Ifthepartiesareunabletoresolveanysuchdisputesthroughmediation,eitherpartymaybringalegalactioninthecourtslocatedin[insertjurisdiction],andthisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[insertjurisdiction].第十条合同的生效与终止10.1合同生效条件10.2合同终止条件(ii)ThisAgreementmaybeterminatedtheLicensoruponwrittennoticetotheAgentiftheAgentfailstoachievethesalestargetssetforthintheappendixheretoduringtheTerm.第十一条合同的修改与补充11.1修改条件ThisAgreementmaybeamendedorsupplementedthepartiesfromtimetotimewrittenagreementexecutedbothparties.11.2补充协议AnyamendmentorsupplementtothisAgreementshallbeeffectiveonlyifexecutedinwritingbothparties.第十二条法律适用与管辖12.1适用法律ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[insertjurisdiction].12.2争议管辖AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtothecourtslocatedin[insertjurisdiction]forresolution.第十三条其他条款13.1信息保密BothpartiesagreetokeepconfidentialallproprietaryandconfidentialinformationexchangedbetweenthemunderthisAgreement,andtousesuchinformationonlyforthepurposespermittedunderthisAgreement.13.2商业信誉13.3合作精神Bothpartiesagreetoworktogetheringoodfaithandtocooperatewitheachotherinpromoting,marketingandsellingtheProductsintheTerritory.第十四条双方签字盖章14.1授权方签字TheundersignedrepresentativeoftheLicensorhererepresentsandwarrantsthathe/shehasthefullauthoritytobindtheLicensortothisAgreementandaffixestheLicensor'sofficialsealhereto.14.2代理商签字TheundersignedrepresentativeoftheAgenthererepresentsandwarrantsthathe/shehasthefullauthoritytobindtheAgenttothisAgreementandaffixestheAgent'sofficialsealhereto.14.3签字日期ThepartieshaveexecutedthisAgreementasofthedatefirstabovewritten.第二部分：第三方介入后的修正第一条第三方介入定义1.1第三方定义ForthepurposesofthisAgreement,"ThirdParty"shallmeananyindividual,entityororganizationthatisnottheLicensorortheAgent,andthatisinvolvedinanywayintheperformanceofthisAgreement,includingbutnotlimitedtoconsultants,subcontractors,suppliersandcustomers.1.2第三方责任限定TheliabilityofaThirdPartyshallbelimitedtotheobligationsandresponsibilitiesexpresslysetforthinthisAgreement,andshallnotextendtoanyotherobligationsorresponsibilitiesoftheLicensorortheAgent.第二条第三方介入条款2.1第三方选择TheLicensorandtheAgentmay,fromtimetotime,engagetheservicesofThirdPartiestoassistintheperformanceoftheirobligationsunderthisAgreement.TheengagementofanyThirdPartyshallbesubjecttothepriorwrittenconsentoftheotherparty,whichconsentshallnotbeunreasonablywithheld.2.2第三方义务2.3第三方协调第三条第三方责任限额3.1第三方责任限制TheliabilityofaThirdPartytotheLicensorortheAgentshallbelimitedtotheextentoftheinsurancecoveragemaintainedsuchThirdParty,ortotheamountofthepaymentreceivedtheLicensorortheAgentfromsuchThirdParty,whicheverisless.3.2第三方赔偿第四条第三方违约处理4.1第三方违约4.2第三方违约处理TheLicensorandtheAgentshalltakeallnecessarystepstomitigateanylossesordamagesresultingfromabreachofthisAgreementaThirdParty,andshallcooperatewitheachotherintheenforcementofthisAgreementagainstsuchThirdParty.第五条第三方权益保护5.1第三方信息保护TheLicensorandtheAgentshallensurethatanypersonalorconfidentialinformationprovidedaThirdPartyisprotectedandusedinaccordancewithapplicablelawsandregulations,andshallnotdisclosesuchinformationtoanyunauthorizedparties.5.2第三方知识产权保护TheLicensorandtheAgentshallrespecttheintellectualpropertyrightsofThirdParties,andshallnotuseordistributeanyintellectualpropertyofaThirdPartywithouttheexpresswrittenconsentofsuchThirdParty.第六条第三方退出条款6.1第三方退出通知AThirdPartymaywithdrawfromitsengagementunderthisAgreementprovidingwrittennoticetotheLicensorandtheAgent.ThewithdrawalofaThirdPartyshallnotaffecttheobligationsoftheLicensorandtheAgentunderthisAgreement.6.2第三方退出后果UponthewithdrawalofaThirdParty,theLicensorandtheAgentshalltakeallnecessarystepstoensurethecontinuityoftheperformanceofthisAgreement,andshallpromptlyreplacetheservicesorobligationsofthewithdrawingThirdPartywithanotherqualifiedThirdParty.第七条第三方协调与监督7.1第三方协调机构TheLicensorandtheAgentmayestablishacoordinationandsupervisionmechanismtooverseetheperformanceofThirdPartiesunderthisAgreement.7.2第三方监督机构第八条第三方合规性检查8.1第三方合规性要求8.2第三方合规性报告第九条第三方培训与指导9.1第三方培训TheLic第三部分：其他补充性说明和解释说明一：附件列表：附件1：产品清单详细列出所有由授权方制造或分发的产品，包括但不限于产品名称、型号、规格、单价等信息。附件2：服务清单详细列出所有由授权方提供的服务，包括但不限于服务名称、服务内容、收费标准等信息。附件3：代理区域描述详细描述代理区域的具体范围，包括但不限于地理位置、覆盖区域、目标客户群体等信息。附件4：销售目标详细列出代理商在合同期限内需要达到的销售目标，包括具体的产品和服务的销售数量、销售额等。附件5：价格
