跨国公司法人聘用合同英文版合同编号:__________partiesthisagreement(the"agreement")isenteredintoasof__________(the"effectivedate"),andbetween:and[nameofindividual]("employee"),aresidentof__________,withapersonaladdressat__________.referredtoindividuallyasa"party"andcollectivelyasthe"parties".agreement1.employment1.2duties.duringtheemploymentperiod,theemployeeshallperformsuchdutiesasareconsistentwiththeemployee'spositionand,asmaybeassignedtheemployerfromtimetotime.theemployeeshallreportto__________(nameofsupervisor)attheemployer'sprincipalplaceofbusiness.2.1basesalary.theemployeeshallreceiveabasesalaryof__________(amount)peryear,payablein__________(frequency)installments.2.2benefits.theemployeeshallbeendtosuchbenefitsasarecustomarilyprovidedtheemployertoitsfulltimeemployees,including,butnotlimitedto,healthinsurance,retirementbenefitsandpaidtimeoff.thespecifictermsofsuchbenefitsshallbesetforthinaseparatebenefitsplandocument.2.3bonuses.theemployeemaybeeligibleforperformancebasedbonusesasdeterminedtheemployerinitssolediscretion.3.confidentialityandnondisclosure3.1confidentiality.theemployeeagreestomaintaininstrictconfidenceandnotuseordisclosetoanythirdpartyanyconfidentialinformationoftheemployer(the"confidentialinformation"),exceptasrequiredlaworwiththepriorwrittenconsentoftheemployer.theconfidentialinformationincludes,butisnotlimitedto,tradesecrets,customerlists,financialdataandotherbusinessinformation.4.termination4.1terminationeitherparty.eitherpartymayterminatethisagreementuponwrittennoticetotheotherparty,intheeventofamaterialbreachofthisagreementtheotherpartythatisnotcuredwithin__________(duration)afterreceiptofwrittennoticefromthenonbreachingparty.4.2terminationemployer.theemployermayterminatethisagreementimmediatelyuponwrittennoticetotheemployeeintheeventof:(a)theemployee'smaterialbreachofthisagreement;(b)theemployee'sconvictionofafelonyoracrimeinvolvingmoralturpitude;(c)theemployee'sfailuretoperformtheessentialdutiesoftheemployee'sposition;or(d)theemployee'sengagementinconductthatisdetrimentaltotheinterestsoftheemployer.4.3terminationemployee.theemployeemayterminatethisagreementimmediatelyuponwrittennoticetotheemployerintheeventof:(a)amaterialbreachofthisagreementtheemployer;or(b)theemployee'sresignationforgoodreason,asdefinedintheemploymenthandbookoftheemployer.5.indemnification5.1indemnificationemployer.theemployershallindemnifytheemployeeagainstanyandallclaims,losses,damages,expenses(includingattorney'sfees)andliabilitiesarisingoutoforinconnectionwiththeperformanceoftheemployee'sdutiesunderthisagreement,excepttotheextentcausedtheemployee'sgrossnegligenceorwillfulmisconduct.6.miscellaneous6.1assignment.thisagreementmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.6.3Governinglawandjurisdiction.thisagreementshallbegovernedandconstruedinaccordancewiththelawsof__________,andanydisputesarisingoutoforinconnectionwiththisagreementshallbesubjecttotheexclusivejurisdictionofthecourtsof__________.一、附件列表:员工手册福利计划文档绩效评估标准保密协议非竞争协议雇佣证明文件二、违约行为及认定:员工未能履行合同约定的duties为违约行为。雇主未能支付约定的basesalary或未能提供约定的benefits为违约行为。泄露或使用雇主confidentialinformation或违反非竞争协议为违约行为。任何一方未能履行合同中其他条款的行为也可被认定为违约行为。三、法律名词及解释:违约:违反合同条款的行为。保密信息:包含商业秘密、客户列表、财务数据等不应被泄露的商业信息。非竞争协议:员工在特定时间内不得在与雇主有竞争关系的企业工作或为该企业提供服务。雇佣期:员工与雇主之间的合同期限。四、执行中遇到的问题及解决办法:员工未按约定履行duties:与员工沟通并给予改正的机会,如无法改正则按合同条款进行处理。雇主未支付salary或benefits:书面提醒,如不改正可视为违约并寻
