3.QuantityandDelivery

a.Thequantityof[specificproductsorcomponents]tobesuppliedunderthisContractshallbeasagreeduponbetweentheparties.

b.Manufacturershalldeliverthe[specificproductsorcomponents]toOEMwithinthetimeframeagreeduponbytheparties.

4.PricesandPaymentTerms

a.Thepricesofthe[specificproductsorcomponents]suppliedunderthisContractshallbeasagreeduponbetweentheparties.

5.IntellectualPropertyRights

6.WarrantiesandIndemnities

a.Manufacturerwarrantsthatthe[specificproductsorcomponents]suppliedunderthisContractshallbefreefromanyliens,encumbrances,orotherthird-partyclaims.

b.ManufacturershallindemnifyOEMagainstanyandallclaims,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwiththe[specificproductsorcomponents]suppliedunderthisContract.

7.Confidentiality

a.Thepartiesagreetokeepconfidentialallinformationdisclosedbyeitherpartyduringthenegotiation,execution,andperformanceofthisContract.

b.Confidentialinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

8.TermandTermination

a.ThisContractshallbeeffectivefromthedateofexecutionandshallremaininfullforceandeffectforaperiodof[numberofyears/months].

b.EitherpartymayterminatethisContractupon[specificevent(s)]byprovidingwrittennoticetotheotherparty.

9.GoverningLawandDisputeResolution
