冷库食品买卖合同合同编号：__________partiesthiscontract(hereinafterreferredtoasthe"contract")isenteredintoandbetweenthefollowingparties:partya(hereinafterreferredtoasthe"seller"):name:____________________address:____________________contactperson:____________________telephonenumber:____________________partyb(hereinafterreferredtoasthe"buyer"):name:____________________address:____________________contactperson:____________________telephonenumber:____________________subjectmatterwhereas,thesellerisengagedinthebusinessofsellingfrozenfoodproducts(hereinafterreferredtoasthe"products");whereas,thebuyerdesirestopurchasetheproductsfromtheseller;now,therefore,thepartiesheretoagreeasfollows:article1:products1.1theproductscoveredthiscontractshallincludethefollowing:(listofproducts,specifications,quantitiesandotherrelevantinformation)1.2thesellershallprovidethebuyerwithadetailedlistoftheproductstobedelivered,includingspecifications,quantitiesandotherrelevantinformation,atleast7daysbeforethedeliverydate.article2:priceandpaymentterms2.1thebuyershallpaythesellerthetotalpurchasepricefortheproductsassetforthinthedetailedlistprovidedthesellerinaccordancewiththepricelistoftheseller.2.2thebuyershallmakethepaymentwithin30daysafterthedateoftheinvoiceissuedtheseller.2.3thepaymentshallbemadebanktransfertotheaccountdesignatedtheseller.article3:deliveryandacceptance3.1thesellershalldelivertheproductstothebuyer'sdesignatedlocation(hereinafterreferredtoasthe"deliverylocation")onorbeforethedeliverydate.3.2thebuyershallinspecttheproductsupondeliveryandsignthedeliverynote.iftheproductsdonotconformtotheagreedspecifications,quantitiesorquality,thebuyershallpromptlynotifythesellerinwriting.3.3thesellershallnotbeliableforanydelaysindeliveryornondeliveryduetoforcemajeureorcausesbeyondtheseller'sreasonablecontrol.article4:warranty4.1thesellerwarrantsthattheproductsconformtotheagreedspecifications,quantitiesandquality.4.2iftheproductsdonotconformtotheagreedspecifications,quantitiesorquality,thesellershall,atitsoption,eitherreplacethenonconformingproductsorrefundthepurchasepriceforthenonconformingproducts.article5:breachofcontract5.1ifeitherpartybreachesanyprovisionofthiscontract,theotherpartymaysuefordamagesand/orterminatethiscontract.5.2thesellershallbeliableforanylossordamagesufferedthebuyerduetotheseller'sbreachofthiscontract.article6:confidentiality6.1thepartiesagreetokeepconfidentialallinformationexchangedbetweentheminconnectionwiththiscontract,exceptforinformationthatispubliclyavailableorrequiredtobedisclosedlaw.6.2thepartiesagreethattheconfidentialinformationshallnotbeusedforanypurposeotherthantheperformanceofthiscontract.article7:termination7.1eitherpartymayterminatethiscontractgivingwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialprovisionofthiscontractandfailstocuresuchbreachwithin30daysafterreceiptofwrittennoticefromtheterminatingparty.7.2thiscontractmayalsobeterminatedmutualagreementoftheparties.article8:disputeresolution8.2thearbitrationshallbeheldinthecitywherethesellerislocated.article9:miscellaneous9.1thiscontractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiationsanddiscussions,whetheroralorwritten,oftheparties.9.2thiscontractmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.9.3ifanyprovisionofthiscontractisheldtobeinvalidorunenforceable,suchprovisionshallbeconstruedascloselyaspossibletoreflecttheoriginalintentoftheparties,andtheotherprovisionsofthiscontractshallremaininfullforceandeffect.9.4thiscontractshallbegovernedandconstruedinaccordancewiththelawsofthecountrywherethesellerislocated.inwitnesswhereof,thepartieshave一、附件列表：详细产品清单规格说明书质量检验报告付款证明文件交付凭证二、违约行为及认定：卖方未能按时交付产品卖方交付的产品不符合约定规格、数量或质量买方未能按时支付款项任何一方未履行合同中的保密义务任何一方违反合同条款，经催告后在合理期限内仍未纠正三、法律名词及解释：卖方：指承担销售产品义务的一方买方：指承担购买产品义务的一方违约：指未履行合同约定的义务forcemajeure：指无法预见、无法避免且无法克服的不可抗力事件仲裁：指通过第三方仲裁机构解决合同争议
