总经销授权书范本合同编号:__________parties:hereinafterreferredtoasthe"distributor"andthe"manufacturer",whicharebothlegalentitieswithfulllegalcapacityandlegalrepresentation.partya(distributor):name:____________________address:____________________representative:____________________identitycardnumber:____________________contactinformation:____________________partyb(manufacturer):name:____________________address:____________________representative:____________________identitycardnumber:____________________contactinformation:____________________object:thedistributorisauthorizedthemanufacturertoactastheexclusivedistributorofthemanufacturer'sproductsintheterritoryof____________________(hereinafterreferredtoasthe"territory").term:thisauthorizationshalltakeeffectfrom____________________andshallexpireon____________________.eitherpartymayterminatethisagreementwithawrittennoticegiven30dayspriortotheexpirationoftheterm.scopeofauthorization:1.thedistributorisauthorizedtosell,promote,marketanddistributethemanufacturer'sproductsintheterritory.4.thedistributorshallnotassignortransferthisauthorizationtoanythirdpartywithoutthepriorwrittenconsentofthemanufacturer.5.thedistributorshallnotsublicenseorauthorizeanythirdpartytosell,promote,marketordistributethemanufacturer'sproductsintheterritorywithoutthepriorwrittenconsentofthemanufacturer.performanceobligations:1.thedistributorshallpurchasethemanufacturer'sproductsinaccordancewiththetermsandconditionssetforthinthisagreement.2.thedistributorshallpaythemanufacturertherelevantfeesandchargesinaccordancewiththetermsandconditionssetforthinthisagreement.3.thedistributorshalluseitsbesteffortstopromotethesaleofthemanufacturer'sproductsintheterritoryandshallprovidethemanufacturerwithregularreportsonthesalesandmarketingactivitiesintheterritory.4.thedistributorshallprovidethemanufacturerwithsuchinformationanddocumentsasthemanufacturermayreasonablyrequirefortheperformanceofthisagreement.confidentiality:2.theconfidentialinformationincludes,butisnotlimitedto,businessplans,strategies,customerlists,pricinginformation,productspecifications,manufacturingprocessesandothertechnicalinformation.4.theconfidentialityobligationssetforthinthissectionshallsurvivetheexpirationorterminationofthisellectualproperty:1.themanufacturershallretainallright,andinterestinandtotheintellectualpropertyrightsassociatedwiththemanufacturer'sproducts,including,withoutlimitation,patents,trademarks,copyrightsandtradesecrets.2.thedistributorshallnotusethemanufacturer'strademarks,copyrightsorotherintellectualpropertyrightsinanymannerthatisinconsistentwiththetermsandconditionsofthisagreementorthatwouldharmthereputationorgoodwillofthemanufacturer.3.thedistributorshallnotregisterorapplyforanytrademarks,copyrightsorotherintellectualpropertyrightsthataresimilartoorconfusinglysimilartothemanufacturer'strademarks,copyrightsorotherintellectualpropertyrightswithoutthepriorwrittenconsentofthemanufacturer.4.thedistributorshallpromptlynotifythemanufacturerofanythirdpartyclaimsorallegationsofintellectualpropertyinfringementthatariseinconnectionwiththesale,promotion,marketingordistributionofthemanufacturer'sproductsintheterritory.5.themanufacturershallhavethesoleandexclusiverighttodefend,settleorlitigateanythirdpartyclaimsorallegationsofintellectualpropertyinfringementthatariseinconnectionwiththesale,promotion,marketingordistributionofthemanufacturer'sproductsintheterritory.termination:1.eitherparty一、附件列表:1.制造商的产品目录2.经销商的销售计划3.市场推广策略4.产品宣传资料5.销售和分销协议6.知识产权法律文件7.保密协议8.违约通知模板9.争议解决协议二、违约行为及认定:1.经销商未能达到销售目标2.经销商未能支付制造商的款项3.经销商在市场上推广竞争产品4.经销商未能遵守适用的法律法规5.经销商未经制造商同意,将授权转让给第三方6.经销商未经制造商同意,许可第三方销售产品7.经销商未能保护制造商的商业秘密8.经销商使用制造商的知识产权超出授权范围三、法律名词及解释:1.经销商:指被制造商授权在特定区域内销售、推广、市场营销和分销制造商产品的实体。2.制造商:指生产产品并将其授权给经销商销售的企业。3.独家经销商:指在特定区域内拥有唯一权利销售、推广、市场营销和分销制造商产品的经销商。4.知识产权:指专利、商标、版权和商业秘密等法律保护的权利。5.保密协议:指双方约定对某些信息保密的协议。6.违约:指未履行合同约定的义务。四、执行中遇到的问题及解决办法:1.销售目标未达成:经销商应与制造商协商调整销售策略,或增加市场投入。2.款项支付延迟:经销商应按时支付款项,或与制造商协商分期付款计划。3.推广竞争产品:制造商应要求经销商停止推广竞争产品,并可能终止合同。4.法律法规违反:经销商应确保合规,避免
