2第三方介入的情形"ThirdPartyIntervention"shallmeananysituationwhereaThirdPartyisinvolvedintheperformanceofthisAgreement,eitherdirectlyorindirectly,includingbutnotlimitedtotheprovisionofservices,thetransferofconfidentialinformation,ortheexecutionoftasksonbehalfofPartyAorPartyB.第二条第三方义务与责任2.1第三方义务2.2第三方责任AThirdPartyshallberesponsibleforanybreachofthisAgreementoranydamagecauseditsactions,omissions,ornegligenceinrelationtotheperformanceofthisAgreement.第三条第三方与甲乙方的关系3.1第三方与甲方关系TherelationshipbetweenaThirdPartyandPartyAshallbethatofanindependentcontractor,andnothinginthisAgreementshallbeconstruedtocreateanemploymentrelationship,agencyrelationship,orpartnershipbetweenthem.3.2第三方与乙方关系TherelationshipbetweenaThirdPartyandPartyBshallbethatofanindependentcontractor,andnothinginthisAgreementshallbeconstruedtocreateanemploymentrelationship,agencyrelationship,orpartnershipbetweenthem.第四条第三方责任限额4.1责任限制TheliabilityofaThirdPartyunderthisAgreementshallbelimitedtotheextentprovidedinthisAgreementoranyseparateagreemententeredintobetweenPartyAorPartyBandtheThirdParty.4.2第三方责任限制的例外Notwithstandingtheforegoing,aThirdPartyshallnotbeexemptfromliabilityfordeathorpersonalinjurycauseditsgrossnegligenceorintentionalmisconduct.第五条第三方保险5.1保险要求5.2保险证明AThirdPartyshallprovidePartyAandPartyBwithcertificatesofinsuranceevidencingtheexistenceandeffectivenessoftherequiredinsurancepoliciesuponrequest.第六条第三方违约处理6.1第三方违约IntheeventofabreachaThirdParty,PartyAandPartyBshallhavetherighttotakesuchactionsasarenecessarytoenforcethetermsofthisAgreementagainsttheThirdParty.6.2第三方违约后果ThenonbreachingpartiesshallhavetherighttoseekindemnificationfromthebreachingThirdPartyforanylosses,damages,orexpensesincurredasaresultofthebreach.第七条第三方退出7.1第三方退出的条件AThirdPartymayterminateitsinvolvementinthisAgreementprovidingPartyAandPartyBwithwrittennoticeofitsintentiontoterminate,whichnoticeshallspecifytheeffectivedateoftermination.7.2第三方退出的后果Upontermination,aThirdPartyshallcontinuetobeboundthetermsofthisAgreementforanyobligationsincurredpriortotheterminationdate.第八条第三方与甲乙方的沟通与协调8.1第三方与甲乙方的沟通8.2第三方协调的例外Notwithstandingtheforegoing,aThirdPartyshallbesolelyresponsibleforthemanagementandcoordinationofitsownpersonnel,resources,andactivitiesinrelationtotheperformanceofthisAgreement.第九条第三方合规与法律遵守9.1第三方合规要求9.2第三方法律遵守的例外第十条第三方与甲乙方的权益分配10.1权益分配的原则Therights,interests,andbenefitsarisingoutoforinconnectionwiththisAgreementshallbeallocatedbetweenPartyA,PartyB,andanyThirdPartyinaccordancewiththetermsofthisAgreementoranyseparateagreemententered
