4.3Failuretomakepaymentontimemayresultintheassessmentoflatefeesattherateof[describelatefeepercentage,e.g.,1%permonth]oftheunpaidamount.
Article5:Performance
5.1PartyAshallperformitsobligationsunderthisContractwithduecare,skill,anddiligence.
5.2PartyBshallperformitsobligationsunderthisContractinatimelyandefficientmanner.
5.3ThePartiesshallprovideeachotherwithreasonableassistanceandcooperationasnecessarytoensuretheproperperformanceoftheirrespectiveobligations.
Article6:Confidentiality
6.1ThePartiesagreetomaintaintheconfidentialityofallinformation,documents,andmaterialsexchangedordisclosedbetweenthemduringthetermofthisContract.
6.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContract.
Article7:Termination
7.1ThisContractmaybeterminatedbyeitherPartyupon[describetheconditionsfortermination,e.g.,breachofcontract,mutualagreement,etc.].
7.2UponterminationofthisContract,thePartiesshallpromptlyreturnallconfidentialinformation,documents,andmaterialsreceivedfromtheotherParty.
Article8:GoverningLawandJurisdiction
8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[describethegoverningjurisdiction,e.g.,theStateofCalifornia].

9.2NoamendmentormodificationofthisContractshallbebindingunlessmadeinwritingandsignedbybothParties.

13.1ThisContractmaynotbeassignedbyeitherPartywithoutthepriorwrittenconsentoftheotherParty.
14.0Conclusion
