hePartiesinwriting.8.2TerminationprocessUponterminationofthisAgreement,theAgentshall:8.2.1ProvidetheClientwithafinalstatementofaccountswithin30daysafterthedateoftermination;8.2.2RefundtotheClientanyunearnedpremiumspaidtheClientundertheInsurancePolicywithin30daysafterthedateoftermination;8.2.3ProvidetheClientwithsuchassistanceandcooperationasmaybenecessarytofacilitatethetransferoftheInsurancePolicytoanotherinsuranceintermediary,ifrequestedtheClient.8.3ConsequencesofterminationUponterminationofthisAgreement,allrightsandobligationsofthePartiesunderthisAgreementshallcease,exceptthat:8.3.1Clauses1,9,10,11,12,13and14shallcontinueinfullforceandeffect;8.3.2ThePartiesshallbeliableforanyobligationsincurredpriortothedateoftermination.第九条disputeresolution9.1DisputeresolutionprocessAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedinaccordancewiththefollowingprocedure:9.1.1ThePartiesshallfirstattempttoresolvethedisputethroughamicablenegotiationswithin30daysafterthedateofreceiptofawrittennoticefromeitherPartydescribingthenatureofthedispute;9.1.2Ifthedisputecannotberesolvedthroughnegotiations,eitherPartymaysubmitthedisputetomediationinaccordancewiththerulesoftheapplicablemediationorganization,andthePartiesshallequallysharethecostsofthemediation;9.1.3Ifthedisputeremainsunresolvedaftermediation,eitherPartymaysubmitthedisputetoarbitrationinaccordancewiththerulesoftheapplicablearbitrationinstitution,andthedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.第十条confidentiality10.1ConfidentialityobligationDuringthetermofthisAgreementandforaperiodof3yearsthereafter,thePartiesshall:10.1.2NotusesuchconfidentialinformationforanypurposeotherthantheperformanceofthisAgreement;10.1.3NotdisclosesuchconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.10.2ExceptionstoconfidentialityTheconfidentialityobligationssetoutinClause10.1shallnotapplytoinformationthat:10.2.2IsindependentlydevelopedthePartyreceivingtheinformationwithoutuseoftheconfidentialinformation;10.2.3Isrequiredtobedisclosedapplicablelaworregulation,providedthatthePartyrequiredtodisclosesuchinformationshallusereasonableeffortstolimitsuchdisclosureandtonotifytheotherPartyofthedisclosureassoonaspracticable.10.3DurationofconfidentialityTheconfidentialityobligationssetoutinClause10.1shallcontinueinfullforceandeffectaftertheexpirationorterminationofthisAgreement.第十一条indemnification11.1IndemnificationobligationTheClientshallindemnifyandholdharmlesstheAgentagainstanyclaims,losses,damages,expenses(includingreasonableattorney'sfees)orotherliabilitiesincurredtheAgentarisingoutoforinconnectionwith:11.1.1TheClient'suseoftheVehicles;11.1.2TheClient'sbreachofanytermorconditionofthisAgreement;11.2CoveredclaimsTheindemnificationobligationsetoutinClause11.1shallnotapplytoanyclaims,losses,damages,expensesorotherliabilitiesthataredirectlycausedtheAgent'snegligenceorwill第二部分：第三方介入后的修正12.1Forcemajeure12.1.1Forcemajeureclause12.1.2ImpactontheagreementIntheeventofaforcemajeure,thePartiesagreetonegotiateingoodfaithtodeterminetheappropriateadjustmentstotheperformanceofthisAgreement,includingbutnotlimitedtotheextensionofthetimeforperformanceorthereductionorwaiveroffees.12.1.3RelieffromperformanceIftheforcemajeureeventcontinuesforaperiodexceeding30days,eitherPartymayrequestinwritingtheterminationofthisAgreement,andthePartiesshallmakeappropriatearrangementsfortheterminationoftheAgreementinaccordancewiththetermsandconditionssetforthinthisAgreement.13.1Governinglawandjurisdiction13.1.1GoverninglawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofthe[insertcountryorregion].13.1.2JurisdictionAnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[insertcountryorregion].13.1.3VenueThevenueforanylegalproceedingsarisingoutoforinconnectionwiththisAgreementshallbe[insertcourtvenue].14.1Entireagreement14.1.1EntireagreementThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.14.1.2AmendmentsThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothParties.14.1.3WaiverofbreachNowaiverofanybreachofanytermorconditionofthisAgreementshallbeeffectiveunlessinwritingandsignedanauthorizedrepresentativeofthePartygrantingsuchwaiver.ThewaivereitherPartyofanybreachshallnotbeconstruedasawaiverofanysubsequentbreach.第二部分：第三方介入后的修正12第三方责任12.1第三方定义在本合同中，“第三方”指的是除甲方和乙方之外的自然人、法人或其他组织。12.2第三方责任12.2.1第三方义务第三方须遵守本合同中规定的义务，并对其行为负责。如第三方未能履行其义务或其行为导致甲方或乙方损失的，第三方应承担相应的责任。12.2.2第三方责任限额第三方对甲方或乙方承担的责任限额应不超过其从甲方或乙方获得的报酬总额。12.2.3第三方权益保护甲方和乙方应采取合理措施保护第三方的合法权益，如第三方权益受到损害的，甲方和乙方应协助第三方予以解决。13第三方介入情况下的合同履行13.1第三方介入当本合同的履行涉及到第三方时，甲方和乙方应与第三方协商，确保合同的顺利履行。13.2额外条款如甲方和乙方与第三方达成一致，需增加额外条款以保证合同的履行，suchadditionalter
