ThisDistributorAgreement(the"Agreement")isenteredintobetweenPartyAandPartyB,withthebackgroundandpurposeasfollows:

ThepartiesheretoacknowledgeandagreethatthefollowingtermsandconditionsofthisAgreementareessentialtothefulfillmentoftheirmutualobjectivesandformthebasisoftheirrelationship:

(a)PartyAgrantstoPartyBtheexclusiverightandlicensetodistributetheProductsintheTerritory,asdefinedherein,fortheTermofthisAgreement.

(b)PartyBagreestoactivelymarketandpromotetheProducts,toachievecertnsalestargets,andtomntncertnlevelsofinventoryandcustomerservicethatareconsistentwiththestandardssetforthbyPartyA.

(c)BothPartiesagreetocollaborateingoodfthtodevelopandimplementmarketingandsalesstrategiesthatwillenhancethemarketpositionoftheProductsandincreasemarketsharewithintheTerritory.

(d)ThePartiesacknowledgethatthisAgreementisconditionaluponthesatisfactionofcertn前提conditions,includingbutnotlimitedto,thecompletionofduediligencebybothParties,theobtningofanynecessaryregulatoryapprovals,andthemutualagreementonthetermsoftheinitialorderandsubsequentorders.

ThisAgreementsetsforththetermsandconditionsunderwhichPartyBshalldistributetheProducts,therightsandobligationsoftheParties,thepricingandpaymentterms,thedurationofthisAgreement,theconsequencesofbreach,forcemajeureprovisions,disputeresolutionmechanisms,andotherrelevanttermsandconditions,allofwhichareintendedtopromotetheefficientandprofitabledistributionoftheProductswhileprotectingtheinterestsofbothParties.

TheParties,therefore,enterintothisAgreementwiththeintenttocreatealegallybindingrelationshipandtoensurethattheirobligations,asdetledinthesubsequentsectionsofthisAgreement,areclear,enforceable,andinaccordancewithapplicablelawsandindustrystandards.

第一条合同目的与范围

TheprimarypurposeofthisAgreementistograntPartyBtheexclusiverighttodistributePartyA'sProductswithinthedefinedTerritory,withthemofexpandingmarketreach,increasingsales,andenhancingbrandrecognition.ThespecificcontentofthisAgreementincludesthetermsunderwhichPartyBshallpromote,market,andselltheProducts,theobligationsofbothPartiesregardingqualitycontrol,marketingsupport,andsalesperformance,aswellastheproceduresfororderplacement,delivery,andafter-salesservice.

ForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningsascribedbelow:

-"Products"referstothespecificgoodsorservicesprovidedbyPartyAthatarethesubjectofthisAgreement.

-"Territory"meansthegeographicareainwhichPartyBisgrantedexclusivedistributionrights.

-"Term"referstothedurationofthisAgreement,asspecifiedinthesubsequent条款.

-"ForceMajeure"meansanyunforeseeableandirresistibleeventbeyondthecontroloftheParties,asfurtherdefinedherein.

第三条双方权利与义务

1.PartyA'sRightsandObligations:

-PartyAshallprovidePartyBwiththeProductsinaccordancewiththequalitystandardsandspecificationsmutuallyagreedupon.

-PartyAshallgrantPartyBtheexclusiverighttodistributetheProductswithintheTerritoryandshallnotgrantsimilarrightstoanythirdpartyduringtheTerm.

-PartyAshallprovidemarketingmaterials,trning,andtechnicalsupporttoassistPartyBinthepromotionandsaleoftheProducts.

-PartyAshallberesponsibleforfulfillingordersinatimelymannerandensuringtheProductsconformtoallapplicableregulationsandstandards.

-PartyAhastherighttorequestandreviewsalesreportsandperformancedatafromPartyBtoensurecompliancewiththesalestargetsandotherobligationsunderthisAgreement.

2.PartyB'sRightsandObligations:

-PartyBshallactivelymarketandpromotetheProductswithintheTerritory,utilizingitsbesteffortstoachievethesalestargetssetbyPartyA.

-PartyBshallmntnadequateinventorylevelstomeetcustomerdemandandshallensureproperstorageandhandlingoftheProducts.

-PartyBshallprovideafter-salesservices,includingcustomersupportandwarrantyfulfillment,inaccordancewithPartyA'sstandards.

-PartyBhastherighttousePartyA'strademarksandbrandinginconnectionwiththemarketingandsaleoftheProducts,subjecttoPartyA'sguidelines.

-PartyBshallnot,withoutPartyA'spriorwrittenconsent,assignortransferanyofitsrightsorobligationsunderthisAgreementtoanythirdparty.

-PartyBshallcomplywithallapplicablelawsandregulationsintheTerritory,includingthoserelatedtothemarketingandsaleoftheProducts.

BothPartiesshallperformtheirrespectiverightsandobligationsingoodfthandwiththelevelofskillandcarethatiscustomaryintheindustry.TherightsandobligationsoutlinedabovearefundamentaltothesuccessofthisdistributionrelationshipandarebindinguponthePartiesduringtheTermofthisAgreement.

ThepricesfortheProductsshallbedeterminedinaccordancewiththepricelistprovidedbyPartyA,whichshallbemutuallyagreeduponandattachedasanexhibittothisAgreement.PartyBshallpurchasetheProductsfromPartyAatthepricessetforthinthepricelist,whichmaybesubjecttochangeuponwrittennoticefromPartyA.PaymentfortheProductsshallbemadebyPartyBwithin[specifiednumber]daysofthereceiptoftheinvoiceissuedbyPartyA.PaymentshallbeconductedviabanktransfertotheaccountdesignatedbyPartyA.AnydisputesregardingtheinvoicemustbersedbyPartyBwithin[specifiednumber]daysofreceipt,flingwhichtheinvoiceshallbedeemedaccepted.

ThisAgreementshallenterintoforceonthedateofitssigningandshallremnineffectforaperiodof[specifiedterm],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.ThePartiesshallobservekeymilestonesandtimeframesasoutlinedintheAgreement,includingbutnotlimitedto,thedatesforthesubmissionofmarketingplans,salesreports,andthefulfillmentofminimumpurchaserequirements.AnyextensionoftheAgreementshallrequirewrittenconsentfrombothParties.

IntheeventofabreachofthisAgreementbyeitherParty,thenon-breachingPartyshallbeentitledtoseekremediesavlableatlaworinequity.Thefollowingareagreeduponasconsequencesofspecificbreaches:

-FlurebyPartyBtomeetthesalestargetsorotherobligationssetforthinthisAgreementmayresultintheimpositionofapenalty,asdeterminedbyPartyA,andthepossibleterminationofthisAgreement.

-IfPartyAflstosupplytheProductsinaccordancewiththetermsofthisAgreement,PartyBshallhavetherighttoclmdamages,includingbutnotlimitedto,lossofprofitsandexpensesincurredduetosuchflure.

-IntheeventofamaterialbreachbyeitherPartythatisnotcuredwithin[specifiednumber]daysofwrittennoticefromthenon-breachingParty,thenon-breachingPartyshallhavetherighttoterminatethisAgreementimmediately.

-ThePartiesagreethatanybreachofconfidentialityobligationsortheunauthorizeduseofintellectualpropertyrightsshallentitletheinjuredPartytoseekinjunctivereliefinadditiontomonetarydamages.

-ThePartiesacknowledgethatthecalculationofdamagesforanybreachmaybedifficult,andaccordingly,thePartiesagreethatliquidateddamagesmaybepayablebythebreachingPartyasspecifiedintheAgreement.

ThePartiesshallbereleasedfromtheirobligationsunderthisAgreementintheeventofaforcemajeureoccurrence,providedthattheaffectedPartypromptlynotifiestheotherPartyinwritingoftheexistenceandnatureoftheforcemajeureevent.

第七条不可抗力

ForthepurposesofthisAgreement,"ForceMajeure"referstoanyeventorcircumstancethatisbeyondthereasonablecontrolofaParty,includingbutnotlimitedto,actsofGod,naturaldisasters,strikes,lockouts,riots,war,terrorism,governmentalactions,anddisruptionstotransportationorcommunicationsystems.TheoccurrenceofaForceMajeureeventshallexempttheaffectedPartyfromliabilityforanydelaysorfluresintheperformanceofitsobligationsunderthisAgreementtotheextentcausedbysuchevent.

IfaPartyisunabletoperformitsobligationsduetoaForceMajeureevent,itshallpromptlynotifytheotherPartyinwritingofthenatureandextentoftheForceMajeureevent.TheaffectedPartyshalluseitsreasonableeffortstomitigatetheeffectsoftheForceMajeureeventandtoresumeperformanceofitsobligationsassoonaspracticable.Thenon-affectedPartymay,atitsoption,suspendperformanceofitscorrespondingobligationsforthedurationoftheForceMajeureevent.

IftheForceMajeureeventcontinuesforaperiodexceeding[specifiednumber]months,eitherPartymayterminatethisAgreementuponwrittennoticetotheotherParty.TheterminationofthisAgreementduetoaForceMajeureeventshallnotreleaseeitherPartyfromanyobligationsthathavealreadybeenincurredorfromanyliabilityforanybreachofthisAgreementpriortotheoccurrenceoftheForceMajeureevent.

第八条争议解决

Anydispute,controversy,orclmarisingoutoforinconnectionwiththisAgreement,orthebreach,termination,orinvalidityhereof,shallberesolvedamicablythroughnegotiationbetweentheParties.IfthePartiesfltoresolvethedisputewithin[specifiednumber]daysofthecommencementofnegotiations,theymayagreetosubmitthemattertomediationinaccordancewiththerulesofamutuallyagreedmediationinstitution.

Ifthedisputeisnotresolvedthroughmediationwithin[specifiednumber]months,orifeitherPartydoesnotconsenttomediation,thePartiesagreetosubmitthedisputetoarbitrationinaccordancewiththerulesofamutuallyagreedarbitrationinstitution.Thedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.Theseatofthearbitrationshallbe[specifiedlocation],andthelanguageofthearbitrationshallbe[specifiedlanguage].

Notwithstandingtheforegoing,eitherPartymayseekinjunctivereliefinacourtofcompetentjurisdictiontopreventanyactualorthreatenedbreachofthisAgreementthatwouldcauseirreparableharmtosuchParty.ThePartiesagreethatthechoiceoflawgoverningthisAgreementshallbe[specifiedjurisdiction],andanylegalactionorproceedingsarisingoutofthisAgreementshallbebroughtexclusivelyinthecourts/tribunalsof[specifiedlocation].
