ThisContract(hereinafterreferredtoasthe"Contract")ismadeandenteredintoasof[Date],byandbetween[BrandOwner],acompanyorganizedandexistingunderthelawsof[Country](hereinafterreferredtoasthe"BrandOwner"),and[Agency],acompanyorganizedandexistingunderthelawsof[Country](hereinafterreferredtoasthe"Agency").

1.AppointmentofAgent

TheBrandOwnerherebyappointstheAgencyasitsexclusiveagentin[Territory]forthesaleanddistributionoftheBrandOwner'sproducts(the"Products"),andtheAgencyherebyacceptssuchappointment.

2.DutiesandResponsibilitiesoftheAgency

2.1TheAgencyshalluseitsbesteffortstopromote,sell,anddistributetheProductsintheTerritoryinaccordancewiththetermsandconditionsofthisContract.

2.2TheAgencyshallprovidetheBrandOwnerwithregularreportsonthesalesanddistributionoftheProductsintheTerritory,includingbutnotlimitedtosalesdata,markettrends,andcustomerfeedback.

2.3TheAgencyshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheTerritoryinconnectionwiththesaleanddistributionoftheProducts.

3.Exclusivity

TheAgencyshallhavetheexclusiverighttosellanddistributetheProductsintheTerritoryduringthetermofthisContract.TheBrandOwnershallnotdirectlyorindirectlysellordistributetheProductsintheTerritory,orappointanyotheragentordistributorfortheProductsintheTerritory,duringthetermofthisContract.

4.TermofContract

ThetermofthisContractshallcommenceontheEffectiveDateandshallcontinueforaperiodof[Term],unlessearlierterminatedinaccordancewiththetermsofthisContract.

5.PaymentTerms

5.1TheAgencyshallpaytotheBrandOwneranannualagencyfeeinanamountequalto[Fee]within[Time].

5.2TheAgencyshallpaytotheBrandOwneracommissiononnetsalesoftheProductsintheTerritory,calculatedatarateof[CommissionRate]perunit,within[Time]aftertheendofeachcalendarmonth.

6.Termination

6.1EitherpartymayterminatethisContractuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin[Time]afterreceiptofwrittennoticefromtheotherpartyspecifyingthenatureofsuchbreach.

6.2eitherpartymayterminatethisContractuponwrittennoticetotheotherpartyiftheotherpartyfilesforbankruptcy,becomesinsolvent,ormakesanassignmentforthebenefitofcreditors.

7.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].AnydisputesarisingoutoforinconnectionwiththisContractshallbefinallyresolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.
