ContractforDistributionAgreement

ThisDistributionAgreement(the"Agreement")ismadeandenteredintoasof[Date],byandbetween[YourCompanyName]("Manufacturer"),acompanyorganizedandexistingunderthelawsof[Country],witharegisteredaddressat[YourCompanyAddress],and[DistributorCompanyName]("Distributor"),acompanyorganizedandexistingunderthelawsof[Country],witharegisteredaddressat[DistributorCompanyAddress].

1.Appointment

1.1ManufacturerherebyappointsDistributorasitsnon-exclusivedistributorin[Territory]forthesaleanddistributionofManufacturer'sproducts(the"Products")duringthetermofthisAgreement.

1.2DistributoracceptstheappointmentandagreestoactasManufacturer'snon-exclusivedistributorinaccordancewiththetermsandconditionsofthisAgreement.

2.ResponsibilitiesofManufacturer

2.1ManufactureragreestosupplytheProductstoDistributorinaccordancewiththetermsandconditionsofthisAgreement.

2.2Manufacturershallberesponsibleforthequality,safetyandcomplianceoftheProductswithallapplicablelaws,regulationsandstandardsintheTerritory.

2.3ManufacturershallprovideDistributorwithreasonabletechnicalandmarketingsupport,includingbutnotlimitedtoproductinformation,promotionalmaterialsandtrainingprograms.

3.ResponsibilitiesofDistributor

3.1Distributoragreestoactivelypromote,marketandselltheProductsintheTerritoryinaccordancewiththetermsandconditionsofthisAgreement.

3.2DistributorshallberesponsibleforthecomplianceoftheProductswithallapplicablelaws,regulationsandstandardsintheTerritory.

3.3DistributorshallprovideManufacturerwithregularsalesreportsandothernecessaryinformationrelatedtothedistributionoftheProductsintheTerritory.

4.OrderingandDelivery

4.1DistributorshallplaceordersfortheProductswithManufacturerinwritingorbyelectronicmeans,asagreedbytheparties.

4.2ManufacturershalldelivertheProductstoDistributorwithintheagreedtimeframe,andensurethattheProductsmeettheagreedqualitystandards.

5.PricingandPayment

5.1ManufacturershallprovideDistributorwithalistofpricesfortheProducts(the"PriceList")as附件1.ThePriceListmaybeupdatedbyManufacturerfromtimetotimeuponwrittennoticetoDistributor.

5.2DistributorshallpurchasetheProductsfromManufactureratthepricessetforthinthePriceList,lessanyapplicablediscountsorrebatesagreedbytheparties.

5.3PaymentfortheProductsshallbemadebyDistributortoManufacturerwithin[Number]daysafterthedateoftheinvoiceissuedbyManufacturer.

6.TrademarksandIntellectualProperty

6.1ManufacturerherebygrantstoDistributoranon-exclusivelicensetouseManufacturer'strademarks,tradenamesandotherintellectualpropertyrights(the"IntellectualProperty")inconnectionwiththemarketing,promotionandsaleoftheProductsintheTerritory,subjecttothetermsandconditionsofthisAgreement.

6.2DistributorshallnotusetheIntellectualPropertyinanymannerthatisinconsistentwiththetermsandconditionsofthisAgreement,orthatcoulddamagethereputationorgoodwillofManufacturer.

7.TermandTermination

7.1ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforaninitialtermof[Number]years(the"InitialTerm").

7.2UpontheexpirationoftheInitialTerm,thisAgreementshallautomaticallyrenewforsuccessivetermsof[Number]yearseach,unlesseitherpartyprovideswrittennoticeofitsintentionnottorenewatleast[Number]monthspriortotheendoftheInitialTermoranysucceedingterm.

7.3EitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementwhichisnotcuredwithin[Number]daysafterreceiptofwrittennoticefromthenon-breachingparty.

7.4ThisAgreementmayalsobeterminatedbyeitherpartyuponwrittennoticeintheeventoftheoccurrenceofanyeventofforcemajeure,asdefinedinSection10.1ofthisAgreement.

8.Indemnification

8.1Eachpartyagreestoindemnifyandholdharmlesstheotherpartyfromandagainstanyandallclaims,losses,damages,liabilities,costsandexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanybreachofthisAgreementbysuchpartyoranyofitsemployees,agentsorrepresentatives.

9.DisputeResolution

9.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallbefinallyresolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

9.2Theplaceofarbitrationshallbe[City],[Country],andthelanguageofthearbitrationshallbeEnglish.

10.Miscellaneous

10.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiationsanddiscussions,whetheroralorwritten,oftheparties.

10.2ThisAgreementmaynotbeassignedbyeitherpartywithoutthepriorwrittenconsentoftheotherparty,exceptthatManufacturermayassignthisAgreementwithoutconsenttoasuccessorinconnectionwithamerger,acquisitionorsaleofallorsubstantiallyallofitsassets.

10.3Allnotices,requests,demandsandothercommunicationsunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenonthedateofserviceifservedpersonallyonthepartytowhomnoticeistobegiven,oronthethirddayaftermailingifmailedtothepartytowhomnoticeistobegiven,byfirstclassmail,registe
