,solelyforthepurposeofprovidingtheAuctionServicesandpromotingtheAuctionServices.TheClientrepresentsandwarrantsthatithastherighttograntsuchlicenseandthattheAuctioneer'suseoftheClient'strademarks,servicemarks,tradenames,andlogoswillnotinfringeanyrightsofanythirdparty.第十一条：Termination11.1GroundsforTerminationEitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthirty(30)daysafterreceiptofwrittennoticefromtheotherpartyspecifyingthenatureofsuchbreach.11.2NoticeofTerminationUponterminationofthisAgreement,theClientshallpaytheAuctioneerforallservicesperformedandexpensesincurredthroughtheeffectivedateoftermination.TheClientshallnotbeliableforanyfurtherpaymentsunderthisAgreementaftersuchtermination.第十二条：ConsequencesofTermination8.1PaymentuponTerminationUponterminationofthisAgreement,theClientshallpaytheAuctioneerforallservicesperformedandexpensesincurredthroughtheeffectivedateoftermination.TheClientshallnotbeliableforanyfurtherpaymentsunderthisAgreementaftersuchtermination.8.2ReturnofPropertyUponterminationofthisAgreement,eachpartyshallreturntotheotherpartyallpropertyanddocumentsthatareinitspossessionorcontrolandthatpertaintothe第二部分：其他补充性说明和解释说明一：附件列表：1.AuctionServicesDescription:详细描述拍卖服务的范围、内容和相关细节。2.FeeSchedule:详细列出服务费用、收费标准和支付要求的表格。3.ConfidentialityAgreement:保密协议，规定双方对于ConfidentialInformation的保护和保密义务。4.IntellectualPropertyLicenseAgreement:知识产权许可协议，明确双方在知识产权方面的权利和义务。5.InsuranceCertificate:保险证书，证明Auctioneer拥有适当的保险覆盖。6.PerformanceBond:performancebond，确保Auctioneer能够按照合同规定提供服务。7.Auctioneer'sResume:Auct
