**EmploymentContractAgreement**

ThisEmploymentContractAgreement(the"Agreement")isenteredintoasof[InsertDate],byandbetween[CompanyName]("Company"),acompanyorganizedandexistingunderthelawsof[Country/State],witharegisteredaddressat[CompanyAddress],and[EmployeeName]("Employee"),anindividualwithapermanentaddressat[EmployeeAddress].

**1.PositionandDuties**

TheCompanyherebyemploystheEmployeetoperformthedutiesof[JobTitle](the"Position").TheEmployeeagreestoperformthedutiesassociatedwiththePositioninacompetentandprofessionalmanner.

**2.TermofEmployment**

ThetermofthisAgreementshallcommenceontheEffectiveDateandshallcontinueuntiltheendoftheprobationperiod,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement(the"Term").

**3.ProbationPeriod**

TheEmployee'sinitialtermofemploymentshallbesubjecttoaprobationperiodof[Duration],commencingontheEffectiveDate.TheCompanymay,atitssolediscretion,extendtheprobationperiodforanadditional[Duration].

**4.Compensation**

DuringtheTerm,theEmployeeshallreceiveasalaryof[SalaryAmount]perannum,payableinaccordancewiththeCompany'snormalpayrollpractices.TheEmployeemayalsobeeligibleforperformance-basedbonuses,asdeterminedbytheCompanyinitssolediscretion.

**5.Benefits**

TheEmployeeshallbeentitledtothefollowingbenefits,subjecttotheCompany'spoliciesandprocedures:

-Paidtimeoff,includingvacationdays,sickleave,andpublicholidays,asspecifiedintheCompany'semployeehandbook.

-Health,dental,andvisioninsurance,asprovidedbytheCompany.

-Retirementplancontributions,asdeterminedbytheCompany.

-OtherbenefitsasmaybeprovidedbytheCompanyfromtimetotime.

**6.ConfidentialityandNon-Disclosure**

TheEmployeeacknowledgesandagreesthatduringthecourseofemployment,he/shewillhaveaccesstocertainconfidentialandproprietaryinformationoftheCompany(the"ConfidentialInformation").TheEmployeeagreestomaintaintheconfidentialityoftheConfidentialInformationandnottodiscloseorusesuchinformationforanypurposeotherthantheperformanceofhis/herdutiesunderthisAgreement.

**7.IntellectualProperty**

TheEmployeeacknowledgesandagreesthatallinventions,designs,improvements,worksofauthorship,andotherintellectualproperty(collectively,the"IntellectualProperty")createdbytheEmployeeduringthecourseofemploymentshallbetheexclusivepropertyoftheCompany.TheEmployeeshallexecuteallnecessarydocumentstoevidencetheCompany'sownershipofsuchIntellectualProperty.

**8.Termination**

ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,inaccordancewiththefollowingprovisions:

-BytheCompany:Forcause,includingbutnotlimitedtobreachofthisAgreement,misconduct,orfailuretoperformtheessentialdutiesofthePosition.

-BytheEmployee:Upon[InsertNoticePeriod]writtennoticetotheCompany,intheeventofamaterialbreachofthisAgreementbytheCompany.

**9.GoverningLawandJurisdiction**

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State],andanydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Country/State].

**10.EntireAgreement**

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andnegotiations,whetheroralorwritten,betweentheparties.
