第一条

租赁范围

3.3付款方式:乙方应按月

4.PropertyManagementFee第四条

物业管理

4.1甲方须按时向物业管理公司缴纳管理费。付款方式按管理公司有关规定办理。物业管理公司保留对管理费调整的权利。该管理费不仅仅对此单元,而是对小区所有业主。

4.1PartyAshallpaythepropertymanagementfeetoBeijingSOHOResidencesPropertyManagementCompanyontime.Thepaymentshallbepaidpursuanttotherelevantregulationsofthepropertymanagementcompany.Thepropertymanagementcompanyhastherighttoadjustthepropertymanagementfee.ThepropertymanagementfeeisappliednotonlytothePremisesbutalsotoallownersofBeijingSOHOResidences.

4.2乙方在签署本合同后,必须遵守《临时管理规约》、物业管理公司对所有业主和租户的有关管理规定。

4.2AftertheexecutionofthisContract,PartyBshallcomplywithTheProvisionalManagementRegulationsandotherregulationsappliedtoallownersandlesseesbythepropertymanagementcompany.

5.Deposit

第五条

租赁保证金

5.1双方在签署本合同时同意,乙方在

5.2如乙方违反本合同任何条款规定或条件(其中包括但不限于交付租金的规定)给甲方造成实际损失的(其中对装修、家具、电器的自然磨损除外),由乙方负责赔偿。在合同期内,乙方不得将保证金冲抵租金和本合同规定的各项费用,不得将保证金作为转让第三者和用于债务的担保。5.2IfPartyBbreachesanytermsandconditionshereunder(includingbutnotlimitedtoprovisionsregardingrentalpayment)andconsequentlycausesactuallosstoPartyA(exceptfornormalwearandtearofdecoration,offurnitureandofelectronicapplicances),PartyBshallcompensateforsuchloss.DuringthetermofthisContract,PartyBhasnorighttodeductrentalandotherfeespayableunderthisContractfromtheDeposit,andhasnorighttotransfertheDeposittoathirdpartyortousetheDepositassecurityfordebts.

5.3在乙方全部履行本合同各项条款、规定和条件的情况下,并交还该单元、交清所欠费用后,甲方在十五日内退还保证金(不计利息)。5.3PartyAshallrefundtheDepositwithoutinterestswithinfifteendaysprovidedthatPartyBhasfullyperformedthetermsandconditionsofthisContractandhashandedoverthePremisesandpaidalloutstandingfees.

6.

LatePaymentInterests

第六条

延期利息

如乙方未能按照本合同规定支付应付的保证金和其他款项给甲方,或甲方为乙方垫付应由乙方支付的其他款项,乙方应付迟延支付期间的迟延利息,该迟延利息应按日息为所欠款项的0.5‰计算。

IfPartyBfailstopaytheDepositorotherfeespayableunderthisContract,orPartyAhaspaidforPartyBsuchotherfeespayablebyParty,PartyBshallpaylatepaymentinterestsfortheperiodoflatepaymentattherateof0.5‰oftheoutstandingamountperday.

7.

DamageandRepair

第七条

损坏和维修

7.1甲方应保证房屋的建筑结构和设备设施符合建筑、消防等方面的安全条件,不得危及人身安全;乙方应保证在使用过程中遵守国家、北京市的相关法律法规规定。7.1PartyAshallensurethattheconstructionstructureandtheequipmentandfacilityofthePremisesconformtothesafetyconditionsconcerningconstruction,firepreventionandothers,andthePremiseshasnotanydangertothepersonalsafety.PartyBshallensurethattherelevantlawsandregulationsofnationalorBeijinggovernmentshallbeobservedduringuseofthePremises.

7.2租赁期内,甲乙双方应共同保障房屋及其附属物品、设备设施处于适用和安全的状态:

7.2DuringtheTerm,bothpartiesshallensurethatthePremisesanditscontents,equipmentandfacilitiesareinusableandsafecondition:

7.2.1对于房屋及其附属物品、设备设施因自然属性或合理使用而导致的损耗,乙方应及时通知甲方修复。甲方应在接到乙方通知后的7日内进行维修。逾期不维修的,乙方可代为维修,费用由甲方在合理合法范围内承担。

7.2.1RegardingnormalwearandtearofthePremisesanditscontents,equipmentandfacilities,PartyBshallpromptlynotifyPartyAforrepairandmaintenance.PartyAshallcommencerepairandmaintenancewithin7daysafterreceiptofPartyB’snotice.IfPartyAfailedtodoso,PartyBcanrepairandmaintainforPartyAand,totheextentlawfulandreasonable,theexpensesshallbebornebyPartyA.

7.2.2因乙方保管不当或不合理使用,致使房屋及其附属物品、设备设施发生损坏或故障的,乙方应负责维修或承担赔偿责任。

7.2.2IfthePremisesanditscontents,equipmentandfacilitiesaredamagedduetoPartyB’simproperkeepingorunreasonableusage,PartyBshallberesponsibleforrepairandmaintenanceandshallbeliableforcompensation.

8.

RightsandObligationsofPartyA

第八条

甲方权利及义务

8.1甲方保证是项目合法的开发主体,其有权合法出租该单元,否则产生的法律责任均由甲方承担。8.1PartyAherebyguaranteesthatPartyAisthelegaldeveloperoftheprojectandhastherighttolawfullyleasethePremises.Otherwise,PartyAshallbearthelegalliabilityarisingtherefrominfull.

8.2甲方保证该单元是合法开发建设完成的房屋,本合同签订时该单元尚未对外销售,也不存在影响本合同履行的其它法律障碍。8.2PartyAherebyguaranteesthatthePremisesishousingthathasbeendeveloped,constructedandcompletedlegally.ThePremiseshasnotbeensoldonthesignaturedateofthisContract,anditdoesnotexistotherlegalimpedimentswhichmayaffecttheperformanceofthisContract.

8.3甲方保证在租期内,乙方将有权平静地占有和享用该单元,不会受到甲方或甲方代理人的干扰,但前提是乙方支付了本合同规定的租金和其它费用,并遵守和履行了本合同规定的应由乙方遵守和履行的条款。

8.3PartyAherebyguaranteesthatPartyBshallhavetherighttooccupyandenjoythePremisespeacefullythroughouttheTermwithoutanyinterruptionbyPartyAoritsagents,providedthatPartyBhaspaidtherentandotherfeeshereunderandcomplieswiththetermsandconditionstobeperformedbyPartyBunderthisContract.

8.4乙方出现下列任何情况时,甲方有权单方解除本合同。

8.4PartyAhastherighttoterminatethisContractunilaterallyuponoccurrenceofanyofthefollowingtoPartyB:

8.4.1违反中华人民共和国的法律/法规,利用该单元进行不法经营活动;

8.4.1violatesthelawsortheregulationsofPRCorusesthePremisesforillegalbusinessoperations;

8.4.2未经甲方同意擅自更改该单元的用途;8.4.2changestheusesofthePremiseswithoutconsentofPartyA;

8.4.3未按本合同的有关条款缴纳租金;或8.4.3failstopaytherentpursuanttorelevantprovisionshereunder;or

8.4.4未征得甲方同意,擅自将该单元或该单元的部分转租、转让给第三方或及第三方共同使用。8.4.4sub-letsthePremisesorpartsofthePremisestoothers,transfersthePremisestoothersorusesthePremisesjointlywithathirdpartywithouttheconsentofPartyA.

8.5在租期内,乙方自愿无条件放弃该单元的优先购买权。在租期内,甲方有权自由转让该单元予任何第三方,但是该转让不得影响乙方根据本合同的条款和条件占有、控制和享用该单元的权利。若甲方将该单元出售予第三方,第三方将继续享有和承担甲方在本合同项下的所有权利和义务。乙方承诺充分配合甲方办理该单元的出售及交接手续;乙方不配合交接的,不影响新业主开始继受出租方在本合同项下的权利义务,乙方须在接到甲方通知之日起按本合同向新业主支付租金,否则须承担本合同项下的逾期付款违约责任。8.5PartyBagreestowaiveitsrightoffirstrefusalinrespectofthePremisesvoluntarilyandunconditionallyduringtheTerm.DuringtheTerm,PartyAshallbefreetotransferthePremisestoanythirdparty,providedthatsuchtransfershallnotprejudicePartyB’srightstooccupy,controlandusethePremisesinaccordancewiththetermsandconditionsofthisContract.

IfPartyAtransfersthePremisestoathirdparty,suchthirdpartyshallcontinuetoenjoyandbearallrightsandobligationsofPartyAunderthisContract.

PartyBundertakestocooperateinfullwithPartyAinhandlingtherelevantformalitiestosellandhand-overofthePremises.PartyB’sfailuretocooperateforthehand-overshallnotaffecttheassumptionoftherightsandobligationsofthisContractbythenewowner.PartyBshallpayrenttothenewownerinaccordancewiththisContractafterreceiptofPartyA’snotice,otherwisePartyBshallbeartheliabilityforbreachofcontractandlatepaymentunderthisContract.

9.

RightsandObligationsofPartyB

第九条

乙方权利及义务

9.1如果乙方严格遵守本合同的各项条款,则乙方有权在租赁期内合理、合法占用和使用该单元。9.1

PartyBisentitledtooccupyandusethePremisesreasonablyandlegallyduringtheTermprovidedthatitstrictlycomplieswiththetermsandconditionsofthisContract.9.2

9.2乙方有权合理使用的公用设施,并承担有关费用。9.2PartyBisentitledtoreasonablyusethepublicfacilitiesofBeijingSOHOResidencesandbeartherelevantexpenses.

9.3乙方须按时缴付租金以及该单元的电费、水费、煤气费、电话费、IP主叫长话费、宽带网络使用费,以及供乙方使用的其他专门设施的服务费,(甲、乙双方另有书面约定除外)。9.3PartyBshallpayrentandtheexpensesofelectricity,water,gas,telephone,IDlongdistancecallandADSLincurredatthePremisesandtheservicefeeofotherspecificfacilitiesprovidedforPartyBontime(otherthanthewrittenagreementbetweentheparties).

9.4乙方应负责该单元内部的整洁完好,防止破坏、污染、火灾等事故,并有责任监督来访的客人及朋友爱护甲方的物品,以及小区的公共设施。如由于乙方的原因,给甲方、其他业主和租户或的公共设施造成损害时,乙方必须赔偿损失。

9.4PartyBshallkeeptheinternalpartofthePremisesincleanandgoodconditionandshallpreventdamage,pollutionandfire,etc.

ItshallhavethedutytosupervisehisvisitorsandfriendstoprotectthepropertyofPartyAorthepublicfacilityofBeijingSOHOResidences.IfthereisanydamagecausedtoPartyA,otherownersorlesseesofBeijingSOHOResidencesorthepublicfacilityofBeijingSOHOResidencesduetoPartyB’sreason,PartyBshallcompensateforthelossesarisingtherefrom.

10.

TerminationofContract

第十条

合同的终止

10.1第8.4条所规定的任何情形发生时,甲方有权单方直接终止本合同而无需发出纠正通知。10.1UponoccurrenceofanyoftheeventprescribedunderArticle8.4,PartyAisentitledtounilaterallyterminatethisContractwithouttheneedtoissueanynoticerequestingforrectificationofthebreach.

10.2甲、乙双方经协商,可达成书面协议提前终止本合同。

10.2ThepartiesmayterminatethisContractearlybyreachingawrittenagreementthroughconsultation.

10.3因发生地震、暴雨、冰雹、火灾等其他不能预见的,其发生和后果不能防止或避免的不可抗力致使任何一方不能履行本合同时,遭受不可抗力的一方可免除未能履行本合同项下相关义务的责任(付款义务除外)。10.3IfeitherpartycannotperformthisContractduetotheoccurrenceofanyforcemajeureevents(suchasearthquake,storm,hailandfire)whichcannotbepredictedortheoccurrenceandconsequenceofwhichcannotbeavoided,thepartywhoexperiencetheforcemajeureeventwillbeexemptedfromliabilityforfailuretoperformrelevantobligationsofthisContract(saveforpaymentobligations).

11.

PenaltyforBreach

第十一条

违约责任

11.1任何一方有违反本合同的行为,应就违约行为给对方造成的经济损失进行赔偿。如果属于双方的过失,应根据情况,由双方分别承担违约责任。11.1AnypartywhobreachesthisContractshallcompensateforanyeconomiclosscausedtotheotherpartyduetothebreach.Iftheeconomiclossisduetodefaultofbothparties,bothpartiesshallbearrespectiveliabilityforbreachinaccordancewiththecircumstance.

11.2如乙方违反本合同第10.1条约定;或乙方违反本合同其它条款并接到甲方书面纠正通知后十四天内不予纠正时,甲方有权单方解除本合同,合同自解除通知送达之日起自动解除。合同解除时,保证金不予退还乙方;若有其它损失或未付费用,甲方仍有权追索。乙方应在解除通知送达之日起三日内迁出并交回该单元于甲方。11.2IfPartyBfailstoperformtheprovisionsofArticle10.1hereof,orPartyBfailstoperformotherprovisionsofthisContractandfailstorectifythebreachafter14daysofreceivingPartyA’swrittennoticerequestingforrectificationofthebreach,PartyAhastherighttoterminatethisContractunilaterally.ThisContractshallbeautomaticallyterminatedfromthedateonwhichtheterminationnoticeisdelivered.UponterminationofthisContract,theDepositshallnotberefundedtoPartyBandPartyAshallhavetherighttoclaimforfurtherlossesoroutstandingfees(ifany),andPartyBshallvacateandreturnthePremisestoPartyAwithinthreedaysfromthedateofdeliveryoftheterminationnotice.

12.

RenewalofLease

第十二条

续租

在本合同有效期内,乙方全部履行本合同各项条款、规定和条件的情况下,乙方有优先要求将本合同租期延长的权利,但乙方须于不迟于租期期满前六十天提出书面续租要求,并由双方在租期期满前三十天前就续租的条件(包括租金和租赁期)达成条件,签署续租合同,否则甲方可另行出租。甲方可在租期期满前三十天内,在给予乙方合理通知后将该单元向未来的租户展示,乙方应尽量配合甲方。

WherePartyBhasfullyperformedtheterms,provisionsandregulationsofthisContractduringthetermofthisContract,PartyBhasthepriorityrighttoextendtheTermunderthisContractprovidedthatithasgivenwrittenapplicationforextensionnolaterthan60daysbeforeexpiryoftheTermandthatthepartieshaveagreedontheconditionsoftheextension(includingrentandtermoflease)andexecutedthecontractfortheextensionoftheleasebynolaterthanthirtydayspriortotheexpirationoftheTerm,failingwhich,PartyAmayleasethePremisestoothers.

PartyAmayshowthePremisestopotentialtenantsbygivingreasonablenoticetoPartyBwithinthirtydayspriortotheexpirationoftheTermandPartyBshalluseitsbesteffortstocooperatewithPartyA.

13.

EarlyTermination

第十三条

提前解约

双方除10.3款不可抗力等法定理由外,不得提前解约。本合同所定租期开始后,若甲方单方终止本合同,则甲方需向乙方双倍返还其根据第5.1条的规定收取的保证金;如乙方要求提前解约,甲方扣留乙方已付保证金后,则本合同自动终止。ThepartiesshallnotterminatethisContractexceptforanylegalreasonsuchasforcemajeureunderArticle10.3.AfterthecommencingdateoftheTermunderthisContract,ifPartyAterminatesthisContractunilaterally,PartyAshallreturndoubleamountoftheDepositinaccordancewithArticle5.1.IfPartyBwishestoterminatethisContractearly,PartyAwillholdtheDepositandthisContractshallbeautomaticallyterminated.

Notice

第十四条

通知

任何一方根据本合同发出的通知或其他联系应以中文书写并可通过人工送递或航空挂号邮寄(预付邮资)、公认的快递服务或以传真发送至另一方的合同约定地址。通知视为有效送达的日期按以下方法予以确定:AnynoticessentbyonepartytotheotherpartyunderthisContractshallbemadeinChineseandshallbedeliveredbyhand,byregisteredair-mail(withpostagepre-paid),expressdeliveryservicecommonlyrecognizedorbyfaxtotheaddressstipulatedinthisContract.Anoticeshallbedeemedtohavebeendelivered:
