Boxes4-8(“theVessel”),whichhasbeenacceptedbytheBuyersfollowingtheirsuperficialinspectionoftheVesselandexaminationofherclassrecordsasreferredtoinBoxes9and10respectivelyonthefollowingtermsandconditions.兹证明卖方（第1栏）与买方（第2栏）在此日达成卖方出售、买方买入船舶（船舶名称参看第3栏）的买卖船舶协议，船舶详细资料见第4栏到第8栏，且上述资料在买方进行船舶表面检查及船级记录（第9栏和第10栏）检查后，已被买方所接受。该协议之条款及规定条件见下文。

PURCHASEPRICE

2.

PAYMENT

付款

(a)AssecurityforthefulfillmentofthisAgreement,theBuyers

shallremitadepositoften(10)percentofthePurchasePrice(“theDeposit”)toabanknominatedbytheSellerswithin

three(3)bankingdays(beingdaysonwhichbanksareopenforthetransactionofbusinessintheplacestatedinBox15(“BankingDays”)),fromthedateofthisAgreement,inthenamesofboththeSellersandtheBuyers.AnyinterestearnedontheDepositshallbecreditedtotheBuyers.BankchargesontheDepositshallbeborneequallybytheSellersandtheBuyers.TheDepositshallbepaidtotheSellersasapartof

thePurchasePriceinthesamemannerasthebalanceoftheninety(90)percentofthePurchasePriceasprovidedforhereunder.为确保协议充分履行之安全起见，买方应在从本协议签订之日起3个银行日（在第15栏（银行工作日）内规定地点的银行开门营业办理商业交易事宜的受理日）内，将购买价格的10%作为保证金汇款给由卖方指定，以买卖双方共同名义开设的银行账户。保证金的所有利息收益归买方所有。银行对保证金收取的费用将由买卖双方平均分摊。保证金将作为购买价格的一部分，与剩余的90%（详见下文）以同一方式支付给卖方。

(b)TheBuyersshallremitthebalanceofthePurchasePricebytelegraphictransfertothesaidbankimmediatelyaftertheNoticeofReadinessforDeliveryistenderedbytheSellersasperclause7ofthisAgreement.ThebalanceshallbepaidtotheSellerstogetherwiththeDepositagainsttheProtocolofDeliveryandAcceptancebeingdulysignedbyarepresentativeofeachpartyatthetimeofdeliveryoftheVessel.在卖方按照本协议第7条递交船舶交付准备就绪通知书之后，买方应立即将剩余的90%购买价款电汇到上述银行。剩余款项应当在船舶交付时，由买卖双方代表人适当签署交付和接受协议议定书后，连同保证金一同支付给卖方。

3.

DOCUMENTATION交接文件

(a)AtthetimeofdeliveryoftheVessel,theSellersshallprovidetheBuyerswiththefollowingdocuments

(i)

theBillofSale,dulynotarizedbyaNotaryPublic,specifyingthattheVesselisfreefromalldebts,encumbrances,mortgagesandmaritimeliens;and

(ii)aletterfromtheSellersundertakingtosupplyaDeletionCertificatefromtheRegistrystatedinBox4assoonaspracticableaftertheVessel’sdelivery;and

(iii)suchotherdocumentsasmaybemutuallyagreed.

(b)UpondeliverytheBuyersandtheSellersshallexecuteandexchangeaProtocolofDeliveryandAcceptance,therebyconfirmingthedateandtimeofdeliveryoftheVessel.

(c)ClosingshalltakeplaceattheplacestatedinBox12.（a）在交付船舶时，卖方应将以下文件提供给买方：

（i）

卖据，经公正人正式签字认证并明确载明该船舶没有任何债务、负担、抵押和船舶优先权；和

（ii）卖方的确认函，保证在船舶交付之后尽可能提早提供在第4栏载明的船旗国注册处签发的注销证书；和

（iii）

可能相互约定同意的其他文件。（b）在交付时，买卖双方应执行和交换船舶交接议定书，以此来确认交付船舶的时间和日期。（c）交接会议应在第12栏记载的地点进行。

4.

DELIVERYPLACE

ANDTIME

交付地点和时间

(a)TheSellersshallensurethattheVesselisreadyfordelivery

withintheDeliveryRangestatedinBox13notbeforeandnotlaterthanthedatesstatedinBox14,thelatterdatebeingtheCancellingDate.（a）

卖方应确保船舶在交付区域（载于第13栏）内已做好交付准备，不得早于且也不得晚于第14栏记载的时间，最后一天即为解约日。

(b)TheSellersshallkeeptheBuyersinformedoftheVessel’sitineraryandgivetheBuyersthirty(30),fifteen(15),seven(7)andthree(3)daysnoticeoftheexpecteddateandplaceofreadinessfordelivery.（b）

卖方应保持通知买方船舶的行程，并提前30日、15日、7日和3日，发给买方关于船舶准备就绪交船的预期时间和地点的通知。

(c)IntheeventthattheVesselisnotreadyfordeliveryonorbeforetheCancellingDate,theBuyersshallhavetheoption

ofcancellingthisAgreement,providedsuchoptionshallbeexercisedinwritingwithintwo(2)WorkingDays(whichshallbethedaysnotfallingonSaturdays,Sundays,orPublic

holidaysintheplacestatedinBox15)fromtheCancellingDate.However,ifthefailuretodelivertheVesseliscausedbyanyeventoverwhichtheSellershavenocontrol,thentheCancellingDateshallbeextendedbythecorrespondingtimelostduetosucheventbutinnocaseshallsuchextensionbeforaperiodofmorethanthirty(30)days.（c）

万一在解约日当天或之前，船舶没有备妥交付，买方有权取消该买卖协议，但是须在从解约日起2个工作日（不应发生在第15栏记载地点的周六、周日或公共假日范围）内以书面形式提出行使此选择权。然而，如果不能交付船舶是由于卖方不能控制的任何事件所引起的，那么，解约日将根据该事件造成的时间损失做相应的延长，但最长不得超过30天期限。

(d)IntheeventtheBuyersdonotelecttoexercisetheoptionto

canceltheAgreementinaccordancewithsub-clause(c)above,theyshallhavetherighttodesignateanewdatefordeliveryoftheVessel,providedsuchrightisexercisedinwritingwithintwo(2)WorkingDaysfromtheCancellingDate,andsuchdesignateddateshallbethenewCancellingDateasif

statedinBox14.HoweverifnonewCancellingDateis

designatedbytheBuyersinaccordancewiththissub-clausethereshallbenofurtherCancellingDateandtheSellersshalldelivertheVesselassoonaspracticable.

（d）

在买方没有根据上文（c）款行使取销该协议的选择权时，他将有权指定一个新的船舶交付日，但须在从解约日起的两个工作日内以书面形式行使此权利，因此，该指定的日期应成为新的解约日，如同第14栏已经载明的一样。然而，如果买方未根据上文（c）分条款进行指定，则应不存在新的解约日，那么，卖方应尽快交付船舶。

(e)Notwithstandingtheexerciseofduediligencebythem,iftheSellersanticipatethattheVesselwillnotbereadyfordeliverybytheCancellingDate,(whetheritbethefirstagreedCancellingDateoranysubsequentCancellingDateasprovidedforinsub-clause(d)above),thentheSellersmay

notifytheBuyersinwritingstatingthedatewhentheyanticipatethattheVesselwillbereadyfordeliveryandproposingthatthatdateshallbethenewCancellingDate.

UponreceiptofsuchnotificationtheBuyersshallhavetheoptiontocancelthisAgreement,providedsuchoptionis

exercisedinwritingwithintwo(2)WorkingDaysfromthereceiptoftheaforesaidnotificationfromtheSellers.Ifthe

BuyersdonotexercisetheoptiontocancelthisAgreement,thedateproposedbytheSellersshallbethenewCancellingDateasifstatedinBox（e）

尽管卖方已经行使恪尽职守之职，如果卖方预计到船舶无法在解约日截止前准备就绪交付（无论是最初约定的解约日，还是根据上文（d）款规定，后来设定的任何解约日），那么卖方可以书面通知买方声明他们预期准备就绪交付的日期，并提议该日作为新的解约日。一旦收到卖方的书面通知后，买方应有权在收到该通知起的2个工作日内书面取消本协议。如果买方没有行使选择权去取消本协议，那么，卖方提议的新的日期将成为新的解约日，如同第14栏载明一样。

5.

DELIVERYCONDITION

交付条件

(a)TheSellersshalldelivertheVesseltotheBuyersin

substantiallythesameconditionaswhentheVesselwas

InspectedbytheBuyersattheplacestatedinBox9,fairwearandtearexcepted,butfreefromoutstandingrecommendationsandaveragedamageaffectingherpresentclassandwithallherclass,nationalandinternationaltradingcertificatescleanandvalidatthetimeofdelivery.

（a）

卖方交付船舶的状况应该与买方在第9栏载明的地点检查船舶时基本一致，正常损耗除外；但不得有任何影响船舶现有船级状况未纠正的批注和海事损坏；而且在交船时，保持所有船级证书，船旗国证书和国际营运证书清洁和有效。

(b)UpontheVesselbeingdeliveredtoandacceptedbytheBuyersinaccordancewiththisAgreementtheSellersshallhavenoliabilitywhatsoeverforanyfaultordeficiencyintheirdescriptionoftheVesselorforanydefectsintheVesselregardlessofwhethersuchdefectwasapparentorlatentatthetimeofdelivery.（b）

根据本协议，一旦船舶交付并由买方接受，对无论任何关于船舶描述的故障和缺陷，或交付时不论是显现的或潜在的船舶缺陷，卖方均不应承担任何责任。

6.

UNDERWATERINSPECTION

水下检验

(a)TheSellersmaydelivertheVesselwithoutdrydocking,

subjecttothefollowingprovisions.(b)PriortodeliveryoftheVesseltheBuyersshallhavetherighttohavediversapprovedbyaclassificationsocietyreferredtoinBox5(“theClassificationSociety”),carryoutaninspectionoftheVessel’sunderwaterpartsbelowthesummer

loadlineinthepresenceofasurveyoroftheClassification

SocietyarrangedbytheSellers.Suchinspection,ifany,istobeattheBuyers’arrangement,riskandexpenseandisnottointerferewiththeVessel’soperationanddeliveryschedule.

(c)TheBuyersshallgiveawrittennoticeoftheirintentiontohaveanunderwaterinspectioncarriedoutwithintwo(2)daysfromthereceiptoftheseven(7)daysnoticestipulatedinsub-clause(b)ofClause4.IftheBuyersfailtogivesuchawrittennoticewithintwo(2)days,theyshalllosetheirrighttohaveanunderwaterinspection

（a）

根据以下条款，卖方可以无需安排进坞而交付船舶。（b）

交付船舶前，买方应该有权雇佣经船级社（第5栏）批准的潜水员执行对船舶夏季载重线以下的水下部分进行检验，且需卖方安排的船级社验船师在场监督。该检验（如有）由买方安排，风险、费用也由买方承担，且不得干扰船舶的运营计划及交船进度。（c）

买方应在收到（第4条b次条）规定的7日通知书之日起的2日内，书面通知卖方他们对船舶进行水下检验的意图。如买方没有在这2日内给出书面通知，他应将失去水下检验的权利。

(d)UponreceiptoftheBuyers’noticetheSellersshallarrangewiththeClassificationSocietytocarryoutanunderwaterinspection.ThecostoftheunderwaterinspectionshallbebornebytheBuyersunlessdamageaffectingtheclassis

found,inwhichcasetheSellersshallbearthecost.(e)Shouldanydamageaffectingtheclassbefoundbysuchdivers’inspectionthefollowingshallapply:(i)

wherethedamageisofsuchnaturethatrepairsarenotrequiredpriortothenextscheduleddrydockingbythe

ClassificationSociety,thentheSellersandtheBuyersshalleachselectareputableshipyardintheDeliveryRangestatedinBox13orneartheretoandobtainfromsuchshipyardaquotationforthecostofrepairsofthedamage.Eachquotationistobeforthedirectrepaircostsofthedamageonlyandisnottoincludethecostofdockageandgeneralserviceexpenses.TheSellersshallthenhavetheoptiontoeitherrepairthedamagepriortodeliveryoftheVesselordelivertheVesselwithoutthe

damagebeingrepairedwithareductionfromthePurchasePriceoftheestimatedcostofrepairs.Theestimatedcostofrepairsshallbedefinedastheaverageofthetwoquotationsobtainedfromthetwoshipyards;

(ii)wherethedamageisofsuchnaturethatrepairsarerequiredpriortothenextscheduleddrydockingbytheClassificationSociety,thentheSellersshallrepairthedamageattheircostandexpenseandtotheClassificationSociety’ssatisfaction.（d）一旦收到买方的书面通知后，卖方应安排船级社开展水下检验。水下检验的费用由买方承担，但如果发现影响船级的损坏，在这种情况下，费用应将由卖方承担。（e）

如果检验发现影响船级的损坏，适用以下条款：（i）

当损坏不需要在下一次船级社要求的定期坞检之前进行修理时，那么，买卖双方应在第13栏载明的交船区域或其附近，各自挑选一家有良好信誉的船坞，并从船坞处获得修复该损坏所需的报价。每份报价只是直接修复损坏的费用，不包括船坞费和一般服务费用。卖方应有选择权在船舶交付前修复损坏，或不修复损坏但要从购船价款中扣除预计修复费用。预计修复费用应由两家船坞提供的报价平均计算得出。（ii）

当损坏需要在下一船级定期坞检之前修复的，那么卖方应自费修复船舶直到船级社满意为止。

(f)IntheeventthattheVesselisdrydockedtoeffectrepairsofdamageinaccordancewithsub-clause(e)hereof,theSellersshallhavetherighttodesignatethedrydockplaceasthenewdeliveryplaceifsuchdrydockplaceiswithintheDeliveryRangestatedinBox13.InsucheventtheBuyersshallhavetherighttocleanandpainttheunderwaterpartsoftheVesselattheirriskandexpenseandwithoutinterferingwiththeworkoftheSellersandasurveyoroftheClassificationSocietyandwithoutaffectingtheVessel’sdeliveryschedule.HoweveriftheBuyers’workindrydockisstillinprogresswhentheSellershavecompletedtheirwork,thentheadditionaldockingperiodnecessaryforcompletingsuchworkshallbeattheBuyers’riskandexpense,inwhicheventtheSellersshallhavetherighttotenderaNoticeofReadinessforDeliveryonoraftercompletionoftheirwork.(g)Ifrepairsarerequiredinaccordancewithsub-clause(e)hereof,thentheCancellingDateshallbeextendedbythecorrespondingtimelosttoeffectsuchrepairsprovidedthatsuchextensionshallnotinanyeventexceedthirty(30)days.

（f）

当船舶依上一次条之规定进入船坞进行修理损坏时，卖方有权指定该船坞地作为新的交船地，如果该船坞是位于第13栏交船的地理范围内。在此情况下，买方应有权在不影响交船进程、不妨碍卖方及船级社验船师工作的前提下，自费清洗和油漆船舶水下部分，且风险自负。然而，如果当卖方已经完成其工作而买方的坞修工作却仍在继续，那么，额外在船坞期间的风险和费用将由买方承担，此时，卖方有权在完成其工作之时或之后递交船舶准备就绪交船通知书。（g）

如果船舶根据上以次条（第e次条）需要修理，那么，解约日应根据进行修理所花费的时间相应地延长，条件是无论何种情形延长都不超过30日。

7.NOTICEOFREADINESSANDLIQUIDATEDDAMAGES准备就绪通知书和议定损害赔偿金

(a)WhentheVesselbecomesreadyfordelivery,theSellersshalltendertotheBuyersaNoticeofReadinessforDelivery.

(b)TheBuyersshalltakeovertheVesselwithinthree(3)BankingDaysfromthedayofreceiptofsuchNoticeofReadinessforDelivery

（a）

当船舶准备就绪交付时，卖方应向买方递交船舶交接准备就绪通知书。（b）

买方应该在收到该准备就绪通知书之日起的3个银行日内接收该船舶。

(c)IntheeventtheBuyersdonottakedeliveryoftheVesselwithintheperiodspecifiedabove,theBuyersshallpaytotheSellersforeachdayofthedelayuptothetenth(10th)dayofthedelaytheliquidateddamagesasstatedinBox16.Ifthedelayexceedsten(10)daysthentheSellersshallhavetherighttocancelthisAgreementandclaimdamagesfortheirlossesflowingtherefrom.（c）

如果买方未能在上述规定的期限内接收该船舶，每延迟一天，买方应该向卖方支付（第16栏载明）议定损害赔偿金，从迟延之日起，最长不超过10日。如果迟延超过10日，卖方应有权解除本协议并对由此带来的损失要求索赔。

8.

TOTALLOSSANDFORCEMAJEURE

全损及不可抗力

Should,beforedelivery,theVesselbecomeanactual,constructiveorcompromisedtotalloss(notbeingaresultofanactoromissionoftheSellerscommittedwiththeintenttocausesuchtotallossorrecklesslyandwithknowledgethatsuchtotallosswouldprobablyresulttherefrom),orshouldtheVesselnotbeabletobedeliveredbeforetheCancellingDatethroughtheoutbreakofwar,therestraintofGovernments,PrincesorPeople,politicalreasonsoranyothercauseoverwhichtheSellershavenocontrol,thenthisAgreementshallbenullandvoidandneitherpartyshallbeliabletotheother.InsucheventtheDeposittogetherwithinterestaccruedthereon,ifany,shallbeimmediatelyreleasedinfulltotheBuyers.

如果在交付前发生船舶的实际全损、推定全损或协议全损（非因卖方故意导致这种全损的疏忽行为或不为或草率鲁莽，或明知很可能会因此导致这种全损），或者因战争爆发、政府、君主或人民的限制、政治原因或卖方不能控制的其他原因，船舶不能在解约日之前交付，那么，本协议将无效作废，且买卖双方中任何一方均不向对方承担责任。此种情况下，保证金连带累计产生的利息（如有）应立即全额归还买方。

9.

TRANSFEROFTITLEANDRISK

所有权及风险的转移

TitleandrisktotheVessel,togetherwitheverythingbelongingtoher,shallpasstotheBuyersuponbothpaymentofthePurchasePriceanddeliveryoftheVesselhavingoccurred.DeliveryoftheVesselshallbedeemedtotakeplaceatthedateandtimespecifiedintheProtocolofDeliveryandAcceptance.船舶主权与风险以及其他船舶从属物，将在购买价款付毕，且船舶完成交付时发生。船舶交付的时间及地点应被认为是交付和接收议定书中所具体规定的。

10.BELONGINGSANDBUNKERS

船舶从属物及燃油

TheSellersshalldelivertotheBuyerstheVesselwitheverythingbelongingtoheratthetimeofthesuperficialinspectionreferredtointheBox9includingallspareparts,storesandequipment,onboardoronshore,usedorunused,exceptsuchthingsasare

inthenormalcourseofoperationsusedduringtheperiodbetweenthesuperficialinspectionanddelivery.TheSellersshallprovidetheBuyerswithaninventorylistatthetimeofdelivery.Forwardingcharges,ifany,shallbefortheBuyers’account.TheBuyersshalltakeoverandpaytheSellersfortheremainingbunkersandunusedlubricatingoilsatthelastpurchasedpricesvidencedbysupportingvouchers.PaymentunderthisclauseshallbemadeonorpriortodeliveryoftheVesselinthesamecurrencyasthePurchasePrice.卖方应将船舶以及在第9栏记载的表面检查时属于船舶的全部物品交付给买方，包括在船上或在岸上，已使用或未使用的所有备用配件、物料和设备，但从表面检查至船舶交付期间内，在船舶正常营运过程中使用的物品除外。卖方在交付时应向买方提供一份物品库存清单。转运费用（如有）应由买方承担。买方应接收剩余燃油和未使用的润滑油并为此另外支付款项，根据支持性付款凭证作为最近购买价格的证明支付给卖方。本条款下的付款，应是在船舶交付之日或之前，以与船舶价款相同的货币进行支付。

11.EXCLUSIONFROMTHESALE

出售除外物品TheSellershavetherighttotakeashoreallcrockery,cutlery,linenandotherarticlesbearingtheSellers’flagorname,providedtheSellerssubstitutethesameforanequivalentnumberandtypeofsimilarunmarkeditems.Books,cassettesandformsetc.,exclusivelyforusebytheSellersontheVessel,shallbetakenashorebeforedelivery.PersonaleffectsoftheMaster,OfficersandCrewincludingslopchestandhiredequipment,ifany,areexcludedfromthissaleandshallberemovedbytheSellerspriortodeliveryoftheVessel.

卖方有权将印有卖方标记或名称的所有陶器、刀叉餐具、日用织品以及其他物品拿走送岸，但卖方应用同等数量和类型的无标记的类似物品替代它们。卖方在船上专门使用的图书、盒式录音带和表格等等物品，应在交付前拿走送岸。船长、高级船员和普通船员的私人物品包括小卖部免税物品，以及租用的设备等（如有），不在本出售的范围内，应在船舶交付前由卖方移除。

12.CHANGEOFNAMEETC.

船舶交付时，买方承担船舶名称的变更及烟囱标志的改变。

13.ENCUMBRANCESETC.

负担TheSellersshalldelivertotheBuyerstheVesselfreefromalldebts,encumbrances,mortgagesandmaritimeliens.TheSellersherebyundertaketoindemnifytheBuyersagainstallclaimsof

whatevernaturemadeagainsttheVesselinrespectofliabilitiesincurredpriortothetimeofdelivery.

卖方应该交付给买方没有任何债务、负担、抵押及船舶优先权的船舶。据此，卖方承担赔偿买方因产生于交付之前的，与该船有关的所有性质的责任引起的一切索赔。

14.

DEFAULTANDCOMPENSATION
