国际工程招标说明书格式全文日期：协议招标一、中国从世界银行申请取得贷款，用于支付＿＿＿＿＿项目标费用。部分贷款将用于支付工程建筑、＿＿＿＿等多种协议。全部依世界银行指导标准含有资格国家，全部可参与招标。1.ThePeople'sRepublicofChinahas-appliedforaloanandcreditfromtheWorldBanktowardsthecostof________________Project.Itisintendedthatpartoftheproceedsofthisloanandcreditwillbeappliedtoeligiblepaymentundervariouscontractsfor____________,__________,__________.Tenderingisopentoalltenderersfromeligiblesourcecountriesasdefinedunderthe"Guidelinesforprocurement"oftheWorldBank.二、中国＿＿企业（以下简称Ａ企业）邀请含有资格投标者提供密封标书，提供完成协议工程所需劳力、材料、设备和服务。2.___________Companynowinvitessealedtendersfrompre-qualifiedtenderersforprovisionofthenecessarylabour,materials,equipmentandservicesfortheconstructionandcompletionoftheproject.三、含有资格投标者可从以下地址取得更多信息，或参看招标文件：中国Ａ企业（地址）3.Pre-qualifiedtenderersmayobtainfurtherinformationfrom,andinspectthetenderdocumentsattheofficeof:________.四、每一位含有资格投标者在交纳＿＿＿＿＿美元（或人民币），并提交书面申请后，均可从上述地址取得招标文件。4.Acompletesetoftenderdocumentsmaybeobtainedbyanypre-qualifiedtendererforthecostofRMB_________orUS$___________onthesubmissionofawrittenapplicationtotheabove.五、每一份标书全部要附一份投标确保书，且应不迟于＿＿＿＿＿（时间）提交给Ａ企业。5.AlltendersmustbeaccompaniedbyaTenderSecurityinanacceptableformandmustbedeliveredto________Companyattheabove-mentionedaddress(refertoItem3)onorbefore___________.六、全部标书将在＿＿＿＿＿（时间）当着投标者代表面开标。6.Tenderswillbeopenedinthepresenceofthosetenderers'representativeswhochoosetoattendat____________(time).七、假如含有资格国外投标者期望和一位中国中国承包人组建合资企业，需在投标截止日期前３０天提出要求。业主有权决定是否同意选定中国承包人。7.IfaprequalifiedforeigntendererwishestoformJointventurewithadomesticcontractor,sucharequestwillbeconsideredifreceivedwithin______daysbeforetheclosingdateforsubmissionoftenders.TheselectedlocalcontractorshallbesubjecttoapprovalbytheEmployer.八、标前会议将在＿＿＿＿＿（时间）＿＿＿＿＿（地址）召开。8.ThePre-TenderMeetingwillbeheldon__________atthefollowingaddress:_________.投标者须知InstructionstoTenderersGeneral一、工程概述（依据具体情况写）1.DescriptionofWorks(sketch)Alltenderersshallhaveequalaccessforsupplyofdomesticlabourandmaterial.TheContractorshallmakehisownarrangementsfortheprocurementoflocallabour,materials,transportationandotherservices.TheEmployerwillassistContractorinlocatingpotentialnumberofsuppliersforlocallabour,materials.TheEmployerwillalsoassistthecontractorinmakinghisownarrangementforsupplyoffuelandexplosives.二、资金起源2.SourceofFunds（一）中国向世界银行（以下简称ＩＦＩ）申请一笔贷款，用以支付＿＿＿＿＿工程。其中部分贷款将用于支付此协议工程。只有应中国政府要求，依据贷款协议条件，ＩＦＩ才会同意付款。除中国外，任何组织不能从贷款协议中取得权利或取得贷款。2.1ThePeople'sRepublicofChinahasappliedforaloanandcreditfromtheWorldBank(hereinafterreferredtoastheIFI)towardsthecostof____________Project,andintendstoapplyaportionoftheproceedsoftheloanandcredittoeligiblepaymentsundertheContractforwhichthesedocumentsareissued.PaymentbytheIFIwillbemadeonlyattherequestoftheChineseGovernmentanduponapprovalbytheIFIandwillbesubjectinallrespectstothetermsandconditionsoftheLoanAgreement.NopartyotherthanthePeople'sRepublicofChinashallderiveanyrightsfromtheLoanAgreementorhaveanyclaimtotheloanproceeds.（二）世行贷款只用于支付瑞士和和中国有商贸关系世行组员国生产产品和提供服务。2.2PaymentfromtheproceedsoftheWorldBankLoanwillbelimitedtogoodsproducedin,andservicessuppliedfrom,SwitzerlandandthemembercountriesoftheWorldBankwhichhavecommercialrelationswithChina.（三）世行贷款不足部分将由业主用中国政府提供资金支付。2.3AllcostsnotmetbytheIFILoanwillbepaidbytheEmployerfromfundsallocatedbytheGovernmentofChina.三、资格要求3.EligibilityandQualificationRequirements（一）全部依据世行“采购指导标准”含有资格国家均可投标。3.1Thistenderisopentoallpre-qualifiedtenderersfromeligiblesourcecountriesasdefinedunderthe"GuidelinesforProcurement"oftheworldBank.（二）本协议项下一切货物、服务均应来自上述含有资格国家。本协议项下一切开支仅限于支付这么货物和服务。3.2AllgoodsandservicestobesuppliedunderthisContractshallhavetheiroriginineligiblesourcecountries,andallexpendituresmadeundertheContractwillbelimitedtosuchgoodsandservices.（三）货物、服务起源地和投标者国籍含义不一样。3.3Theoriginofgoodsandservicesisdistinctfromthenationalityofthetenderer.（四）为说明自己有资格中标，投标者应向业主提供（一）所要求证实，确保有效地实施协议。为此，业主和中国Ａ企业在公布中标者前，可要求投标者更新其先前提供资格证实材料。投标者提供材料应包含：3.4Tobeeligibleforawardofcontract,tenderersshallhaveprovidedevidencesatisfactorytotheEmployeroftheireligibilityunderclause3.1above,andoftheircapabilityandadequacyofresourcestoeffectivelycarryouttheContract.Tothisend,theEmployerand____________companymay,atanytimepriortoawardofcontract,requesttendererstoamplifyorupdatepreviouslysubmittedprequalificationdata.AllTenderssubmittedshallincludethefollowinginformation:（１）法律地位证实文件复本，注册地及关键经营场所。假如是合资企业，应提供合资者材料。(a)copiesoforiginaldocumentsdefiningtheconstitutionorlegalstatus,placeofregistrationandprincipalplaceofbusinessofthecompany,firmorpartnershipor,ifajointventure,ofeachpartytheretoconstitutingthetenderer;（２）提供关键协议实施人资格、经历证实材料。(b)thequalificationsandexperienceofkeypersonnelproposedforadministrationandexecutionoftheContract,bothonandoffsite,intheformatprescribedinScheduleV;（３）填写实施协议计划所需设备。(c)majoritemsofconstructionalplantandequipmentproposedforuseincarryingouttheContractintheformatprescribedinScheduleIV;（４）填写可能分包人。(d)alistofproposedsub-contractorsintheformatprescribedinScheduleVI;（５）现在进行中包含投标者诉讼情况。(e)informationregardinganycurrentlitigationinwhichthetendererisinvolved;（６）建设构想细节。(f)thedetailsoftheconstructionmethodsproposed.（五）投标者可更新资格证实申请，在投标日亲手交出。3.5Forthepurposesofsub-clause3.4,tendererswhohavebeenpre-qualifiedmayupdateandaugmenttheinformationsuppliedwiththeirapplicationforpre-qualification,and,inparticular,shallgiveparticularsofworkinhandatthedateoftendering.（六）由两家或两家以上企业组成合资企业应满足以下条件：3.6Tenderssubmittedbyajointventureoftwoormorefirmsaspartnersshallcomplywiththefollowingrequirements:（１）标书和投标成功后协议书对全部合资人全部有法律约束力。(a)thetender,andincaseofasuccessfultendertheFormofAgreement,shallbesignedsoastobelegallybindingonallpartners;（２）由全部合资人授权签字人签署并提交一份委托书，提名合资人中一个为主办人。(b)oneoftheJointVenturemembersshallbenominatedassponsor;andthisauthorisationshallbeevidencedbysubmittingapowerofattorneysignedbylegallyauthorisedsignatoriesofallthemembersofthejointventure;（３）合资主办人被授权负担义务，代表任何一位或全体合资人接收指导。整个协议实施，包含款项支付仅由合资主办人办理。(c)thejointventuresponsorshallbeauthorisedtoincurliabilitiesandreceiveinstructionsforandonbehalfofanyandallmembersofthejointventureandtheentireexecutionoftheContractincludingpaymentshallbedoneexclusivelywiththejointventuresponsor;（４）全部合资人依据协议条款对协议实施共同负责。这点申明不仅要在上述委托书中，也要在标书和协议（投标成功时）中写明。(d)allmembersofthejointventureshallbeliablejointlyandseverallyfortheexecutionoftheContractinaccordancewiththeContractterms,andarelevantstatementtothiseffectshallbeincludedintheauthorisationmentionedunder(b)aboveaswellasintheFormofTenderandtheFormofAgreement(incaseofasuccessfultender);and（５）随同标书应有一份合资伙伴间协议副本。(e)acopyoftheagreemententeredintobythejointventurepartnersshallbesubmittedwiththetender.（七）中国投标者、中外合作、合资投标者申请取得７．５％优惠时，应按二十九条要求提供证实合乎标准材料。3.7Domestictenderersorcombinationsorjointventuresofdomesticandforeigntenderersapplyingforeligibilityfortheapplicationofa_____%marginofpreferenceinthecomparisonoftheirtenderwithothertendersshallsupplyallinformationrequiredtosatisfythecriteriaforeligibilityasdescribedinClause29oftheseInstructions.四、投标费用4.CostofTendering投标者负担备和提交其标书所需全部费用。不管投标情况怎样，业主和其代理人中国Ａ企业全部不负担这些费用。ThetenderershallbearallcostsassociatedwiththepreparationandsubmissionofhistenderandneithertheEmployernorhisagent___________Companywillinanywayberesponsibleorliableforthosecosts,regardlessoftheoutcomeofthetenderingprocess.五、现场参观5.SiteVisit（一）提议投标者去工程现场参观，方便取得足够信息准备标书，撰写协议。现场参观费用由投标者自己负担。5.1ThetendererisadvisedtovisitandexaminetheSiteoftheWorksandthesurroundingsandtoobtainforhimselfonhisownresponsibility,allinformationthatmaybenecessaryforpreparingthetenderandenteringintoacontract.Thecostsofvisitingthesiteshallbeatthetenderer'sownexpense.（二）业主或其代理人Ａ企业将准备一份现场参观交通、食宿安排协议，在标前会议上向投标者宣告。具体情况在第十六条有要求。5.2Arrangementsforavisittosite,includingtransportationandaccommodation.willbemadebytheEmployerorhisagent_________Companyandwillbeadvisedtotenderersatthepre-tendermeeting,detailsofwhicharegiveninClause16oftheseInstructionstoTenderers.,（三）业主或其代理人Ａ企业将为投标者提供通行证，许可其到工程现场作安排。假如业主或其代理人因发放这么通行证，造成投标者或其代理人、人员遭受人身侵害（致命或不致命）伤害，财产遗失或其它损害、开支时，业主或代理人不负责。5.3ThetendererandanyofhisrepresentativeswillbegrantedpermissionbytheEmployerorhisagent___________companytoenteruponitspremisesandlandsforthepurposeofsuchinspectionbypriorarrangement,butonlyupontheexpressconditionthatthetendererandhisrepresentatives,willreleaseandindemnifytheEmployerorhisagent___________Companyanditspersonnelfromandagainstallliabilityinrespectthereofandwillberesponsibleforpersonalinjury(whetherfatalorotherwise),lossofordamagetopropertyandanyotherloss,damage,costsandexpenseshowevercaused,which,butfortheexerciseofsuchpermission,wouldnothavearisen.投标文件TenderDocuments六、投标文件内容6.ContentofTenderDocuments（一）向投标者发售一套投标文件可花费＿＿＿＿＿美元（元）取得，包含以下几部分：卷一投标者须知协议条款：通常条款特定条款卷二技术规范（包含图纸清单）卷三投标表格和附件；投标确保书；工程量表；附录。卷四图纸6.1Thesetofdocumentsissuedtopre-qualifiedtenderersforthepurposeoftenderingwillcostRMB_______orUS$______andwillincludethestatednumberofcopiesofthefollowing:NumberofcopiesDescription1Volume1InstructionstoTenderersConditionsofContract:PartI--GeneralPartII--ConditionsofParticularApplication1Volume2Specification(incl.listofDrawings)3Volume3FormofTenderandAppendixtheretoFormofTenderSecurityBillofQuantitiesSchedulesofSupplementaryInformation1Volume4Drawings（二）投标文件还包含按条款八在开标前公布附件和按条款十六召开标前会议会议纪要。6.2TenderdocumentsshallincludeanyaddendaissuedpriortotheclosingdateoftendersinaccordancewithClause8andanyminutesofpre-tendermeetingsissuedinaccordancewithClause16oftheseInstructionstoTenderers.（三）含有资格投标者还可购置更多文件副本，付费不退还。（价格以下，略）6.3Furthercopiesofthedocumentsmaybepurchasedbypre-qualifiedtenderersforanon-refundablefeeasfollows:(sketch)（四）项目承包人、生产者、供货人和其它人如欲得到投标文件，不要直接和中国Ａ企业联络，应从含有资格投标者处取得。6.4Sub-contractors,manufacturers,suppliersandotherswhorequirecopiesofthedocumentsshallnotrequestthemdirectlyfrom_____________butshallobtainthemonlyfrompre-qualifiedtenderers.（五）假如在要求期限内，文件无损坏被归还，不管是作为标书一部分或其它情况下，投标者资格证实费可被返还：6.5Onreturnofthedocumentsinanundamagedanduseablecondition,eitheraspartofatenderorotherwise,withinthespecifiedtimelimits,thetenderer'spre-qualificationfeewillberefunded,asfollows:（１）若提交标书，费用＿％返还；(a)Tendersubmitted:_________________%refundoffee（２）若未提交标书，在投标截止日前归还文件，费用＿％返还。(b)Tendernotsubmittedbut________________%refundoffeedocumentsreturnedpriortoclosingdateoftender（六）期望投标者认真阅读投标文件包含各项内容。投标者要负担因不遵守文件要求造成风险。不符合文件要求要求标书将被拒绝。6.6Thetendererisexpectedtoexaminecarefullyallinstructions,conditions,forms,terms,specificationsanddrawingsinthetenderdocuments.FailuretocomplywiththerequirementsoftheInstructionstoTendererswillbeatthetenderer'sownrisk.Tenderswhicharenotsubstantiallyresponsivetotherequirementsofthetenderdocumentsmayberejected.（七）投标文件四卷装订在一起，投标者应仔细检验是否缺页，及附件是否完整。6.7Thefourvolumesofthetenderdocumentshavebeencollatedandboundbymechanicalmeansandtenderersshouldchecktoensurethattheycontainallpages(whicharenumberedconsecutively)andthatallsupplementsreferredtoarealsoincluded.七、投标文件解释7.ClarificationofTenderDocuments潜在投标者可按以下地址书面或电传通知Ａ企业要求解释文件：地址：（略）7.1AProspectivetendererrequiringanyclarificationofthetenderdocumentsmaynotify___________inwritingorbytelexatthefollowingaddress:__________.业主或其代理人Ａ企业在提交标书最终期限前２８天书面回复解释文件要求。书面回复将向全部含有资格并已取得投标文件投标者散发。TheEmployerorhisagent_____________willrespondinwritingtoanyrequestforclarificationwhichisreceivedmorethan_____dayspriortothedeadlineforsubmissionoftenders.Writtencopiesoftheresponse(includinganexplanationofthequery,butwithoutidentifyingthesourceoftheinquiry)willbesenttoallprequalifiedtendererswhohavebeenissuedwithtenderdocuments.八、投标文件修正8.AmendmentofTenderDocuments（一）在提交标书最终期限前，业主可依据自己意愿，或应回复潜在投标者解释文件要求，公布附录修改投标文件。8.1Priortothedeadlineforsubmissionoftenders,theEmployermay,foranyreason,whetheratitsowninitiativeorinresponsetoaclarificationrequestedbyaprospectivetenderer,modifythetenderdocumentsbytheissueofanAddendum.（二）附录将用邮件、电传或电报送达每个持有投标文件含有资格投标者，这些文件对她们是有约束力。潜在投标者应即时用电传或电报通知Ａ企业附录已收到。8.2TheAddendumwillbesentinwritingorbytelexortelegramtoallpre-qualifiedtendererswhohavepickedupthetenderdocumentsandwillbebindinguponthem.Prospectivetenderersshallpromptlyacknowledgereceiptthereofbytelexortelegramto____________.（三）为了使投标者在准备投标时有时间考虑附录文件，业主或其代理人Ａ企业可按条款十九要求延长投标期限。8.3InordertoaffordprospectivetenderersreasonabletimeinwhichtotakeanAddendumintoaccountinpreparingtheirtenders,theEmployerorhisagent_________may,attheirdiscretion,extendthedeadlineforthesubmissionoftendersinaccordancewithClause19hereof.投标准备PreparationofTenders九、标书文字9.LanguageofTender标书和投标者和业主及其代理人Ａ企业之间一切联络均使用英文。投标者标书中部分辅助文件或小册子可使用另外语言，但和投标相关段落要有英语译文。在标书翻译时，以英文为准。9.1ThetenderandallcorrespondencerelatingtothetenderexchangedbythetendererandtheEmployerorhisagent__________shallbeinEnglish.SupportingdocumentsandprintedliteraturefurnishedbythetendererwiththetendermaybeinanotherlanguageprovidedtheyareaccompaniedbyanappropriateEnglishtranslationofpertinentpassages.Forthepurposeofinterpretationofthetender,theEnglishversionshallprevail.十、组成标书文件10.DocumentsComprisingtheTender（一）投标者准备标书应包含以下几部件：10.1ThetendertobePreparedbythetenderershallcontainthefollowing:（１）投标表格和附件theFormofTenderandAppendixthereto;（２）投标确保书theTenderSecurity;（３）标价工程量表thepricedBillofQuantities;（４）补充信息目录表theSchedulesofSupplementaryInformation;（５）资格证实材料theinformationoneligibilityandqualifications;（６）（假如有）可供选择报价alternativeoffers,ifany;and（７）要求提供其它材料anyotherinformationrequiredtobesubmittedinaccordancewiththeseInstructions.应一律使用本文件卷三中表格，工程量表和目录表。（除了按一样格式延长目录表和按条款十四（二）要求使用可供选择投标确保书格式）TheForms,BillofQuantitiesandSchedulesprovidedinVolume3ofthesedocumentsshallbeusedwithoutexception(subjecttoextensionsoftheSchedulesinthesameformat,andtotheprovisionsofClause14.2hereofregardingthealternativeformsoftendersecurity).（二）条款六（一）描述投标文件和按条款八发出附录均被视作标书组成部分。不需签字和按条款十七、十八要求提交投标文件应在投标期限到期前归还发行者，但不要和标书合在一处。10.2AlldocumentsissuedforthepurposeoftenderingasdescribedinClause6.1andaddendaissuedinaccordancewithClause8shallbedeemedincorporatedinthetender.TenderdocumentsnotrequiredtobesignedandsubmittedinaccordancewithClauses17and18shallbereturnedtotheofficeofissuebeforetheexpiryofthetendervalidityperiod,butmustnotbeenclosedwiththeTender.（三）投标者应随标书提交一份按协议条款第十四条要求形式写就早期计划。10.3TenderersshallsubmitwiththeirtenderapreliminaryProgrammeintheformatrequiredbyClause14oftheConditionsofContract.（四）按协议要求可要求中标者讨论修改其计划。10.4ThesuccessfultendererwillberequiredtoreviseoraugmenthisProgrammeassetoutintheContract.十一、投标价格11.TenderPrices（一）除非协议中另有明确要求，协议包含条款一所述全部工程，以投标者提供项目单价和总价为基础。11.1Unlessexplicitlystatedotherwiseinthetenderdocuments,theContractshallbeforthewholeoftheWorks______asdescribedinClause1hereof,basedontheschedulesofunitratesandamountssubmittedbythetenderer.（二）不管工程量是否标明，投标者应对工程量表中每项工程标明单价和总价。对单价和总价未标明项目，在建设中业主不给予支付，其价格视作已包含在工程量表中其它单价、总价中。11.2ThetenderershallfillinratesandamountsforallitemsofworkdescribedintheBillofQuantities,whetherquantitiesarestatedornot.ItemsagainstwhichnorateoramountisenteredbythetendererwillnotbepaidforbytheEmployerwhenexecutedandshallbedeemedcoveredbytheotherratesandamountsenteredintheBillofQuantities.（三）在提交标书前２８天承包人应付关税、税收和其它税负应包含在单价和总价及投标总价中。业主在对标书进行评定、比较时，也应如此考虑。11.3Allduties,taxesandotherleviespayablebytheContractorundertheContract,orforanyothercause,asatthedate________dayspriortothedateforsubmissionoftendersshallbeincludedintheratesandamountsandtotaltendersumsubmittedbythetenderer,andtheevaluationandcomparisonoftendersbytheEmployershallbemadeaccordingly.（四）依据协议条款，投标者提出单价和总价可在实施协议过程中进行调整。投标者应完成表三－－价格调整条款－－并按协议条款要求和投书一起提供这么配套文件。11.4TheratesandamountsenteredbythetenderershallbesubjecttoadjustmentduringtheperformanceoftheContractinaccordancewiththeprovisionsoftheConditionsofContract.ThetenderershallcompleteScheduleIII-PriceAdjustmentProvisionsandshallsubmitwithhistendersuchothersupportinginformationasisrequiredunderClause70oftheConditionsofContract.十二、投标和支付货币12.CurrenciesofTenderandPayment（一）投标者应以人民币对单价和总价报价。假如投标者以其它货币支付中国以外提供工程投入（称作“外币需求”），要在表一外币需求中写明投标价格百分之几（不包含临时款项）将用于这么外币支出，不管（１）全部用投标者所在国货币或其任选货币；（２）全部用美元。假如投标者在一部分外币需求中使用除（１）（２）以外货币，且期望业主以同种货币付款，则应写明其在投标价格中百分比。这一比率在协议期内保持不变。在协议条款换算和计算投标价格时，占不一样比率多种货币按下条要求汇率进行换算。12.1TheunitratesandpricesshallbequotedbythetenderentirelyinRMB.AtendererexpectingtoincurexpendituresinothercurrenciesforinputstotheWorkssuppliedfromoutsideChina(referredtoas"theforeigncurrencyrequirements")shallindicateinScheduleIof"ForeignCurrencyRequirements"thepercentageoftheTenderPrice(excludingProvisionalSums)neededbyhimforthepaymentofsuchforeigncurrencyrequirementseither(i)entirelyinthecurrencyofthetenderer'shomecountryor,atthetenderer'soption,(ii)entirelyinUSdollars,alwaysprovidedthatatendererexpectingtoincurexpendituresinacurrencyorcurrenciesotherthanthosestatedin(i)and(ii)aboveforaportionoftheforeigncurrencyrequirements,andwishingtobepaidaccordingly,shallsoindicatethepercentageportioninhistender.ThepercentageportionindicatedshallremainfixedforthedurationoftheContract.TheamountsinvariouscurrenciescalculatedonthebasisofthepercentagesindicatedintheTenderandbyuseoftheexchangeratesindicatedinsubclause12.2hereinafter,shallbeusedforthepurposeofconversionandcomparisonoftenderspursuanttoClause70.（二）投标者用以兑换货币汇率为提交标书最终日期前３０天当日中国银行公布官方卖出价。假如某种货币汇率未公布，投标者应提供汇率并说明其起源。投标准备中使用汇率适适用于协议期支付。12.2TheratesofexchangetobeusedbythetendererforcurrencyconversionshallbethegoverningsellingratespublishedbytheBankofChinaonthedate______daypriortothelatestdateforthesubmissionoftenders.Ifexchangeragesarenotsopublishedforcertaincurrencies,thetenderershallstatetheratesusedandthesource.Forthepurposeofpayments,theexchangeratesusedintenderpreparationshallapplyforthedurationoftheContract.（三）投标者应在表一（Ａ）外币和当地货币需求及附录中具体说明需要外币和当地货币数量。投标者应说明怎样使用这些货币，用于但不限于下列方面：12.3ThetotalamountofforeignandlocalcurrenciesexpectedtoberequiredbytenderersshallbesubstantiatedinSchedulesIandI(A)-ForeignCurrencyandLocalCurrencyRequirements,andtheannexthereto,Tenderersshalldescribethemannerinwhichsuchforeignandlocalcurrenciesareexpectedtobeused,relatingspecifically,butnotlimitedto:外币ForeignCurrency（１）工程直接雇用外籍人员；(a)ExpatriatestaffdirectlyemployedontheWorks:（２）外籍人员社会收费、保险金和医疗费用及其往来中国旅行费；(b)socialcharges,insurancepremiumsandmedicalcarerelatedtosuchstaff,andtravelexpensesbetweenChinaandthecountryoforigin;（３）工程需要进口临时或永久性材料；(c)alistoftheimportedmaterials,bothtemporaryandpermanent,requiredfortheWorks;（４）工程所需设备折旧，包含备件；(d)depreciationandusageofplantandequipment,includingspareparts,requiredfortheWorks;（５）进口设备、材料及备件保险费和运费；(e)insuranceandfreightchargesforimportedmaterials,plantandequipment,includingspareparts;and（６）通常管理费用，国外发生费用。(f)overheadexpenses,feesandfinancialchargesincurredoutsideChina.当地货币LocalCurrency（１）当地劳力；(g)locallabour;（２）当地采购材料；(h)localmaterials;（３）其它服务；(i)otherservices,and;（４）通常管理费用，中国发生费用。(j)overheadexpenses,feesandfinancialchargeswithinChina.（四）业主能够要求投标者说明其外币需求情况，提供证实，证实其单位价格和表一中所需部分是合理。12.4TenderersmayberequiredbytheEmployertoclarifytheirforeigncurrencyrequirements,andtoprovidesatisfactoryproofthattheamountsincludedintheunitratesandinScheduleIarereasonableandresponsivetosub-clause12.1hereof.（五）投标者应在表二写明估计协议支付款额，且在表中附上工程进行过程中估计工作量。12.5ThetendershallcompleteScheduleII-EstimatedContractPaymentsandshallsubstantiatethetabulationofthisSchedulebyattachingatableindicatinganticipatedmajorquantitiesofworkperformedoverthedurationoftheWorks.十三、标书效力13.TenderValidity（一）从特定投标结束期起６个月内投标书保持有效且可供接收。13.1Thetendershallremainvalidandopenforacceptanceforaperiodofsixcalendarmonthsfromthespecifieddateoftenderclosing.（二）在特殊条件下，在原标书使用期结束前，业主或其代理人可要求投标者延长其标书使用期。业主要求和投标者回复均应是书面，或采取电传、电报形式。投标者能够拒绝这么要求，且不会所以失去其投标保函。答应这么要求投标者不得改动其标书，但被要求顺延其投标保函使用期。条款十四中相关投标保函返还和失去要求一样适适用于延长久。13.2Inexceptionalcircumstances,priortoexpiryoftheoriginaltendervalidityperiod,theEmployerorhisagent____________mayrequestthetenderersforaspecifiedextensiontotheperiodofvalidity.Therequestandtheresponsestheretoshallbemadeinwritingorbytelexortelegram.Atenderermayrefusetherequestwithoutforfeitinghistendersecurity.Atendereragreeingtotheextensionwillnotberequirednorpermittedtoalterhistender,butwillberequiredtoextendthevalidityofhistendersecuritycorrespondingly.TheprovisionsofClause14hereofregardingdischargeandforfeitureoftendersecurityshallcontinuetoapplyduringtheextendedperiod.十四、14.TenderSecurity（一）投标者应随其标书提交一份人民币投标保函，金额不少于投标价格２％。14.1Thetenderershallfurnish,aspartofhistender,atendersecurityinRMBYuaninanamountofnotlessthan_____%oftheTenderSum.（二）投标保函依据投标者意愿，可采取以下机构开立担保支票、银行汇票、不可撤销信用证或保函形式：14.2Thetendersecurityshall,atthetenderer'soption,beintheformofacertifiedcheque,abankdraft,anirrevocableletterofcreditoraguaranteefromeither:（１）中国银行；(a)BankofChina;（２）中国银行任何境外代理行；(b)anyofitscorrespondentbankabroadthroughBankofChina;（３）在中国经营其它中国、外国银行；(c)anyotherChineseorforeignbankoperatinginChina;（４）投标者在提交标书前即肯定Ａ企业可接收其它外国银行。(d)anyotherforeignbankdeterminedbytheTendererinadvanceofsubmissionofbidstobeacceptableto___________.保函还能够是保险企业或同地债券企业付款确保书。银行保函和付款确保书必需采取本文件包含样本形式；其它形式须事先得到业主或其代理人Ａ企业同意。信用证、银行保函和投标保函使用期应比标书使用期长30天。orabondissuedbyaninsurancecompanyorbondingcompanylikewiselocated.Theformatofthebankguaranteeorbondshallbeinaccordancewithoneofthesampleformsincludedinthesedocuments;otherformatsmaybepermittedsubjecttothepriorapprovaloftheEmployerorhisagent__________.Lettersofcredit,bankguaranteesandtenderbondsshallbevalidforonecalendarmonthbeyondthevalidityofthetender.（三）假如投标者同意按十三款要求延长标书使用期，则应对应地把投标保函使用期延长到标书使用期结束后30天。14.3IntheeventofaTendereragreeingtoaspecifiedextensionoftendervalidityinaccordancewithClause13oftheInstructionstoTenderers,theTenderershallProvideanextensioninthevalidityofthetendersecurityofonecalendarmonthbeyondthevalidityoftheextendedtender.（四）任何未附可接收投标保函标书全部将被Ａ企业拒绝。14.4Anytendernotaccompaniedbyanacceptabletendersecuritywillberejectedby_________asnon-responsive.（五）不成功标书投标保函将立即返还，不得迟于标书使用期结束后三十天。14.5Thetendersecuritiesofunsuccessfultendererswillbedischargedorreturnedaspromptlyaspossible,butnotlaterthan______daysaftertheexpirationoftheperiodoftendervalidityprescribed.（六）成功投标者投标保函将在其开始进行工程和按要求提供履约保函后返还。14.6ThetendersecurityofthesuccessfultendererwillbedischargedorreturneduponthetendererexecutingtheContractandfurnishingtherequiredperformancesecurity.（七）投标保函在下列情况将失去：14.7Thetendersecuritymaybeforfeited:（１）投标者在标书使用期内撤标；或（２）成功投标者未签约或未提供必需履约保函。十五、供选择方案（一）投标者可提供一份完全符合投标文件要求基础标书。依据自己意愿，投标者还可在以下几项上在基础标书之外提出供选择方案：(a)ifatendererwithdrawshistenderduringtheperiodoftendervalidity;or（１）起动贷款在开始建设工程前，提供无息贷款，可相当于投标价格１０％。业主由此产生费用或存款按条款二十八计算。（二）在基础标书之外还可提出供选择方案。为了在评标中把供选择方案考虑在内，每一方案应伴有价格细目表，说明和提交给业主基础投标价格相比投标者估量会增加或降低费用。将对基础报价给比较、评定。评价最低投标者供选择方案将得到考虑。假如供选择方案是业主可接收，将写入协议。未标价或未提供足够细节供选择方案不予接收。（三）供选择技术方案应伴有供全方面评价必需信息，包含设计计算、图纸、方法及原技术规范中未包含材料、工艺规格，和供选择方案标价细目表和供选择方案协议价格。（四）只有对那些在基础报价基础上提供另外财务、经济和技术好处供选择方案，业主才在评标中给考虑。十六、标前会议（一）提议投标者或其正式代表参与于＿＿年＿＿月＿＿日＿＿时在＿＿＿＿＿举行标前会议。（二）会议意在回复可能提出问题，并使投标者有机会检验现场情况。（三）投标者书面或经过电传、电报提出问题要求在会议前一周抵达Ａ企业。（四）会议统计，包含提出问题及回复文本将快速提供给和会者和全体索取了投标文件含有资格投标者。（五）假如依据标前会议，要对条款六（一）所列投标文件进行修改，应由业主或其代理人Ａ企业经过发行条款八要求附录来进行，而不能经过标前会议统计来进行。十七、标书格式和签字（一）投标者应准备条款十（一）要求标书一个原本和两个副本，并分别注明“原本”和“副本”。假如二者之间有不一样，以原本为准。（二）标书原本和两个副本应打字或用不能抹掉墨水书就，并由一名或多名有权责成投标者遵守协议人士签字。和标书一起应有一份书面委托书用以证实授权。写有条目和修订内容每一页标书全部要有在标书上签字人士缩写署名。（三）全套标书不应有改动、行间书写或涂抹地方，除非按议程指示或为更正投标者错误，但这种情况下更正地方应有在标书上签字人士缩写署名。（四）每位投标者只能提交一份标书，不包含按条款十五提交供选择方案。投标者对一个协议只能投一次标。十八、标书封缄和标识（一）投标者应把标书原本和两个副本分别各装入一个内信封和一个外信封，且在信封上注明“原本”、“副本”。（二）（１）内外信封均应注明以下地址：（Ａ企业地址）（２）注明以下事项：为建设协议工程投标＿＿＿＿＿＿项目，请勿在＿＿年＿＿月＿＿日＿＿时前打开（三）内信封上应写明投标者姓名和地址，方便在标书误期情况下不用打开即可退回投标者。而外信封上不能有任何包含投标者信息。（四）假如外信封未按要求注明相关事项。一旦标书被错误处理或提前打开，Ａ企业对此不负任何责任。提前打开标书将被业主或其代理人Ａ企业拒绝，给予退回。十九、提交标书最终期限（一）标书应按上述地址在＿＿年＿＿月＿＿日＿＿时之前寄至Ａ企业。（二）业主或其代理人可经过公布条款八要求附录延长提交标书最终期限，但最少应在原期限前七天经过电传或电报通知全部已索取投标文件含有资格投标者。在此情况下，全部原期限下业主和投标者权利义务顺延至新期限结束。二十、逾期标书Ａ企业在提交标书最终期限以后收到标书全部将不被打开，退回投标者。二十一、标书修改和撤销（一）投标者在提交标书后可对其进行修改或给予撤销，只要修改文件和撤标通知在提交标书最终期限前送达Ａ企业。（二）投标者修改文件或撤标通知应按相关提交标书条款要求准备、封缄、标识和发出。撤标通知能够经过电传、电报送达，但随即应提交一份有署名确实定件，且其邮戳上日期不能晚于提交标书最终期限。（三）按条款二十四要求，任何标书在最终期限后不能再进行修改。（四）在提交标书最终期限和标书使用期满之间时间撤标将按条款十四要求失去投标确保书。开标和评标二十二、开标（一）业主或其代理Ａ企业将于＿＿年＿＿月＿＿日＿＿时在办公地点＿＿＿＿＿当着出席会议投标者代表开标，参与开标投标者代表应签到。（二）按条款二十一提交了撤标通知标书将不再打开。业主或其代理人将检验标书是否完整，是否提供了要求投标确保书，文件是否签字和是否有条理。（三）在开标时将宣告投标者姓名、投标价格及修订、投标确保书、撤标通知（假如有）和其它业主或其代理人认为适宜宣告事项。（四）业主或其代理人将依据自已统计准备开标会议统计，并将立即和评标汇报一起递交世界银行。二十三、过程保密（一）在公开开标后，在向成功投标者授标前，相关对标书检验、解释、评定及比较和
