AbouttheWorldBank
TheWorldBank,1comprisingtheInternationalBankforReconstructionandDevelopment(IBRD),whichlendstogovernmentsofmiddle-incomeandcreditworthylow-incomecountries,andtheInternationalDevelopmentAssociation(IDA),whichprovidesfinancingonhighlyconcessionaltermstogovernmentsofthepoorestcountries,isoneofthelargestsourcesofdevelopmentfinanceandexpertiseglobally.Workinginalmostallthematicandsectoralinternationaldevelopmentareas,itmadecommitmentsofUS$72.8billioninitsfiscalyear2023(FY2023)fromJuly2022toJune2023.
TheWorldBankisheadquarteredinWashington,D.C.,USAandoperatesinmorethan140countriesworldwide.InFY2023,itemployednearly13,100full-timestaff(53.2percentofthemwomen)andabout6,000full-timeequivalentshort-termconsultants/temporaries.

TheWorldBankworkswithagrowingnumberofdevelopmentpartnersfromaroundtheworldtodeliveronitsstrategyandtocontributetotheachievementofthe
SustainableDevelopmentGoals
.FromtheinternationalcoalitionofdonorsandclientsthatconstituteIDA,throughengagementwithUnitedNationsagencies,internationalnongovernmentalorganizations,foundations,andcivilsociety,toanincreasingfocusonengagingprivatecapital,theWorldBankrecognizesthetransformativepowerofpartnershipwhennewideas,perspectives,andexperiencesarecombinedwiththenecessaryfinancialresources.
PartnershipsthroughTrustFunds
PartneringwiththeWorldBankisenabledthroughavarietyoffinancialinstrumentsandcoordinationmechanisms.Theappropriatepartneringmechanismisselectedbasedontheobjectivesoftheinitiative,thenatureoftheactivitiestobesupported,andtherolesoftheWorldBankanditsdevelopmentpartners.
Trustfunds,andtheUmbrella2.0Programsthroughwhichtheycanbeorganized,arethemostcommonlyusedmechanismsforpartnershipsinwhichtheWorldBank,donors,clients,andotherstakeholdersworktogethertoaddressaspecificdevelopmentchallengeorfindnewwaystoapproachproblemsattheglobal,regional,orcountrylevel.
Trustfundsareessentialtoastronger,better,moreagileWorldBank.TrustfundresourcescomplementWorldBankoperations,expandingtheirscopeandreachandsupportingtheirquality.TheypromoteincreaseddevelopmenteffectivenessandenabletheWorldBanktoprovideassistancewhenitsabilitytolendislimited,includinginfragileandemergencysituations,andtocountriesinarrearsandnon-membercountries.TrustfundsalsocontributetotheWorldBank’sknowledgeagendabyfinancingclosetotwo-thirdsofitsadvisoryservicesandanalyticsproducts,aswellastechnicaladvisoryservicesforclients.Trustfundsattractnewsourcesoffinanceandpromoteinnovativefinancialsolutionsinsupportoftheglobalpublicgoodsagenda,includingcombatingclimatechangeandaddressingthechallengesoffragility,conflict,violence,forceddisplacement,andpandemics.
InFY2023,cashcontributionstoWorldBanktrustfundstotaledUS$22.3billion,anddisbursementswereUS$20.7billion.FundsheldintrustwereUS$12.9billion,ofwhich16percent(US$2.5billion)wereforactivitiesinSustainableDevelopment(seeFigure1).
TrustfundsasapartneringmechanismhavebeeninplacefordecadesandhavebeenimportantcomplementstobothIBRDandIDAresources.AsapartofrecentTrustFundreformeffortsaimedatenhancingtheefficiency,effectiveness,andstrategicalignmentofactivitiesfunded,theUmbrella2.0

ConsistentwiththeoverallpurposesofIBRDandIDAassetoutinthe
ArticlesofAgreement
,theWorldBankestablishesandadministerstrustfundsasacomplementtoIBRDandIDAfinancingtopromotedevelopmentandaideffectivenessbyleveragingitscapacityanddevelopmentknowledge.Inadministeringatrustfundandholdingthetrustfundresources,theWorldBankactsinafiduciarycapacityinaccordanceonlywiththeprovisionsoftheagreementconcerningthetrustfund.
Box1:ContinuousImprovementthroughReform
Sincetheearly1960s,trustfundshavebeenusedtoenhancethefinancialsupportavailabletoclientsbyprovidingco-financingforIBRDandIDAoperationsandfordirectfundingoftechnicalassistance.Overthelastfewdecades,theroleandvolumeoftrustfundshaveincreaseddramatically,andtheWorldBankhasundertakeninitiativesandreformstopromotecontinuousimprovementintheefficiency,strategicalignment,androbustoversightoftrustfundresourcesandtheactivitiestheysupport.Significantprogresshasbeenmadeintransitioningmanagement,implementation,andoversightoftrustfundsintotheWorldBank’soperational,financial,andadministrativecontrolenvironment.ThetrustfundfiduciaryframeworkisnowfullymainstreamedintoregularWorldBankbusinessprocesses.Successivereformshaveimprovedtheintegrationoftrust-fundedactivitiesintoWorldBankoperationalandadministrativeprocesses,withtheaimofreducingcostsandbettermanagingrisks.
Designedtoaddressthepersistentchallengeofalarge,fragmentedtrustfundportfolio—manysmalltrustfundswithhighlycustomizedfeatures—theUmbrella2.0ProgramwasintroducedinJanuary2020.Umbrella2.0ProgramsstrengthenthelinkbetweenfundingandthestrategicprioritiesoftheWorldBankanditsclientsanddonorsandpromoteimpactatscale.AtrustfundportfoliogroundedinUmbrella2.0Programsmeansfewer,larger,morestrategicallyalignedfundinginitiatives.ThedesignoftheUmbrella2.0ProgrambuiltonapilotingphaseinvolvingdiverseunitsintheWorldBankexperiencedinmanagingtrustfundresources.ItwasinformedbylessonsfromexistingprogramsaswellasfromthepreviousUmbrellamodel(1.0)andbenefitedfromactivedonorsupportandengagementthroughaseriesofconsultationsthattheWorldBankorganizedover3years.

TheWorldBankpromotestrustfundsthatdrawonitsoperationalrole,reinforcecountrycapacityandownership,fosterharmonizationandalignmentofaidmodalities,andincludecontributionsfrommorethanonedonor.
WhataretheCriteriaforacceptingContributionstoTrustFunds?
TheWorldBankacceptscontributionstotrustfundsprovidedthatthedonormeetsthecriteriasetoutintheWorldBankBoard–approved
PolicyonTrustFunds
andthatthetrustfundsdonotextendanybenefitsorunfairadvantagestothedonor.Foreachintendedtrustfund,theWorldBankdecideswhethertoaccepttherolesorresponsibilitiesproposedbasedonthefollowingcriteria:
•ConsistencywiththeWorldBank’sPurposesandMandate.Activitiesfinancedfromthetrustfundareinkeepingwiththe
ArticlesofAgreement
.
⦁StrategicRelevance.ActivitiesfinancedfromthetrustfundarealignedwiththeWorldBank’spriorities.
•RiskManagementandControls.Therisksarisingfromthetrustfund,includingthosearisingfromanyconflictsofinterestoranyrestrictionsonitsuse,areexplicitlyconsideredandarejudgedtobeacceptableandmanageablebytheWorldBank.
•Governance.TheWorldBankhasdecision-makingauthorityontheuseofthefundsadequatetofulfillitsrolesinadministeringthespecifictypeoftrustfund.
•NationalityRestrictionsonProcurement.TheWorldBankdoesnotacceptanycontributiontoatrustfundthatimposesnationalityrestrictions
onprocurement.
•OperationalEfficiencyandSustainability.Trustfundsareofasufficientsizeandscopeasdeterminedbymanagementfromtimetotimetoensureefficientadministrationandportfolioconsolidation.TheWorldBankrecoversthecostsofperformingagreedrolesinadministeringtrustfunds,takingintoaccountbenefitsassociatedwithsuchfunding.

WhocontributestoTrustFunds?
Morethan150donorspartnerwiththeWorldBankthroughtrustfunds.Mostaresovereignentities.Othersincludemultinationalagencies,foundations,non-governmentalorganizations(NGOs),andprivateorganizations.Inafewrarecases,theWorldBankcontributestotrustfundsfromitsownbudgetorfromtheIBRD’ssurplusornetincome.

Therearethreetypesoflegalagreements/arrangementsinthecontextofBankadministeredTrustFunds:
AnAdministrationAgreementandAdministrationArrangementisthelegalagreementbetweentheBank,asadministratorofaTrustFund,andaDonor,settingforththetermsforthereceipt,administrationanduseofacontributionforaTrustFund.
TheAdministrationAgreement/Arrangementdescribes,amongotherthings,thetrustfund’sDevelopmentObjective,typesofactivitiestobefunded,governancearrangements(ifany),andtheEnd-DisbursementDate(EDD)—thedateafterwhichnoexpenditurescanbechargedtothetrustfundandallfinancialclosureproceduresarecompleted.
TheAdministrationAgreement/ArrangementissignedbytheauthorizedrepresentativeoftheWorldBankandiscountersignedbytheauthorizedrepresentativeofthedonor.SignedAdministrationAgreements/ArrangementsaremadeavailabletothepublicaccordingtotheWorldBank’sAccesstoInformationpolicy.
PromissoryNotesarenonnegotiable,noninterest-bearingandlegallybindingdemandnotespursuanttowhichcashispaidintoaTrustFundbyaDonorinaccordancewithagreedschedulesspecifiedintheAdministrationAgreement/Arrangement.
ATransferAgreementisalegalagreementbetweentheBank,astrustee,andaneligibleentityforthetransferofTrustFundfundsbythetrusteetosuchentity.3

Recipient-executedactivitiesareprojectsorprogramsimplementedbyathird-partyrecipient,typicallyagovernment,forwhichtheWorldBankprovidestrustfundresourcestotherecipientunderaGrantAgreement(seepage15).Recipient-executedactivitiessupportWorldBank

toinformcountry,regional,andglobaldevelopmentagendathroughknowledgedissemination,technicalassistance,impactevaluation,researchactivities,andotherknowledgeproducts.Bank-executedactivitiesalsoincludeprojectidentificationandappraisal,andprojectimplementationsupportrelatedtorecipient-executedactivities.ProgramManagementandAdministration(seepage12)isalsoabank-executedactivity.
Themajorityoftrustfundresourcesfinancerecipient-executedactivities,includingco-financingofIBRDandIDAoperations.InFY2023,recipient-executedactivitiesaccountedforaround94percent(US$19.5billion)oftotaldisbursementsfromWorldBanktrustfunds.Bank-executedactivitiesrepresentedthebalanceof6percent(US$1.3billion).
3-Inadditiontorecipient-executedandbank-executedactivities,theWorldBankmayinexceptionalcircumstancesallowforuseofaTransferOut,anarrangementthroughwhichtheWorldBankactsattherequestofalldonorstoamulti-donortrustfundtotransfertrustfundresourcestoanotherentity(theTransferee)underaTransferAgreement.UndertheTransferAgreement,theWorldBankhasnoresponsibilityforthefundstransferredanddoesnotperformasupervisoryrolewithrespecttothefundstransferredortheactivitiesthatthesefundsfinance.TheBank’soperationalpoliciesandproceduresdonotapplytotheactivitiesthattheTransfereecarriesout;ratheritisthepoliciesandproceduresoftheTransfereethatapply.
