东亚糖业咨询服务合同书ConsultationServiceContract甲方：南宁东亚糖业集团有限公司(PartyA:NanningEastAsiaSugarGroupCo.,Ltd.)乙方：南宁至哲企业治理顾咨询有限公司(PartyB:NanningZhizheQiyeGuanliGuwenCo.,Ltd.)按照《中华人民共和国合同法》的规定，甲、乙双方本着互惠互利，真诚合作的原则，决定就共同完成甲方治理咨询项目签订本合同。InaccordancewithTheContractLawofthePeople’sRepublicofChina,andontheprincipleofequalityandmutualbenefitandthroughasincerecooperation,thetwoPartiesagreetoco-workinPartyA’smanagementconsultationprojectasfollows:1、合同标的BidfortheContract1.1服务项目ServiceItems乙方及其合作伙伴深圳市东方大成治理咨询有限公司共同为甲方提供治理改善咨询和培训服务。PartyBanditsbusinesspartnerShenzhenOrientalWisdomConsultationCo.,Ltd.committoprovidePartyAwithmanagementimprovementconsultationandtrainingservice.1.2服务内容ContentsofService乙方指导甲方进行治理系统完善，建立现代企业人力资源治理体系，从事治理规范化、职员职业化、治理人员能力素养提升等方面的咨询或培训。服务内容包括：PartyBwillassistPartyAinthismanagementimprovementprojectbasedonbuildingamodernhumanresourcemanagementsystem,bringingitsbusinessadministrationintoastandardizedoperation,developingavocationaleducationand,advancingitsmanagers’competenciesthroughtraining.Servicecontentsasfollows:No服务项目Serviceitems结果提交形式Resultstobesubmitted1公司战略梳理Corporatestrategy东亚糖业集团公司远景、企业文化、经营理念及战略目标文本。WrittendocumentsofEastAsiaSugarGroup’scorporatevision,corporateculture,businesstenetand,strategicgoals.2组织架构/部门职能/关键业务流程梳理Organizationframework/Departmentfunction/Keyflows东亚糖业集团新的组织架构图、部门职能描述、关键业务流程治理手册，治理人员权限表，提供组织及流程设计培训HandbookofEastAsiaSugarGroup’sorganizationframeworkchart,descriptionsofdepartmentsfunctions,andflowchartsofkeyoperationprocesses;Permissionformformanagers;Trainingfororganizationframeworkandflowchartdesign3岗位讲明书完善及工作标准设计Jobdescriptionreviewandjobstandarddesign公司各部门岗位讲明书检查与完善；公司各岗位工作标准设计；全职员作标准训练。Reviewofjobdescriptions,designofjobstandardsforeachpost,employeetraininginjobstandards.4职员职业规范及辅导draftingvocationalbehaviorscriteria,andtutoring《一样职员职业行为规范》，《治理人员职业行为规范》及其相应培训辅导课程；全员职业化训练。Draftingemployees’andmanagers’vocationalbehaviorscriteria,designingvocationaleducationtrainingcourses,implementingemployeevocationaleducation&training5绩效治理体系完善Performancemanagementsystem《东亚糖业集团绩效治理手册》、《东亚糖业集团关键业绩指标手册》、《东亚糖业集团2005年度绩效治理实施指南》及有关培训Handbookofperformancemanagement,handbookofKPI,performancemanagementimplementingguidelineincalendar2005,trainingforperformancemanagementsystemdesign6薪酬福利体系完善Payandbenefits《东亚糖业集团职位评判手册》、《东亚糖业集团薪酬治理手册》及有关培训Handbookofpostevaluationandgrading,handbookofpayandbenefitsmanagement,andtrainingforpostevaluationandpaymanagementsystemdesign7全面鼓舞体系设计Comprehensivemotivation《东亚糖业集团全面鼓舞治理手册》、《东亚糖业集团治理人员竞争上岗治理方法》、《东亚糖业集团聘请治理手册》及有关培训Handbookofcomprehensivemotivationmanagement,managementmeasureofcompetitionformanagementpositions,handbookofrecruitmentmanagement,andrelevanttraining8培训体系设计Trainingsystemandmgt.training《东亚糖业集团培训治理制度》，培训体系设计培训Trainingmanagementsystemdesign,andrelevanttrainingforthisdesign9治理制度整合及完善Integratingofrulesandregulations《东亚糖业集团人事治理制度》、《东亚糖业集团劳动关系处理规范》、奖惩制度Mainlyas:personnelmanagementsystem,employeerelationmanagementregulations,rewardandpunishmentregulations10项目总结projectsum-up治理改善系统方案汇编、宣讲，客户中意度调查，等等。Compilationandpropagandizingoftheprojectsolutions,andsatisfactionlevelsurvey,etc.11直线经理人力资源治理培训TraininglinemanagersforHRM各级治理人员人力资源治理课程培训（12天）Providea12-daytrainingforlinemanagers1.3服务目标：TargetsofService通过治理改善项目的实施，完善甲方的人力资源治理体系，实现治理规范化、职员职业化、治理人员能力素养的提升，有利于战略进展目标的达成。1.4服务范畴：ScopeofService南宁东亚糖业集团有限公司。ForandwithinNanningEastAsiaSugarGroupCo.Ltd.only2、履行期限Termofperformance双方决定乙方顾咨询入驻日期为2005年4月6日，估量项目完成时刻为4个月。咨询项目自乙方顾咨询入驻甲方开始至项目完成经甲方验收合格止。ThetwoPartiesagreetostartupthisprojectsince6May,2005,andit’sexpectedthatitwilllastfourmonthsuntiltheprojectsolutionsarecheckedandacceptedbyPartyA.3、双方责任ResponsibilitiesofEachParty3.1甲方责任ResponsibilitiesofPartyA3.1.1甲方应高度重视公司治理改善项目的实施，对乙方的工作提供支持，负责和谐内部各部门及各工厂的关系，调动有关的资源，提供有关数据资料及方案文字处理等工作。被双方认可的工作或方案，在甲方组织中的贯彻、推动，由甲方负责。PartyAshouldtakespecialemphasisonthismanagementimprovementproject,andofferPartyBallnecessaryassistanceincoordinatingcross-sectionrelations,deployingrelatedresourcesand,providingrelevantdatainformationandwordprocessingservice.ProjectsolutionsthathavebeenapprovedbythetwopartiesshallbepromotedandimplementedbyPartyA.3.1.2甲方负责与该项目有关的第三方进行和谐，以保证项目的顺利进行。PartyAshallberesponsibleforcoordinatingwiththethirdpartyrelatingtothisprojectsoastoensureitinrightprogress.3.1.3甲方应按合同要求支付咨询费用。PartyAshouldpayPartyBconsultationchargeinaccordancewiththeprovisionsofthecontract.3.1.4甲方向乙方顾咨询提供在甲方工作时必要的办公条件（如办公室、市话），并为乙方顾咨询提供简便的午餐。3.1.5甲方应确保项目运作期间组织人员的稳固。PartyAshouldassureastablecoordinationteamduringtheprojectinprogress.3.1.6乙方提交的时期性方案甲方应在5个工作日内予以回复，最终方案应在10个工作日内回复；如甲方在5个工作日后未予时期性方案明确答复，乙方将视为甲方默许，能够开展下一时期的工作；如甲方在10个工作日内未予最终方案明确回复，乙方将视为甲方同意。PartyAshouldrespondintimetoPartyBonitssolutionssubmitted,say,offeringtheiropinionsaboutthephasesolutionswithinfiveworkingdays,andaboutthefinalsolutionswithintenworkingdays.ShouldPartyAbeunabletogiveafeedbackonthephasesolutionswithinfiveworkingdays,PartyBwilltakeitacquiescedbyPartyAandwillcontinuetheworkofnextphase.ShouldPartyAbeunabletogiveafeedbackonthefinalsolutionswithintemworkingdays,PartyBwilltakeitacceptedbyParty.3.2乙方责任ResponsibilitiesofPartyB3.2.1乙方应按合同第1.2条规定的内容为甲方提供咨询服务。ProvidingconsultationserviceinaccordancewiththeprovisionsofArticle1.2.3.2.2乙方负责咨询打算的制定、方法的传授、工具的提供及方案设计。Responsibleforestablishingaconsultationplan,tutoringPartyAadvancedmanagementmeansandtools,anddesigningtheprojectsolutions.3.2.3乙方应按照合同规定的时刻、进度保质保量完成工作。Fulfillingthespecifictasksandonscheduleandingoodqualityandquantity.3.2.4乙方应确保项目组的稳固性，保证进场顾咨询的专业水平。Insuringastableconsultingteamaswelltheprofessionallevelofitsconsultants.3.2.5乙方应尽力协助甲方与项目有关的第三方进行和谐。AssistingPartyAincoordinatingwiththethirdpartyrelevanttothisproject.3.2.6负责对甲方有关治理人员的培训，使甲方人员具备治理体系运作能力。ResponsiblefortrainingthemanagersofPartyAsothattheycanbecapableofrunningthisnewmanagementsystem.3.2.7乙方完成工作后，应向甲方提供许多于一套的文字材料和电子文档。乙方提供的服务成果应尽可能做到通俗易明白。ProvidingPartyAwithatleastasetofconsultationdocumentsbothinwrittenandelectronicformwhenthewholeprojectisdone.Tryingtomakethesolutionssimple,understandableandfeasible.4、文件的传达Deliveringofdocuments4.1在本合同执行期内（含跟踪服务期），甲方与乙方之间所有的正式通知及文件均采纳书面形式传达给对方。Withinthevalidityofthecontract(theserviceperiodincluded),alltheformalnoticesandfilestoandfromthetwopartiesshallbedeliveredinwrittenpaper.5、工作的开展Theoperationofconsultingproject5.1项目正式启动后，甲方和乙方共同组建一个咨询项目委员会，由双方的高层治理人士负责。Whentheprojectisstartup,PartyAandPartyBshalljointlyestablishaConsultationCommitteeconsistingofthetopmanagersofthetwoparties.5.2为确保咨询服务的质量和进度，乙方托付深圳市东方大成治理咨询有限公司作为合作伙伴，共同组成咨询项目小组开展对甲方的咨询服务工作。小组成员构成如下：乙方项目经理1人（彭荣模先生），治理顾咨询1-2人（陈耀忠先生、黄道银先生）。乙方在通过甲方同意，确保项目经理不变的情形下可增加、调配顾咨询组成员。Toguaranteethequalityandprogressoftheconsultationproject,PartyBconsignsShenzhenOrientalWisdomManagementConsultationCo.,Ltd.asitsbusinesspartner.TheywilljointlysetupaconsultingteamtoserveforPartyB.Theteammembersconsistofoneprojectmanager(PengRongMo,Mr.)andtwoorthreeconsultants(ChenYaoZhong,Mr.;HuangDaoYin,Mr.).WiththeagreeingofPartyA,PartyBcanincreaseoradjustconsultants.5.3甲方有权对乙方配备的服务咨询人员提出建议，并可要求乙方更换咨询人员。PartyAhastherighttogivesuggestionstoPartyBconsultants,andtoaskPartyBtoreplaceitsconsultants.5.4甲方应按照乙方的提议成立项目配合小组，负责联系及和谐工作，配合项目执行。PartyAwillsetupacoordinationteamasperPartyB’ssuggestiontoworkincontactandcooperationbetweenthetwopartiesandwithinPartyA’sdepartmentsandfactories,andberesponsibleforbringingtheprojectsolutionsintoeffect.5.5甲方治理层应该提供的有关信息，安排治理人员及职员与咨询顾咨询相互合作、共同遵照咨询服务项目治理程序。乙方将全程培训甲方有关职员，做到知识转移。ThemanagersofPartyAshouldprovidePartyBwithrelevantdatainformationandaskitsmanagementstaffsandemployeestocooperatewithPartyBconsultantssothattheycanjointlyabidebythespecifiedconsultationmanagementprocesses.PartyBshalloffertherelevantemployeesofPartyAaseriesoftrainingcourses.6、乙方的承诺CommitmentofPartyB6.1乙方保证为甲方培训出能熟练实施运作该项目所设计的实施方案的治理干部。AssuringtohelpPartyAtrainingthedesignatedmanagerstobecapableofusingtheprojectsolutions.6.2乙方保证对甲方的经营治理资料进行保密。KeepingPartyA’sbusinessdatainformationasecret.7、后续服务Succeedingservice咨询服务基础工作完成后半年内，乙方的治理顾咨询按照甲方项目推行的需要定期到甲方解决有关咨询题，进行免费跟踪服务，平常以电话、电邮形式交流。8、其它责任Otherresponsibilities8.1甲方任何人员不得以任何方式向与本合同无关的第三方泄露乙方为甲方服务的收费情形。为此，甲方须于内部操纵收费知情范畴。AnypersonfromPartyAisnotallowedtoreleasetheinformationonconsultationchargetoanyirrelevantthirdPartyinanyway.TherebyPartyAshouldcontroltheinformationfrominside.AnypersonfromPartyBisnotallowedtoleakPartyA’sbusinesssecretstoanythirdPartyinanyway.PartyA’sbusinessinformationanddocumentsarenotpermittedtospreadoutsidetheconsultingteamofPartyB.8.3甲方对乙方完成服务工作后交付的服务成果（含建议书、方案及其有关文字资料等）有所有权，并对后继改进的成果有所有权。PartyAholdsownershipovertheconsultationresultssubmittedbyPartyB(incl.proposal,solutions,andanyrelevantwrittendocuments,etc.),andoverthesucceedingimprovedresultsaswell.9、工作成果的确认与验收Approvalandacceptanceofthesolutions9.1由甲方与乙方共同成立的咨询项目委员会负责验收，咨询项目小组与项目配合小组协助验收；TheConsultationCommitteewillberesponsibleforapprovingtheprojectsolutions,withthehelpofthePartyB’sconsultingteamandPartyA’scoordinatingteam.9.2验收标准由甲方与乙方共同商定（满足甲方的需求）。Theapprovalandacceptancecriteriawillbedecidedbythetwopartiesthroughconsultation,satisfyingPartyA’srequirements.10、咨询费用及付款方式ConsultationchargesandPayment10.1甲方支付乙方的工作咨询服务费为人民币壹佰贰拾捌万伍仟元整(RMB1,285,000)；PartyAshallpaytoPartyBatotalconsultationservicechargeofRMB1,285,000.00.10.2在项目服务实施过程中，如显现超出或少于本合同第1.2款规定的内容，则服务费用将作相应的增加或减少调整；Duringtheperiodofconsultationservice,iftheprovidedcontentsofserviceinArticle1.2areincreasedorreduced,thenthepaymentwillbealsoincreasedorreducedaccordingly.10.3全部咨询费用分三期支付：Paymentfortheconsultationserviceshallbemadebythreetimes:（1）2005年4月12日前甲方向乙方支付总咨询费用的35%，即人民币肆拾肆万玖仟柒佰伍拾元整(RMB449,750)；PartyAshouldpaytoPartyB35%(RMB449,750)ofthetotalconsultationchargebefore12May,2005.（2）在乙方完成了工作标准设计与培训、职业规范手册及辅导、绩效治理体系设计、薪酬福利体系设计、全面鼓舞体系设计与培训体系设计，并经甲方审批后支付总咨询费用的40%，即人民币伍拾伍万肆仟元整(RMB514,000)AfterPartyBhascompletedthefollowingfiveitemsofjob(i.e.jobstandardsdesignandrelevanttraining,vocationalbehaviorscriteriadesignandvocationaltraining,andthedesigningofperformancemanagementsystem,payandbenefitssystem,comprehensivemotivationsystemandtrainingsystem)whichareapprovedbyPartyA,thenPartyAshouldpaytoPartyBanother40%(RMB514,000)ofthetotalconsultationcharge.（3）在项目终止审批后的三天内支付总咨询费用的25%，即人民币叁拾贰万壹仟贰佰伍拾元整(RMB321,250)；Withinthreedayssincethesolutionshavebeenapproved,PartyAshouldpaytoPartyBanother25%(RMB321,250)ofthetotalconsultationcharge.11、合同的终止与解除TerminationandrescissionofContract11.1本合同至双方责任义务履行完毕后终止。Thecontractwillbeterminatedwhenthetwopartieshavefulfilledtheirrespectiveresponsibilitiesandobligations.11.2乙方的时期性工作成果如多次不能得到咨询项目委员会的认可，甲方可单独解除合同。PartyAmayunilaterallyrescindthecontractprovidedthatPartyB’sphaseresultscouldn’tbeapprovedbytheConsultationCommittee.11.3甲方如逾期十天未支付服务费，乙方可单方终止合同。PartyBmayunilaterallyrescindthecontractprovidedPartyAfailstopaytoPartyBexceedingthetimelimitoftendays.12、违约责任LiabilityforBreach12.1合同双方在合同期内如无法定的或本合同约定的情形不得解除合同，任何一方单方终止合同应向对方人民币伍万元(RMB50,000)作为违约金。Nopartyshallrescindthecontractduringitsvalidityunlessthelegalorprovidedconditionsinthecontractoccur.EitherpartywhounilaterallyterminatesthecontractshallpaytotheotherpartyafineofRMB50,000.13、其它事项与合同生效Otheritemsandvalidityofco
