三方贸易合同英文版【篇一：外贸佣金合同中英文完美版】外贸经纪人佣金合同commissionagreementofforeigntradeagents甲方：（生产厂家）______________________________乙方：（中间人）_______________________________partya:(manufacturer)______________________________partyb:(intermediary)_______________________________根据《中华人民共和国合同法》和有关法律法规的规定，乙方接受甲方的委托，为甲方产品开拓海外市场，双方经协商一致，签订本合同。accordingtopeoplesrepublicofchinacontractlawandtheprovisionsofrelevantlawsandregulations,partyaherebyappointspartybtodevelopoverseasmarket.bothpartieshaveagreedtosignthisagreement.第一条：委托事项1.theentrustedmatters甲方委托乙方发展海外市场为甲方营销其产品。partyaherebyappointspartybtodevelopoverseasmarketandpromoteitsproducts.第二条：委托事项的具体要求2.obligation（1）甲方应保证所生产产品的合法性及保证产品质量。partyashallensurethelegalityoftheproductsandensureproductquality.（2）甲方与海外客商交易的具体价格、交货方式、支付方式等由甲方与海外客商双方协商约定。allthetradetermsincludingprice,paymentterm,delivery,etcarenegotiatedbypartyaandcustomers.（3）甲方应严格按国家的“fob、cf或cif条款”执行与海外客商所签定的合同。partyashallbeinstrictaccordancewiththefob,cforciftermsinthecontracts.（4）乙方承诺每年给甲方介绍______美元的销售额。partybpromisethattheturnoverwillbemorethanusd______peryearthroughpartyb.（5）乙方应协助甲方回收全额货款及提供最新的市场信息。partybshouldassistpartyatoreceivethefullpaymentasperthesalescontracts.partybwillprovidetheupdatemarketinformationtopartya.（6）乙方不能将甲方营业范围内的海外客户关系泄露给第三方，否则甲方会按盗窃公司机密对乙方提起公诉。partybshouldnotdisclosethecustomerinformationtoathirdparty.otherwisepartyawillindictpartyb.第三条：佣金的计算、给付方式、给付时间3.rateofcommission,paymentterm（1）甲方同意按每笔合同成交总额（扣除税金，运费和货代的费用）的______支付佣金给乙方。partyawillagreetopay______ofthetotalturnoverofeachcontract-deductingtaxesandthefreight-topartyb.（2）给付方式及时间：paymentterm在甲方收到合同金额全款后14天内一次性付给乙方。partyawillpay100%commissionwithin14daysuponreceivingthefullpaymentfromcustomer.第四条：违约责任4.liability甲方若不按本合同第三条的（2）执行，逾期一天应支付乙方滞纳金，滞纳金系数为：总佣金的5‰/天。ifpartyadoesnotfollow(2)ofsection3,partyahavetopaytheoverduefine.theamountis5‰ofthetotalcommissionperday.第五条：协议仲裁5.agreementarbitration双方如果发生纠纷，可凭此合同向甲方所在仲裁机构进行。intheeventofdispute,bothpartiescanpresenttoarbitrationcourtfrompartya’splace.第六条：本合同未尽事宜双方协商解决。6.changes.anychangesoftermsrelatingtothisagreementmustbedoneinawrittenform,andagreeduponbybothparties.现行协议条款的修改必须经协议双方授权人书面签字方能生效。第七条：特别约定。specialclause货物预检查：生产后，装运前的货物，卖方应为每个产品品项拍照，照片可以清楚地看到正面和背面标签作为预检查的内容。如果卖方不发送图片预检查，造成任何损失应该由卖方承担10.documentspre-check:thesellershouldsendthebuyeralltheabovementioneddocumentsandclearcolorscanfrontandbacklabelsforpre-checkwithin7workingdaysafterb/ldate.thebuyershouldfinishcheckingin2workingdaystheninformthesellerforcorrectionifany.anycostorlossshouldbeburdenbythesellerifthesellerdoesn’tsendthedocumentsforpre-check.文件预检查：卖家应买家要求发送上述所有文件，b/l日期后7个工作日内发送清晰的标签的彩色正面和背面扫描件。买方应在2个工作日内完成检查，如有更正，通知卖家。如果卖方不发送文件预检查，造成任何损失应该由卖方承担。11.documentsdelivery:thesellershouldsendtheoriginaldocumentstothebuyeratleast10daysbeforethearrivalofthecargo.thesellershouldburdenallthecostorlossduetolatedeliveryofdocuments.thebuyerhastherighttoreturnthecargoorrefusepaymentifthecargoundergoesdeteriorationbyinsolationduetoincorrectorlatedocuments.文件发送：卖方应在到货前至少10天前发送文件正本。卖方应承担由于延迟交付文件的损失。若因卖方交付的文件不正确或延迟交付所造成的货物暴晒变质，买方有权返回货物或拒绝付款。sellershouldprintandstickchinesebacklabelsthesellershouldprintthesamplechinesebacklabelandscantothebuyerforconfirmationbeforesticktothebottle.中文背标：买方发送卖方pdf/ai格式的中文背标。卖方应在法国印制并黏贴中文背标。卖方在黏贴中文背标前应印制中文背标样板并发送买方确认。15.shipment:thesellershallarrangethegoodtobeshippedoutwithintheshippingtime.transshipmentisnotallowed.thecarryingvesselshallnotflytheflagofcertainnationunacceptabletothebuyer.装运：卖方应在出货时间内安排好装运运出。转运是不允许的。装运船只不得悬挂买方不接受的某些国家的国旗。16.shippingadvice:thesellershallimmediatelyuponthecompletionoftheloadingofthegoods,advisebyfaxthebuyerofthecontractnumber,commodity,quantity,invoicevalue,grossweight,netweight,nameofvessel,portofshipmentandportofdestinationanddateofsailingordateofdispatchetc.装运通知：卖方应在货物装船完成后，立即通过传真告知买方合同号，品名，数量，发票价值，毛重，净重，船名，装运港口和目的港口和发船日期或日期调整等。19.forcemajeure:thesellershallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoforcemajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.thesellershalladvisethebuyerimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,thesellershallsendbyairmailtothebuyerfortheiracceptanceacertificateoftheaccidentissuedbythecompetentgovernmentauthoritiesorthechamberofcommercewheretheaccidentoccursasevidencethereof.undersuchcircumstancestheseller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods,incasetheaccidentlastsformorethan10weeks,thebuyershallhavetherighttocancelthecontract.不可抗力：卖方不承担因可能发生在制造过程中或在装载或运输的过程中的不可抗力造成的延迟交货或不交付的责任。卖方应在上述情况发生的十四日内立即通知买方，卖方应通过航空邮件发送由政府主管部门或商会商务部颁发的事故证书作为证据。然而，在这种情况下，卖方仍有义务，采取一切必要措施，以加速交付货物，如果事故持续超过10周，买方有权撤销合同。20.latedeliveryandpenalty:shouldthesellerfailtomakedeliveryontimeasstipulatedinthecontractwithexceptionofforcemajeurecausesspecifiedinabovearticleofthiscontract,thebuyershallagreetopostponethedeliveryonconditionthattheselleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.thepenalty,however,shallnotexceed5%of
