GeneralConditionsofContractDefinitions1.1 Thefollowingwordsandexpressionsshallhavethemeaningsherebyassignedtothem:“FinancingInstitution〞meanstheagencyasnamedinSpecialConditionofContract.“Contract〞meanstheContractAgreemententeredintobetweenthePurchaserandtheSupplier,togetherwiththeContractDocumentsreferredtotherein,includingallattachments,appendices,andalldocumentsincorporatedbyreferencetherein.“ContractDocuments〞meansthedocumentslistedintheContractAgreement,includinganyamendmentsthereto.“ContractPrice〞meansthepricepayabletotheSupplierasspecifiedintheContractAgreement,subjecttosuchadditionsandadjustmentstheretoordeductionstherefrom,asmaybemadepursuanttotheContract.“Day〞meanscalendarday.“Completion〞meansthefulfillmentoftheRelatedServicesbytheSupplierinaccordancewiththetermsandconditionssetforthintheContract.“Goods〞meansallofthecommodities,rawmaterial,machineryandequipment,and/orothermaterialsthattheSupplierisrequiredtosupplytothePurchaserundertheContract.“Purchaser〞meanstheentitypurchasingtheGoodsandRelatedServices,asspecifiedintheSpecialConditionsofContract.“RelatedServices〞meanstheservicesincidentaltothesupplyofthegoods,suchasinsurance,installation,trainingandinitialmaintenanceandothersuchobligationsoftheSupplierundertheContract.“Subcontractor〞meansanynaturalperson,privateorgovernmententity,oracombinationoftheabove,towhomanypartoftheGoodstobesuppliedorexecutionofanypartoftheRelatedServicesissubcontractedbytheSdintheSpecialConditionsofContract“TheProjectSite,〞whereapplicable,meanstheplacenamedintheSpecialConditionsofContract.“Delivery〞meansthetransferoftheGoodsfromtheSuppliertothePurchaserinaccordancewiththetermsandconditionssetforthintheContract.“EligibleCountries〞meansthecountriesandterritorieseligibleaslistedinSectionV:EligibleCounties.ContractDocumentsSubjecttotheorderofprecedencesetforthintheContractAgreement,alldocumentsformingtheContract(andallpartsthereof)areintendedtobecorrelative,complementary,andmutuallyexplanatory.TheContractAgreementshallbereadasawhole.CorruptandFraudulentPracticesTheSupplierincludingsubcontractorsshallobservethehigheststandardofethicsduringtheprocurementandexecutionofthecontracts.IfthePurchaserdeterminesthattheSupplierand/oranyofitspersonnel,oritsagents,oritsSubcontractors,consultants,serviceproviders,suppliersand/ortheiremployeeshasengagedincorrupt,fraudulent,coercive,orobstructivepractices,incompetingfororinexecutingtheContract,thenthePurchasermay,aftergiving14daysnoticetotheSupplier,terminatetheSupplier’semploymentundertheContractandcanceltheContract,andtheprovisionsofClause35shallapplyasifsuchexpulsionhadbeenmadeunderSub-Clause35.1.InterpretationIncotermsUnlessinconsistentwithanyprovisionoftheContract,themeaningofanytradetermandtherightsandobligationsofpartiesthereundershallbeasprescribedbyIncotermsasspecifiedintheSpecialConditionsofContract.EntireAgreementTheContractconstitutestheentireagreementbetweenthePurchaserandtheSupplierandsupersedesallcommunications,negotiationsandagreements(whetherwrittenororal)ofthepartieswithrespecttheretomadepriortothedateofContract.AmendmentNoamendmentorothervariationoftheContractshallbevalidunlessitisinwriting,isdated,expresslyreferstotheContract,andissignedbyadulyauthorizedrepresentativeofeachpartythereto.4.5Nonwaiver(a)SubjecttoGCCSub-clause4.5(b)below,norelaxation,forbearance,delay,orindulgencebyeitherpartyinenforcinganyofthetermsandconditionsoftheContractorthegrantingoftimebyeitherpartytotheothershallprejudice,affect,orrestricttherightsofthatpartyundertheContract,neithershallanywaiverbyeitherpartyofanybreachofContractoperateaswaiverofanysubsequentorcontinuingbreachofContract.(b)Anywaiverofparty'srights,powers,orremediesundertheContractmustbeinwriting,dated,andsignedbyanauthorizedrepresentativeofthepartygrantingsuchwaiver,andmustspecifytherightandtheextenttowhichitisbeingwaivered.4.6SeverabilityLanguageTheContractaswellasallcorrespondenceanddocumentsrelatingtotheContractexchangedbytheSupplierandthePurchaser,shallbewritteninChinese.JointVenture,ConsortiumorAssociationEligibilityUnlessotherwisespecifiedintheSpecialConditionsofContract,thereisnoeligibilityrestrictionfortheSupplieranditsSubcontractors,GoodsandRelatedServicestobesuppliedundertheContract.NoticesAnynoticegivenbyonepartytotheotherpursuanttotheContractshallbeinwritingtotheaddressspecifiedintheSpecialConditionsofContract.Theterm“inwriting〞meanscommunicatedinwrittenformwithproofofreceipt.Anoticeshallbeeffectivewhendeliveredoronthenotice’seffectivedate,whicheverislater.GoverningLawTheContractshallbegovernedbyandinterpretedinaccordancewiththecurrentlawsofChina.SettlementofDisputesThePurchaserandtheSuppliershallmakeeveryefforttoresolveamicablybydirectinformalnegotiationanydisagreementordisputearisingbetweenthemunderorinconnectionwiththeContract.If,aftertwenty-eight(28)days,thepartieshavefailedtoresolvetheirdisputeordifferencebysuchmutualconsultation,theneitherthePurchaserortheSuppliermaygivenoticetotheotherpartyofitsintentiontocommencearbitration,ashereinafterprovided,astothematterindispute,andnoarbitrationinrespectofthismattermaybecommencedunlesssuchnoticeisgiven.AnydisputeordifferenceinrespectofwhichanoticeofintentiontocommencearbitrationhasbeengiveninaccordancewiththisClauseshallbefinallysettledbyarbitration.ArbitrationmaybecommencedpriortoorafterdeliveryoftheGoodsundertheContract.ArbitrationproceedingsshallbeconductedinaccordancewiththerulesofprocedurespecifiedintheSpecialConditionsofContract.ScopeofSupplyTheandRelatedServicestobesuppliedshallbeasspecifiedintheScheduleofRequirements.DeliveryandDocumentsSpecialConditionsofContract.Supplier’sResponsibilitiesTheSuppliershallsupplyalltheGoodsandRelatedServicesincludedintheScopeofSupplyinaccordancewithClause11,andtheDeliveryandCompletionSchedule,asperClause12.Purchaser’sResponsibilities14.1WheneverthesupplyofGoodsandRelatedServicesrequiresthattheSupplierobtainpermits,approvals,andimportandotherlicensesfromlocalpublicauthorities,thePurchasershall,ifsorequiredbytheSupplier,makeitsbestefforttoassisttheSupplierincomplyingwithsuchrequirementsinatimelyandexpeditiousmanner.14.2ThePurchasershallpayallcostsinvolvedintheperformanceofitsresponsibilities,inaccordancewithGCCSub-Clause14.1.ContractPricePriceschargedbytheSupplierfortheGoodssuppliedandtheRelatedServicesperformedundertheContractshallnotvaryfromthepricesquotedbytheSupplierinitsbid.PriceschargedbytheSupplierfortheGoodsdeliveredandRelatedServicesperformedundertheContractshallnotvaryfromthepricesquotedbytheSupplierinitsbid,withtheexceptionofanypriceadjustmentsauthorizedintheSpecialConditionsofContract.TermsofPayment16.1TheContractPrice,includinganyAdvancePayments,ifapplicable,shallbepaidinChineseRenminbi.TheSupplier’srequestforpaymentshallbemadetothePurchaserinwriting,accompaniedbyinvoicesdescribing,asappropriate,theGoodsdeliveredandRelatedServicesperformed,andbythedocumentssubmittedpursuanttoClause12anduponfulfillmentofallotherobligationsstipulatedintheContract.16.2PaymentsshallbemadepromptlybythePurchaser,butinnocaselaterthanthirty(30)daysaftersubmissionofaninvoiceorrequestforpaymentbytheSupplier,andafterthePurchaserhasacceptedit.16.3ThepaymentsshallbemadetotheSupplierunderthisContractshallbeinChineseRenminbi.16.4IntheeventthatthePurchaserfailstopaytheSupplieranypaymentbyitsduedateorwithintheperiodsetforthintheSpecialConditionsofContract,thePurchasershallpaytotheSupplierinterestontheamountofsuchdelayedpaymentattherateshownintheSpecialConditionsofContract,fortheperiodofdelayuntilpaymenthasbeenmadeinfull.TaxesandDutiesPerformanceSecurityIfrequiredasspecifiedintheSpecialConditionsofContract,theSuppliershall,withintwenty-eight(28)daysofthenotificationofcontractaward,provideaperformancesecurityfortheperformanceoftheContractintheamountspecifiedintheSpecialConditionsofContract.TheproceedsofthePerformanceSecurityshallbepayabletothePurchaserascompensationforanylossresultingfromtheSupplier’sfailuretocompleteitsobligationsundertheContract.AsspecifiedintheSpecialConditionsofContract,thePerformanceSecurity,ifrequired,shallbedenominatedintheChineseRenminbi;andshallbeinoneoftheformatstipulatedbythePurchaserintheSpecialConditionsofContract,orinanotherformatacceptabletothePurchaser.ThePerformanceSecurityshallbedischargedbythePurchaserandreturnedtotheSuppliernotlaterthantwenty-eight(28)daysfollowingthedateofCompletionoftheSupplier’sperformanceobligationsundertheContract,includinganywarrantyobligations,unlessspecifiedotherwiseintheSpecialConditionsofContract.CopyrightThecopyrightinalldrawings,documents,andothermaterialscontainingdataandinformationfurnishedtothePurchaserbytheSupplierhereinshallremainvestedintheSupplier,or,iftheyarefurnishedtothePurchaserdirectlyorthroughtheSupplierbyanythirdparty,includingsuppliersofmaterials,thecopyrightinsuchmaterialsshallremainvestedinsuchthirdparty.ConfidentialInformationThePurchaserandtheSuppliershallkeepconfidentialandshallnot,withoutthewrittenconsentoftheotherpartyhereto,divulgetoanythirdpartyanydocuments,data,orotherinformationfurnisheddirectlyorindirectlybytheotherpartyheretoinconnectionwiththeContract,whethersuchinformationhasbeenfurnishedpriorto,duringorfollowingcompletionorterminationoftheContract.Notwithstandingtheabove,theSuppliermayfurnishtoitsSubcontractorsuchdocuments,data,andotherinformationitreceivesfromthePurchasertotheextentrequiredfortheSubcontractortoperformitsworkundertheContract,inwhicheventtheSuppliershallobtainfromsuchSubcontractoranundertakingofconfidentialitysimilartothatimposedontheSupplierunderClause20.ThePurchasershallnotusesuchdocuments,data,andotherinformationreceivedfromtheSupplierforanypurposesunrelatedtothecontract.Similarly,theSuppliershallnotusesuchdocuments,data,andotherinformationreceivedfromthePurchaserforanypurposeotherthantheperformanceoftheContract.thePurchaserorSupplierneedtosharewiththeWorldBank/ADBorotherinstitutionsparticipatinginthefinancingoftheContract;noworhereafterentersthepublicdomainthroughnofaultofthatparty;canbeproventohavebeenpossessedbythatpartyatthetimeofdisclosureandwhichwasnotpreviouslyobtained,directlyorindirectly,fromtheotherparty;orotherwiselawfullybecomesavailabletothatpartyfromathirdpartythathasnoobligationofconfidentiality.20.4TheaboveprovisionsofGCCClause20shallnotinanywaymodifyanyundertakingofconfidentialitygivenbyeitherofthepartiesheretopriortothedateoftheContractinrespectoftheSupplyoranypartthereof.20.5TheprovisionsofGCCClause20shallsurvivecompletionortermination,forwhateverreason,oftheContract.SubcontractingTheSuppliershallnotifythePurchaserinwritingofallsubcontractsawardedundertheContractifnotalreadyspecifiedinthebid.Suchnotification,intheoriginalbidorlatershallnotrelievetheSupplierfromanyofitsobligations,duties,responsibilities,orliabilityundertheContract.SubcontractsshallcomplywiththeprovisionsofClauses3and7.SpecificationsandStandardsTechnicalSpecificationsandDrawingsTheGoodsandRelatedServicessuppliedunderthisContractshallconformtothetechnicalspecificationsandstandardsmentionedintheScheduleofRequirements.TheSuppliershallbeentitledtodisclaimresponsibilityforanydesign,data,drawing,specificationorotherdocument,oranymodificationthereofprovidedordesignedbyoronbehalfofthePurchaser,bygivinganoticeofsuchdisclaimertothePurchaser.WhereverreferencesaremadeintheContracttocodesandstandardsinaccordancewithwhichitshallbeexecuted,theeditionortherevisedversionofsuchcodesandstandardsshallbethosespecifiedintheScheduleofRequirements.DuringContractexecution,anychangesinanysuchcodesandstandardsshallbeappliedonlyafterapprovalbythePurchaserandshallbetreatedinaccordancewithClause33.PackingandDocumentsTheSuppliershallprovidesuchpackingoftheGoodsasisrequiredtopreventtheirdamageordeteriorationduringdeliverytotheirfinaldestination,asindicatedintheContract.Duringdelivery,thepackingshallbesufficienttowithstand,withoutlimitation,roughhandlingandexposuretoextremetemperatures,saltandprecipitation,andopenstorage.Packingcasesizeandweightsshalltakeintoconsideration,whereappropriate,theremotenessofthegoods’finaldestinationandtheabsenceofheavyhandlingfacilitiesatallpointsintransit.Thepacking,marking,anddocumentationwithinandoutsidethepackagesshallcomplystrictlywithsuchspecialrequirementsasshallbeexpresslyprovidedforintheContract,includingadditionalrequirements,ifany,specifiedintheSpecialConditionsofContract,andinanyotherinstructionsorderedbythePurchaser.InsuranceUnlessotherwisespecifiedintheSpecialConditionsofContract,theGoodssuppliedundertheContractshallbefullyinsuredinChineseRenminbiagainstlossordamageincidentaltomanufactureoracquisition,transportation,storage,anddelivery,inaccordancewiththeapplicableIncotermsorinthemannerspecifiedintheSpecialConditionsofContract.TransportationUnlessotherwisespecifiedintheSpecialConditionsofContract,responsibilityforarrangingtransportationoftheGoodsshallbeinaccordancewiththespecifiedIncoterms.InspectionsandTestsTheSuppliershallatitsownexpenseandatnocosttothePurchasercarryoutallsuchtestsand/orinspectionsoftheGoodsandRelatedServicesasarespecifiedintheSpecialConditionsofContract.TheinspectionsandtestsmaybeconductedonthepremisesoftheSupplieroritsSubcontractor,atpointofdelivery,and/orattheGoods’finaldestination,orinanotherplaceasspecifiedintheSpecialConditionsofContract.SubjecttoSub-Clause26.3,ifconductedonthepremisesoftheSupplieroritsSubcontractor,allreasonablefacilitiesandassistance,includingaccesstodrawingsandproductiondata,shallbefurnishedtotheinspectorsatnochargetothePurchaser.ThePurchaseroritsdesignatedrepresentativeshallbeentitledtoattendthetestsand/orinspectionsreferredtoinSub-Clause26.1,providedthatthePurchaserbearallofitsowncostsandexpensesincurredinconnectionwithsuchattendanceincluding,butnotlimitedto,alltravelingandboardandlodgingexpenses.WhenevertheSupplierisreadytocarryoutanysuchtestandinspection,itshallgiveareasonableadvancenotice,includingtheplaceandtime,tothePurchaser.TheSuppliershallobtainfromanyrelevantthirdpartyormanufactureranynecessarypermissionorconsenttoenablethePurchaseroritsdesignatedrepresentativetoattendthetestand/orinspection.ThePurchasermayrequiretheSuppliertocarryoutanytestand/orinspectionnotrequiredbytheContractbutdeemednecessarytoverifythatthecharacteristicsandperformanceoftheGoodscomplywiththetechnicalspecificationscodesandstandardsundertheContract,providedthattheSupplier’sreasonablecostsandexpensesincurredinthecarryingoutofsuchtestand/orinspectionshallbeaddedtotheContractPrice.Further,ifsuchtestand/orinspectionimpedetheprogressofmanufacturingand/ortheSupplier’sperformanceofitsotherobligationsundertheContract,dueallowancewillbemadeinrespectoftheDeliveryDatesandCompletionDatesandtheotherobligationssoaffected.TheSuppliershallprovidethePurchaserwithareportoftheresultsofanysuchtestand/orinspection.ThePurchasermayrejectanyGoodsoranypartthereofthatfailtopassanytestand/orinspectionordonotconformtothespecifications.TheSuppliershalleitherrectifyorreplacesuchrejectedGoodsorpartsthereoformakealterationsnecessarytomeetthespecificationsatnocosttothePurchaser,andshallrepeatthetestand/orinspection,atnocosttothePurchaser,upongivinganoticepursuanttoSub-Clause26.4.TheSupplieragreesthatneithertheexecutionofatestand/orinspectionoftheGoodsoranypartthereof,northeattendancebythePurchaseroritsrepresentative,northeissueofanyreportpursuanttoSub-Clause26.5,shallreleasetheSupplierfromanywarrantiesorotherobligationsundertheContract.LiquidatedDamagesExceptasprovidedunderClause32,iftheSupplierfail
