建设工程勘察合同招标文件（中英文对照）TABLEOFCONTENTS1．SiteInvestigationRequestforProposal报价邀请书2.FormofTender投标书3.GeneralConditionsofContract通用合同条款Clause1ProjectDescription第一条工程概况Clause2Documentsprovidedbyemployer第二条发包人提供文件资料Clause3:Resultsofinvestigationsubmittedbyinvestigatortoemployer第三条勘察人向发包人提交勘察成果资料Clause4:DateofCommencementandSubmissionofResultsofInvestigation,FeeStandardandPaymentMethod.第四条开工及提交勘察成果资料的时间和收费标准及付费方式Clause5:ObligationsoftheEmployerandtheInvestigator第五条发包人、勘察人责任Clause6BreachofContract第六条违约责任Clause7supplementaryagreements第七条补充协议Clause8Others:第八条其它约定事项：Clause9:Disputessettlement第九条争议处理Clause10:validityandtermination合同生效与终止部分章节示例如下：1SiteInvestigationRequestforProposal报价邀请书1.1ProjectOverview项目概况Thespecificationissubmittedforasiteinvestigationservicesforaninternationalinvestor.Theprojectinvolvesanewmanufacturingfacility.Thesiteislocatedin.Inordertocompletetheworkofsiteinvestigation,theengineersprovidethecopyoftechnologyspecification.Thespecificationwillbetreatedasapreliminarysuggestion.Itwillbedevelopedwiththeprogressofdesignandthepracticecondition,sothatthefinalsiteinvestigationtechnologyspecificationwillbeformed.本项目是受业主国际投资者委托，对位于，业主所属场地内进行工程勘察工作。为进行该场地的建设工程勘察工作，工程师提出这份述技术要求。所有技术要求仅作为初步建议，将根据设计的发展和场地的实际条件做出调整，从而形成最终的建设工程勘探技术要求。1.2ConditionsofTender投标人须知Fordetailsofthescopeofworkforthecaptionedproject(hereinafterreferredtoas“TheProject”),pleaserefertothefirstclauseoftheSpecialConditionsofContractinthisdocument-ProjectDescriptionandotherdocuments,drawingsorcorrespondenceissuedfortenderpurpose.ThefollowingisalistofDocumentsanddrawingsissuedfortenderpurposes:题述工程（以下简称“本工程”）的合同范围详见本册子专用条款第一条-工程概况及其它为本工程的招标事宜而发出的文件、图纸或函件。以下为本工程招标事宜而发出的文件及图纸：2.InSpecification技术规范内providerelevantinformationasrequiredbytheSpecification.IntheBillsofQuantities于技术规范内各部要求投标人提供的资料工程量清单内a.fillintherequiredinformation,quantities,ratesforeachitemandcalculatetheamountofthatitem;于每个细项填上要求填报的资料、工程量、单价和计算该细项的金额；b.calculatethepagetotalforeachpageandtransfertothesummaryforthattrade;于每页计算该页的总计及转至该工种的小计页c.calculatethesummaryforeachtradesonsummarypageofthattradeandtransfertothesummaryforthatchapter;and于每工种的小计页计算该工种的总计及转至该章的合计页；及d.calculatesummaryforeachchapteronsummarypageofthatchapterandtransfertotheGeneralSummary.于每章的合计页计算该章的总计及转至综合总计e.allratesshallbequotedin2decimalplaces,whiletheamountshallberoundedtointeger.单价均保留两位小数，而合计则全部取整。f.wherethetenderthinkstheitemslistedintheScheduleofRatesisdifferentfromtheworkstobecarriedout,hemaymakeamendmentstothescheduleofrates.IntheGeneralSummary若投标人认为单价细目表的项目与须要之工作有所不符,则可在单价细目表中作修综合总计内a.Fillinthesummaryforeachchapter(transferredfromthesummarypagesforeachchapterintheScheduleofRates);填写每章的金额（转自单价细目表内的每章合计页）；b.calculatethetendersumandtransferittoItem1oftheFormofTender;and计算投标金额及转至投标书第1条；及c.Sign,stampanddatebythetenderer’slegalrepresentativeorauthorizedrepresentative.投标人的法定代表人或授权代表签署及盖章和填写日期。(8)Whenthetenderersubmitthetenders,theyshallincludethefollowingdocuments:投标人提交投标文件时，应连同以下文件：Thecopies,stampedwithcompanychop,ofbusinesslicense,qualificationcertificate,otherdocuments/certificates,showingthatthetenderersareauthorizedtocarryoutthistypeofworksinthecity/districtwherethisprojectislocated.投标人获发授权在本工程所属的市/区进行同类型工程施工的营业执照、资质证书、其它文件/证书的副本并另行加盖公司印章。Thetenderershallbyhisownevaluatewhetherhisqualificationissufficientforcarryingoutthisproject.Ifthetendererhasnotobtainedthequalificationaftertheawardofthiscontract,heisdeemedtohaveguaranteedthat,withoutaffectingthecommencementdateandwithinreasonabletime,hewillobtainthelegalqualificationtoperformthiscontract.Incasethetendererforhisownreasonsfailstocommencetheworksonthedateprescribedbythecontractorperformthiscontract,thetenderershallcompensatetotheEmployeranylosssuffered.投标人必须自行审核其资质等级是否可承担本工程。如果投标人在受聘承包本工程时仍未取得这资格，投标人即被视为已作出担保，在不影响本工程的开工及在合理的时限内取得承包本工程的合法资格。由于投标人自己的问题不能按合同条款如期开工或承包本工程，投标人必须向雇主赔偿由此引致的一切损失。Theregisteredaddressesandbusinessaddressesofthetendererandhisgeneraloffice.投标人及其总办事处的法定地址及经营地址。Thepublicationorcertifiedreportsoffinancialstatusofthetenderer(e.g.theprofitandlossscheduleforthepast5years,theassetanddebtstatementandauditreport),aswellastheauthorizationtotheEmployerforrequestingrelevantprooffromthebank.Detailedinformationonsimilarpastjobexperienceandtheworksunderconstructioninthecity/districtwherethisprojectislocated.投标人财政状况的公布或具证明的报告（例如过去五年来的损益表、资产负债表和核数报告），以及投标人授权雇主可向其银行索取有关证明文件而发出的授权书。投标人过往在本工程所属的市/区进行同类工程的经验及现时进行工程的详细资料。(20)Thetendershallvisitthesitebeforesubmissionoftender,andisdeemedtocompletelyunderstandallthatmayaffectthetendersuchasthesite,thelocation,characterandconditionsofthenearbybuildings,accesses,workingspaceandallotherrelevantmatters.投标人须在提交投标文件前视察工程现场，并被视为对投标事宜构成影响的现场、邻近建筑物位置、性质及情况、信道、工作空间及其它一切有关事项完全了解清楚。(21)Thetenderershallunderstandclearlythoseworkscurrentlyunderconstructionorexistingbuildingsclosetothesite.Thetenderershallmakesufficientconsiderationandtakeanynecessaryspecialprotectionmeasurestoavoiddamagessuchasfalling,settlement,shakeormovementstothebuildingsclosetothesiteduringtheconstruction.ThetenderershallcoordinatewithallthecontractorsemployedbytheEmployerforthescopeofthisproject.投标人须清楚知道施工地点附近正在进行建筑的工程或现有建筑物，投标人应作出充份的考虑，并采取一切所需要的特别保护措施以避免因工程施工过程中引致施工地点附近的建筑物倒塌、下陷、震荡和移动等损害。投标人须与本工程施工范围内所有由雇主雇用的承包人互相协调和配合，使工程顺利进行。本地块邻近地铁站，因地铁公司有明文规定，不容许在地铁结构物一定距离范围内，进行任何地基基础施工。铁孔时须遵守地铁公司对隧道/站沿线施工所定的守则及规范，以免影响地铁结构。(22)Thetenderershall,beforesubmissionoftender,dispatchhisstafftoinvestigatethelocation,workingspace,accessroad,andthesiteconditionsforeachdrillhole,toensurinvestigationworkcouldbecarriedoutforeachdrillhole.Thetenderershallnotclaimformoneyorextensionoftimebecauseofneglectormisunderstandingtheconditionsofthesite.在呈上标书前，投标人必需派员到工地视察每一个钻孔的位置、工作空间、进出信道及现场实际情况，以确保每一个钻孔可进行勘察工作。投标人不能因忽视或误解工地情况而提出额外索偿或延长工期。(23)Thetenderershallstrictlycomplywiththerequirementsofthetenderdocuments.Ifthetendererfailstocomplysomerequirements,heshalllistindetail,itemizeandcomparesuchdiscrepanciesfromthetenderdocumentsuponsubmissionoftender.IfthetendererdoesnotnotifytheEmployersuchdiscrepanciesuponsubmissionoftender,orthetenderermisunderstandtheaboveinanyway,anyclaimsonsuchgroundswillnotbeconsidered投标人必须严格地符合招标文件之要求，如投标人未能符合招标文件内某些要求，应在投标时附函详列，分项说明及对照该等与招标文件不符之差异。如投标人没有于投标时按上述要求把该等差异以书面知会雇主，或任何对上述之误解，由此引起之索赔将不受理。2FormofTender投标书Note：Inallcases,thetenderermustgivetheregistrationnumber,dateofissue,registeredaddressandtheissuinginstitutionoftheirbusinesslicenseandinvestigationqualificationcertificate:注：在任何情况下，投标人必须在此填写其营业执照及勘察证书的注册编号、签发日期、注册地址及发照机关：1)I/We,havingexaminedtheConditionsofContractsincludingGeneralandSpecialConditionsofContract,SpecificationandBillsofQuantitiesfor,doherebyoffertoundertaketheresponsibilityrequestedintheTenderDocuments,includingbutnotlimitedtothematerialsupply,machinery,transportation,installation,tests,executionofsiteinvestigationworksandsubmissionofinvestigationreports(hereinafterreferredtoas“theWorks”)allinaccordancewiththeTenderDocumentsforthesumofRenminbi(USD).orsuchsumsasmaybeascertainedinaccordancewiththerelevantConditionsofContract.审查生产设备项目合同条款包括合同标准条款及合同专用条款、图纸、技术规范及工程量清单之后，我司愿按上述招标文件及按人民币美元(USD)的金额，或按上述有关合同条款所确定的其它金额，承担招标文件要求的责任包括但不限于整个工程的物料供应、机械、运送、安装、测试、进行地质勘察工程及提交勘探报告（以下简称“本工程”）。2)Ifmy/ourtenderisaccepted,I/Weguarantee:如果我司的投标书被接受，我司保证：2.1Thecontractshallbecommencedonthe5thcalendardays(excludingthedayofissueoftheorder)ofreceiptoftheEmployer’sortheEmployerRepresentative’sordertocommencetheWorks.在雇主或其代表签发出开工指令起计第五个日历天（不包括签发指令的当天）开始计算合同工期。2.2ThecontractualperiodoftheWorkshallbe70calendardays.Thecontractualperiodincludesbutisnotconfinedtoanypreparationworks,deliveryofmechanicalequipment,anyapplicationtorelateddepartments,siteinvestigationworks,submissionofinvestigationandtestreportsandthetimeneededfortheexaminationandapprovalbyrelateddepartments.本工程合同工期为70个日历天。合同工期包括但不限于任何准备工作、施工机械进场、向有关部门的任何申请、进行地质勘察工程、提交勘探及试验报告及有关部门审批等所须的时间。3)I/WeagreetoabidebythisTenderforaperiodof90calendardaysorwithintheextendedperiodapprovedbymyself/ourselvesafterthatperiod(“Expiration”forshort)commencingfromthespecifieddateoftender.Thetendershallremainbindinguponme/usandmaybeacceptedbytheEmployeratanytimebeforetheexpirationofthatperiod.我司同意在从指定的回标日期起的90个日历天或其后经我司同意延长的时间内（以下简称”期限”）遵守本投标书。在此期限届满之前，本投标书仍然对我司具有约束力，并可随时被雇主接受。4)UnlessanduntilaformalAgreementispreparedandexecutedthisTendertogetherwiththeletterofawardissuedbytheEmployerorhisrepresentativewithintheperiodmentionedinClause3hereof,shallconstituteabindingcontractbetweenus.直到制订并签署正式合同文件前，由雇主或雇主代表在本投标书第3.条所述的期限内发出的中标通知书将成为我司与雇主双方之间具有约束力的合约。5)I/WeunderstandthatitisyourintentionnottocreateanycontractualrelationsinthisinvitationtotenderuntiltheawardoftheContractandyouarenotboundtoacceptthelowestoranyTender.我司知道雇主无意在招标阶段与任何投标人建立合约关系。而雇主亦无义务必须接受所收到的价格最低的或其它任何投标书。Clause2TheEmployershallprovidethefollowingdocumentsintimetotheInvestigator,andberesponsibleforitsprecisenessandreliability.第二条：发包人应及时向勘察人提供下列文件资料，并对其准确性、可靠性负责。3.2.1ProvidetheProjectApprovalDocument(photocopy),andsiteplan(boundaryofredline),permitssuchasconstructionpermit,investigationpermit(photocopy).3.2.1提供本工程批准文件（复制件），以及用地（附红线范围）、施工、勘察许可等批件（复印件）。3.2.2ProvideInvestigationTaskAssignmentDocument,technicalrequirementandtopographicchartforthescopeofwork,architecturalmasterl
