英文合同中的不可抗力条款不可抗力FORCEMAJEURE如果遭遇无法控制的时间或情况应视为不可抗力，但不限于火灾、风灾、水灾、地震、爆炸、叛乱、传染、检疫、隔离。如不可抗力一方不能履行合同规定下义务，另一方应将履行合同的时间延长，所延长的时间应与不可抗力事件的时间相等。AnyeventorcircumstancebeyondcontrolshallberegardedasForceMajeurebutnotrestrictedtofire,wind,flood,earthquake,explosion,rebellion,epidemic,quarantineandsegregation.IncaseeitherpartythatencountersForceMajeurefailstofulfilltheobligationunderthecontract,theotherpartyshouldextendtheperformancetimebyperiodequaltothetimethatForceMajeurewilllast.凡在制造或装船运输过程中，因不可抗力致使卖方不能或推迟交货时，卖方不负责任。TheSellershallnotberesponsibleforthedelayofshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit。如果不可抗力持续6个月以上，合同双方应尽快通过友好协商的方式调整继续履行合同事宜。如果双方不能达成协议，则根据合同中第12条款通过仲裁决定。IftheForceMajeurelastover6months,thetwopartiesofthecontractshouldsettlethecaseofcontinuingthecontractbyfriendlynegotiationassoonaspossible.ShouldthetwopartiesfailtoreachanagreementwillbesettledbyarbitrationaccordingtoClause12ofthecontractthereof.买卖双方除履行付款义务外,因以下事由造成买卖任一方无法履行合同规定的义务或履行延误的,买卖任一方均不对此承担任何责任,事由具体内容如下:因不可抗力所致超出买卖任一方力合理控制范围内的不可抗力事件,不可抗力发生,及出现的不可抗力情况,包括不影响前述事由的一般情况;天灾,罢工,火灾,洪水,材料损毁;事故,恶劣天气所致无法履行义务或造成义务履行延误;海难,禁运,事故,政府当局公布的限制规定(包括配给,优先事项,征用,报价和价格控制等等)造成义务无法履行或义务履行延误.Neithersellernorbuyershallbeliableindamagesorotherwiseforanyfailureordelayinperformanceofanyobligationhereunderotherthanobligationtomakepayment,wheresuchfailureordelaysiscausedbyforcemajeure,beinganyevent,occurrenceofcircumstancereasonablybeyondthecontrolofthatparty,includingwithoutprejudicetothegeneralityoftheforegoing,failureordelaycausedbyorresultingfromactsofgod,strikes,fires,floodsdestructionofthematerial,delaysofcarriersduetobreakdownoradverseweather,perilsofthesea,embargoes,accidents,restrictionsimposedbyanygovernmentalauthority(includingallocations,priorities,requisitions,quotasandpricecontrols).因前述条款说明的事由所致,造成发货期货物交货延迟或无法交货,合同规定的卖方发货和买方接收货物的时间在此交货期则应顺延,顺延期:30(叁拾)日.Thetimeofsellertomake,orbuyertoreceive,deliveryhereundershallbeextandedduringanyperiodinwhichdeliveryshallbedelayedorpreventedbyreasonofanyoftheforegoingclauses.Uptoatotalofthirty(30)days.合同规定的交货若交货延迟或无法交货达30(叁拾)日以上,买卖任一方就此情况向合同另一方出具书面通知书之后,有权终止本合同.Ifanydeliveryhereundershallbesodelayedorpreventedformorethanthirty(30)days,eithersellerorbuyermayterminatethiscontractwithrespecttosuchdeliveryuponwrittennoticetotheotherparty.如果不可抗力持续6个月以上，合同双方应尽快通过友好协商的方式调整继续履行合同事宜。如果双方不能达成协议，则根据合同中第12条款通过仲裁决定。IftheForceMajeurelastover6months,thetwopartiesofthecontractshouldsettlethecaseofcontinuingthecontractbyfriendlynegotiationassoonaspossible.ShouldthetwopartiesfailtoreachanagreementwillbesettledbyarbitrationaccordingtoClause12ofthecontractthereof.因人力不可抗拒事故使卖方不能在本售货合约规定期限内交货或不能交货，卖方不负责任，但是卖方必须立即以电报通知买方。如果买方提出要求，卖方应以挂号函向买方提供由中国国际贸易促进委员会或有关机构出具的证明，证明事故的存在。买方不能领到进口许可证，不能被认为系属人力不可抗拒范围。TheSellersshallnotbeheldresponsibleiftheyfail,owingtoForceMajeurecauseorcauses,tomakedeliverywithinthetimestipulatedinthisSalesContractorcannotdeliverthegoods.However,theSellersshallinformimmediatelytheBuyersbycable.TheSellersshalldelivertotheBuyersbyregisteredletter,ifitisrequestedbytheBuyers,acertificateissuedbytheChinaCouncilforthePromotionofInternationalTradeorbyanycompetentauthorities,attestingtheexistenceofthesaidcauseorcauses.TheBuyers’failuretoobtaintherelativeImportLicenceisnottobetreatedasForceMajeure.如果任何一方由于自然灾害、战争、类似于战争的情况、禁令、骚乱、罢工、封锁和其他不可预见和不受控制的、若没有额外的成本和时间是不能得到解决的意外事故，而不能履行或迟延履行本合同的义务，则该方不应对另一方承担任何责任。anyPartydoesnotordelaystofulfiltheobligationsinthisContractdirectlyorindirectlyduetonaturaldisaster,wars,situationssimilartowar,embargo,disturbance,strike,blockadeandotherunpredictableanduncontrollableaccidentswhichmaynotbesolvedwithoutadditionalcostandtime,thisPartyshallnotbearanyresponsibilityfortheotherParty.如果发生了不可抗力，受影响方应在不可抗力发生后的7天内及时通知另一方，并在不可抗力发生后的15天内提交由当地相关部门印发的用于证明不可抗力发生的文件材料。双方当事人应当协商并形成最佳解决方案，用于解决因不可抗力而导致的对本合同的迟延和中断履行。如果不可抗力持续严重影响本合同项下重要义务的履行达3个月之久，则任何一方均有权以书面形式提前30天通知终止本合同。Incaseofforcemajeure,theaffectedPartyshallinformtheotherPartywithinsevendaysafteroccurringofsuchcaseandsubmitdocumentsissuedbylocalrelevantdepartmentusedtoprovetheoccurrenceofforcemajeurewithin15daysafteroccurringofsuchcase.BothpartiesshallnegotiateandreachanoptimalsolutionusedtosolvethedelayandinterruptionproblemofthisContractduetoforcemajeure.IftheforcemajeurecontinuestoseriouslyimpactimplementationofcrucialobligationunderthisContractforthreemonths,eitherofthePartyshallhavetherighttoterminatethisContractbywrittennotice30daysinadvance.如果合同一方由于不可抗力因素而不能履行合同，比如地震、台风、洪水、火灾、战争及其他无法预见的事件，其发生和后果也无法阻止、无法避免的，该方应立刻以电报通知对方，并在其后十五天内提交公证机关出具的详细的事件描述及有效文件，用以解释其无法履行合同全部或部分条款的原因。双方应通过协商，根据事件对履行合同的影响程度，确定是终止合同或是免除履行合同的责任，或延长合同的履行。Shouldeitherofthepartiestothecontractbepreventedfromexecutingthecontractbyforcemajeure,suchasearthquake,typhoon,flood,fireandwarandotherunforeseeneventsandtheirhappeningandconsequencesareunpreventableandunavoidable,thepreventedpartyshall,bycable,notifytheotherpartywithoutanydelay,andshall,within15daysthereafter,providethedetailedinformationoftheeventsandavaliddocumentforevidenceissuedbytherelevantpublicnotaryorganizationforexplainingthereasonofitsinabilitytoexecuteordelaytheexecutionofallorpartofthecontract.Thepartiestothecontractshall,throughconsultations,inaccordancewiththeeffectsoftheeventsontheperformanceofthecontract,decidewhethertoterminatethecontractortoexemptthepartofobligationsforimplementationofthecontractorwhethertodelaytheexecutionofthecontract.由于发生地震、台风、水灾、火灾、战争及其他无法预见并且对其发生和后果均不能防止或避免的不可抗力事件，致使直接影响合同的履行或者不能按约定的条件履行时，遇有上述不可抗力事件的一方，应立即将事件情况书面通知对方，并在其后15天内，提供事件详情及全部或部分合同不能或需要延期履行的理由的有效证明文件，此项证明文件应由事件发生地区的公证机构出具。按照事件对履行合同影响的程度，由双方协商决定是否解除合同，或者部分免除履行合同的责任，或者延期履行合同。ShouldeitherofthepartiesoftheContractbepreventedfromexecutingtheContractbyForceMajeure，suchasearthquake，typhoon，flood，fireandwarandotherunforeseenevents，andtheirhappeningsandconsequencesareunpreventableandunavoidable，thepresentedpartyshallnotifytheotherpartybyawrittennoticewithoutanydelay，andwithin15daysthereafterprovidethedetailedinformationoftheeventsandavaliddocumentforevidenceissuedbytherelevantpublicnotaryorganizationforexplainingthereasonofitsinabilitytoexecuteordelaytheexecutionofallorpartoftheContract.Bothpartiesshal1，throughconsultations，decidewhethertoterminatetheContractortoexemptthepartofobligationsforimplementationoftheContractorwhethertodelaytheexecutionoftheContractaccordingtotheeffectsoftheeventsontheperformanceoftheContract.如因不可抗力致使乙方不能按期完成项目，乙方不负违约责任。但乙方应在合理的时间内向甲方报告所发生的不可抗力并提供有关政府部门的证明文件。PartyBisnotliableforfailuretoperformtheparty'sobligationsifsuchfailureisasaresultofForceMajeure.However,PartyBassumesliabilityforbreach.However,PartyBshalltimelynotifyPartyAoftheoccurrenceofForceMajeureandprovidethesupportingdocumentsofrelevantgovernmentauthorities.不可抗力应指阻碍一方完全或部分履行本合同的任何事件，而且该等事件是本合同双方不能控制，无法预料，或如能预料，也不能避免的。该等事件应包括但不限于任何传染病（包括但不限于非典的再次发生）、罢工、停工、爆炸、船舶失事、天灾或公敌、火灾、水灾、破坏、意外事故、战争、动乱、军事部门干预、起义、颁布使双方履行本合同受到不利影响或阻碍双方履行本合同的法律和法规、以及任何其他类似或不同的意外事件。“ForceMajeure”shallmeananyeventwhichisbeyondthecontrolofthePartiestothisContract,andwhichisunforeseen,orifforeseen,unavoidable,andwhichpreventstotalorpartialperformancebyaParty.Sucheventsshallincludebutarenotlimitedtoanyepidemic(includingwithoutlimitationtherecurrenceofSevereAcuteRespiratorySyndrome),strikes,lockouts,explosions,shipwrecks,actsofnatureorthepublicenemy,fires,flood,sabotage,accidents,wars,riots,interferencebymilitaryauthorities,insurrections,promulgationoflawsandregulationswhichadverselyeffectorpreventaPartiesperformanceofthisContract,andanyothersimilarordifferentcontingency.“不可抗力”指本合同日期之后发生的、本合同双方无法控制的、不可预测、不可避免或不可克服并妨碍任何一方全部或部分履约的所有事件。上述事件应包括地震、台风、水灾、战争、流行病、民事骚乱及无法预计且无法阻止或控制的任何其它事件，包括一般国际商业惯例视为不可抗力的事件。为免存疑，法律或政策变化或政府行为不应被视为不可抗力事件。“ForceMajeure”shallmeanalleventswhicharebeyondthecontrolofthePartiestothisContract,andwhichareunforeseen,unavoidableorinsurmountable,andwhichariseafterthedateofthisContractandwhichpreventtotalorpartialperformancebyanyParty.Sucheventsshallincludeearthquakes,typhoons,flood,war,epidemics,civildisturbances,andanyothereventwhichcannotbeforeseen,preventedorcontrolled,includingeventswhicharerecognizedasForceMajeureingeneralinternationalcommercialpractice.Fortheavoidanceofdoubt,changesinlawsorpoliciesandgovernment'sactionsshallnotbedeemedaseventsofForceMajeure.“不可抗力事件”对一方而言，指任何不能预见、不能避免、无法克服或因其他原因而在该一方控制能力之外，并致使该一方不能履行其在本合同下的全部或部分义务的客观情况，包括雷电、台风、暴风雨、水灾、火灾、地震、或其他自然灾害、传染病、战争和内乱［以及政府部门的任何作为或不作为］。“ForceMajeureEvent”means,inrespectofaParty,anyobjectivecircumstanceswhichareunforeseen,unavoidable,insurmountableorotherwisebeyondthecontrolofthePartyandrendersperformancebythePartyofallorpartofitsobligationsunderthisContractimpossible,includinglightning,typhoon,storm,flood,fire,earthquakeorotheractsofnature,epidemic,warandcivildisobedience[andanyactoromissionofaGovernmentAuthority].如果因不可抗力事件如战争、政府干预、严重火灾、水灾、台风或地震或双方可能同意的任何事件（不得不合理地不给予同意）而妨碍本合同任何一方履行其于本合同项下的义务，则履行这些义务的时间应予延长，延长时间相等于受这些事件影响的时间；但是在本合同项下对于在不可抗力事件发生前已履行的服务的任何付款义务在任何期间内均不应终止。Ifeitherofthepartiesheretoispreventedfromperformingitsobligationshereunderbyeventsofforcemajeure,suchaswar,governmentalintervention,seriousfire,flood,typhoonorearthquake,oranycasewhichmaybeagreeduponbytheparties,whichagreementshallnotbeunreasonablywithheld,thetimeforperformanceoftheseobligationsshallbeextendedbyaperiodequaltotheeffectofthoseevents;provided,however,thatanypaymentobligationshereunderforservicesalreadyperformedpriortoaneventofforcemajeureshallnotbesuspendedforanyperiodoftime.一方因遭受不可抗力而不能全部或部分履行其在本合同项下的任何义务，可以通知另一方不可抗力的存在，条件是遭受方应在不可抗力发生和终止后十五（15）日内，分别用挂号信向另一方发出该不可抗力的起始和终止的通知，并附上有关当局的证明或公开发布的消息，证明事实真相和所提供的材料的准确性。ForcemajeurepreventingapartyfromperforminganyofitsobligationsunderthisContract,inwholeorinpart,maybeassertedagainsttheotherpartyonlyifthepreventedpartygivesnoticebyregisteredmailoftheinceptionandcessationoftheforcemajeurewithinfifteen(15)daysineachcaseenclosingaconfirmationbytheproperauthoritiesorpublishedinformationattestingtherealityofthefactsandtheaccuracyofthedatasupplied.如果不可抗力事件持续时间超过六（6）个月，双方应通过协商决定变更协议以反映不可抗力事件对履行本合同的影响，抑或终止本协议。ThePartiesshall,throughconsultations,decidewhethertoaltertheAgreementtoreflecttheeffectsoftheeventofforcemajeureontheperformanceofthisAgreementortoterminatetheAgreementintheeventthatsuchforcemajeurepersistsforaperiodofsix(6)monthsormore.对于因超出其合理控制范围的因素，如天灾、火灾、盗窃、战争、暴乱、禁运或者政府或军事当局的行为等，而造成无法履行本订单的，该方无需负责。如果由于这些意外事件而使交付推迟，任何一方应书面通知另一方：延长履行期限；或终止订单未履行部分。NeitherpartyshallberesponsibleforitsfailuretoperformduetocausesbeyonditsreasonablecontrolsuchasactsofGod,fire,theft,war,riot,embargoesoractsofcivilormilitaryauthorities.IfDeliveryistobedelayedbysuchcontingencies,eitherpartyshallimmediatelynotifytheotherpartyinwriting:extendtimeofperformance,orterminatetheuncompletedportionoftheIO.FORCEMAJEURE:不可抗力TheSellersshallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.不可抗力：对于制造或装船运输过程中可能产生的不可抗力而造成的迟交货或不能交货，卖方可以不承担责任。卖方应立即在不可抗力产生的十四日内将有关情况通知买方，并且卖方应用航空邮件将有关政府当局部门出具的证明不可抗力产生的文件寄送给买方。在此情况下，卖方仍应尽最大努力采取各种措施促使货物的发运。任何一方由于战争及严重的火灾、台风、地震、水灾和其它不能预见、不可避免和不能克服的事件而影响其履行合同所规定的义务的，受事故影响的一方将发生的不可抗力事故的情况以传真通知另一方，并在事故发生后十四天内以航空挂号信件将有权证明的机构出具的证明文件提交另一方证实。ShouldeitherpartybepreventedfromperforminganyofitsobligationsunderContractduetoeventofForceMajeure,suchaswar,seriousfire,typhoon,earthquake,floodandanyothereventswhichcouldnotbeexpected,avoidedandovercome,theaffectedpartyshallnotifytheotherpartyofitsoccurrencebyfaxandsendbyregisteredairmailacertificateissuedbythecompetentauthor
