WHEREAS：PartyAsalesgoods/providesservicesoncredit,andappliestoPartyBforfactoringservicewithrecourse.Withreferencetorelevantlawsandregulations,PartyAandPartyBafterreachinganagreementthroughnegotiations,herebyenterintothisDomesticFactoringContract(the“Contract”).

ChapterOneDefinitions

Article1

Inthiscontractandotherfilesforthisservice,unlessotherwisestated,termsaredefinedasfollows:

1.Factoringwithrecourse:PartyAtransferstoPartyBitsaccountreceivablesthatoriginatefromproductsalestopurchasers,provisionofservicesbyPartyAaswellasbaseduponotherreasons.PartyBwillprovidePartyAwithaccountreceivablesfinancingservicesandrelatedcomprehensivefinancingservices.Ifanypurchaserfailstopayoffaccountreceivableswithinanagreedperiod,PartyBisauthorizedtocollecttheoutstandingreceivables;

2.CommercialContractmeansanycontractsenteredintobyandbetweenPartyBandpurchasers,uponwhichaccountreceivablesundertheContractoccur;

3.Purchaser:Onepartyofacommercialcontract,whobuysgoodsorservicesfromPartyAandundertakesobligationofpayment.

4.AccountReceivablesmeanssole,concrete,specificandexclusive,undisputableandlegitimatecreditsderivingfromauthentic,legitimatetransactionsandrelationshipofdebtsandcreditsthatexistbetweenPartyAandpurchasers;

5.MaximumPrepayment:ThehighestamountofprepaymentforfactoringthatPartyBcouldprovideinlinewithPartyA’sapplication;

6.PrepaymentmeanstheprepaymentofPartyBtoPartyAinaccordancewiththequalifiedaccountsreceivablesbeforeitsmaturitydate.

7.RatioofPrepayment:prepaymenttocorrespondingaccountreceivableratio;

8.InterestofPrepayment:feeschargedtoPartyAforuseoffundofPartyB;

9.QualifiedAccountReceivablesmeanstheaccountreceivablesPartyAtransfersto

PartyBwhichalsosatisfiesthefollowingconditions:

(1)basedonnormallegaltraction;

(2)pricingandpaymentinRMBunlessPartyAor/andthepurchaserregisteredinbondedareaofChina;

(3)lawfullypossessedbyPartyAandtransferrable,withnodefectsoftitle;

(4)PartyAhasperformedandwillperformitsobligationsunderthecommercialcontract;

(5)otherrequirementsofPartyB;

PartyBcanprovideprepaymentforqualifiedaccountreceivablesunderthiscontract.

10.UnqualifiedAccountReceivables:accountreceivableswhichisnotqualified,or/andaccountreceivablesrepurchased;

11.CommercialInvoicemeansthewrittennoticewiththeamountandmaturitydateofaccountreceivableswhichPartyAsendstothepurchasers;

12.AccountReceivableManagement:PartyBassistsPartyAwiththeaccountreceivablemanagementunderthiscontract;

13.IndirectPaymentmeansthetransferredaccountreceivableswhichpurchasersdonotmakethepaymenttoPartyB’sdesignatedaccount;

14.Complaints:Thepurchasersrefusetoacceptthegoods/servicesorinvoicesforanyreason,orthepurchasers’claimtotheaccountreceivablesforanyreason,orthepurchasersdonotmakethepaymentfullyintimeforanyreason,orathirdpersonclaimsrightoftheaccountreceivables;

15.Deliveryofgoods:PartyAdeliversthegoodsorprovidesservicestothepurchasersinlightofcommercialcontractorinusualways;

16.RepurchaseofAccountReceivables:Whensomecircumstancesinthecontractoccurs,PartyAbearstheobligationtorepurchasetheaccountreceivablesfromParty

Bunconditionallyatthecontractualprice.

17.MaturityDateofAccountReceivables:thedateofpaymentdeterminedbycommercialinvoicesandcontractsofcorrespondingaccountreceivables,orchangeddateofpaymentwithPartyB’sconsent;

18.WorkingDays:businessdaysofPartyB,exceptlegalandpublicholidays;

19.Days:runningdays.

ChapterTwoEffectiveness,ModificationandAbolishment

ofMaximumPrepayment

Article2

AfterPartyB’sexaminationandrectification,PartyBshallissueRMB****yuan.Thetermofvalidityisfromtheeffectivedateofthiscontractto1stJanuary,2022.

TheappendixI“ListofLimitofFactoringwithRecourse”isaninseparablecomponentofthiscontract.

Article3

Themaximumprepaymentisarevolvinglineofcredit.

Article4

PartyBisentitledtomodifythemaximumprepaymentunilaterallyinlinewiththechangeofcreditstandingofthePurchaserorPartyA,andnotifyPartyAinwrittenformhereafter.ThemodificationdecisionbecomeseffectivewhenitreachesPartyA.PartyAacknowledgethatPartyBisentitledtosendtheabovemodificationdecisionbytelephoneorfaxinemergencycircumstances.

Article5

PartyAcansubmitawrittenapplicationfortheadjustmentofthemaximumprepaymenttoPartyB,ifthereissuchaneed.PartyBwillnotifyPartyAofthemodificationdecisioninwrittenformafterexamination.

ChapterThreeChoiceofFactoringServiceandTransferofAccountReceivablesArticle6

Underthiscontract,PartyAandPartyBchosethefollowingtypeoffactoringservice:(‘×’forthechosentype)

()DisclosedRecourseFactoring

()UndisclosedRecourseFactoring

()Differenttypeoffactoringfordifferentpurchaser,whichissubjecttoAppendixIArticle7

ThroughnegotiationPartyAandPartyBagreethat,inthedurationofthiscontract,PartyAsalesgoods/providesservicesoncredittopurchasers,andtransfersthefollowingtypeofaccountreceivablestoPartyB:(‘×’forthechosentype)()Allaccountreceivables.Unlessthiscontractterminates,PartyAbearstheobligationtotransferaccountreceivablestoPartyBbeforethefullrecoveryofprepayment,interest,commissionsandotherfees,evenifPartyBhasstoppedprovidingprepayment.

‘Transferofaccountreceivables’underthiscontractmeansPartyAtransferstheaccountreceivablesandallrightsthereoftoPartyBaltogetherinaccordancewiththiscontract.

Article8

Unlessotherwisestated,PartyAshallprovidePartyBthefollowingfilesinlinewiththetypeoffactoringservice:

1.Astothetransferofallaccountreceivablesindisclosedrecoursefactoring:

(1)Send“AdviceofTransferofAccountReceivables(ALL)”topurchasers,andgetthedeliveryreceipt;

(2)Submit“ConfirmationLetterofTransferofAccountReceivable”andconfirmationlisttoPartyB,aftereverydeliveryofgoodstopurchasers;

(3)Sendpurchasers“ConfirmationLetterofTransferredAccountReceivable”asrequiredbyPartyB,aftereverydeliveryofgoodsandgetthedeliveryreceipt.

2.Astothetransferofspecificaccountreceivablesindisclosedrecoursefactoring:

(1)“ApplicationofTransferofAccountReceivables”andlistoftransfer;

(2)Send“AdviceofTransferofAccountReceivables(SPECIFIC)”topurchasers,andgetthedeliveryreceipt.

3.Astothetransferofallaccountreceivablesinundisclosedrecoursefactoring:

(1)“AdviceofTransferofAccountReceivables(ALL)”signedbyPartyA

(2)Sendpurchasers“AdviceofChangeofAccount”andaskthepurchaserstotransferthepaymenttothefactoringaccount;

(3)Submit“ConfirmationLetterofTransferofAccountReceivable”andconfirmationlisttoPartyB,aftereverydeliveryofgoodstopurchasers;

(4)Submit“ConfirmationLetterofTransferredAccountReceivable”whichissignedbyPartyAtoPartyB,aftereverydeliveryofgoods.

4.Astothetransferofspecificaccountreceivablesinundisclosedrecoursefactoring:

(1)“ApplicationofTransferofAccountReceivables”andlistoftransfer;

(2)Sendpurchasers“AdviceofChangeofAccount”andaskthepurchaserstotransferthepaymenttothefactoringaccount;

(3)“AdviceofTransferofAccountReceivables(SPECIFIC)”signedbyPartyA.

5.PartyAneedstoprovidePartyBthefollowingfileswhatevertypethisrecoursefactoringis:

(1)commercialcontract;

(2)invoices;

(3)filestocertifytheperformanceofthecommercialcontract;

(4)otherdocumentsrequiredbyPartyB.

Article9

Indisclosedrecoursefactoring,“AdviceofTransferofAccountReceivables(ALL)”,“ConfirmationLetterofTransferredAccountReceivable”or“AdviceofTransferofAccountReceivables(SPECIFIC)”maynotbesendtopurchasersbyPartyB,however,PartyBreservestherighttosendaboveletterstopurchasersdirectlyoraskPartyAtonotifypurchasersatanytime.

Article10

Astothetransferofallaccountreceivables,allaccountreceivableslistedinAppendixIistransferredwhenthiscontractbecomeseffective.Astothetransferofspecificaccountreceivables,allaccountreceivableslistedinlistoftransferistransferredwhenPartyBsendsPartyA“AcceptanceNoticeofTransferofAccountReceivables”andlistoftransfer.PartyAshallassistPartyBwiththeregistrationofthetransfer.

Article11

PartyBenjoysalltherightsofPartyAundertheaccountreceivablesafterthetransfer;however,PartyBbearsnoobligationunderthecommercialcontractbetweenPartyAandpurchasers.

ChapterFourAccountReceivablesManagement

Article12

PartyBacceptsPartyA’sapplicationandprovideaccountreceivablesmanagementservice,thenPartyBshallprovidereportslistedinAppendixIItoPartyAforaccountreconciliation.TheappendixIIisaninseparablecomponentofthiscontract.

Article13

PartyAshallraiseobjectionswithinfivedaysafterthereceptionofthereports,ordeemedasnoobjection.PartyBisentitledtorenewtheaccountingtreatmentofaccountreceivablesinlinewiththiscontract,evenwhenPartyAhasnoobjection.Article14

WhenPartyAchallengesthereportsprovidedbyPartyB,bothpartiesshallcooperatewiththeaccountreconciliation.

ChapterFivePrepayment

Article15

PartyAshallapplythewithdrawalofprepaymentbasedonthemaximumprepaymentfortransferredunduequalifiedaccountreceivablesinlinewithitsownfinancialconditionsandfile“WithdrawalNoticeofPrepayment”.

Article16

PartyAacknowledgesandagrees:PartyAisentitledtodecidewhethertoacceptPartyA’swithdrawalapplication,andwhethertoprovideprepaymentforthequalifiedaccountreceivables.IfPartyBdecidestoaccepttheapplication,PartyBshallcommentandsignon“WithdrawalNoticeofPrepayment”,transferthefund,sendPartyA“ReceiptNoticeofRepayment”andchargeinterestsinlinewiththiscontract.Thereceiptnoticeisaninseparablecomponentofthiscontract.

ChapterSixPaymentafterthepurchaser’spayment

Article17

Astopurchasers’paymenttoPartyB,PartyBisentitledtousethatfundtopayoffaccountreceivableswhichPartyBbelievesshallbepaidupfirst,regardlesswhetherpurchasersdesignateanyaccountreceivables.

PartyBisentitled(butnoobligation)tousepurchasers’paymenttowriteoffprepaymentforanyaccountreceivables,unsettledinterest,unsettledmanagementfee

(ifany),unsettledinvoiceprocessingfee(ifany),overduepenaltyorotherfeeswhichPartyBisentitledtocharge.BalancewillbetransferredtoPartyA’saccountopenedinPartyB.

PartyAacknowledgesandagrees:PartyBisentitledtothefullrecoveryofprepayment,interestandoverduepenaltyfromPartyA.

Article18

PartyAshallnotifyPartyBforanypaymentofanytransferredaccountreceivables.ThereisafiduciaryrelationbetweenthetwopartiesoncePartyAreceivestheindirectpayment,andPartyBisthetrustorandbeneficiarywhilePartyAisthetrustee.

PartyAshallnotifyPartyBwhenrightsofthetrustareaffectedbeforeitistransferredtoPartyB,andassistPartyBwiththerealizationoftherights.

PartyAshallcompensatePartyBforlossesoftrustduetoPartyA’sfailureinduty.IfPartyAdoesnottransferthetrusttoPartyBintime,PartyBisentitledtorequirePartyA’srepurchaseofthecorrespondingaccountreceivablesinaccordancewiththiscontract.

OthermattersoftrustunstipulatedclearlyaresubjecttoTrustLawofthePeople’sRepublicofChina.

Article19

Ifindirectpaymentofonepurchaserhappensmorethanthreetimes(includingthree),PartyBisentitledtoannouncethatpurchaser’sallaccountreceivablesunqualified,andrequirePartyAtorepurchaseallaccountreceivablesofthatpurchaserimmediately.

ChapterSevenAdjustment,ComplaintandRepurchaseofAccount

Receivables

Article20

Foranydeductionofaccountreceivablesafterthetransfer,PartyAshallsendPartyB“ApplicationforAdjustmentofAccountReceivables”forapproval,andPartyBshalldeducttheamountofaccountreceivablestransferredaccordingly.

Article21

IfPartyAhaswithdrawntheprepaymentwhensubmit“ApplicationforAdjustmentofAccountReceivables”,PartyAshallrefundcorrespondingprepaymentandinterestunpaidinlinewiththefollowingagreement:

(1)IfPartyAhaswithdrawnalltheprepaymentaccordingtotheprepaymentratio,thentherefund=deducedamountofaccountreceivables×prepaymentratio;

(2)IfPartyAhasnotwithdrawnalltheprepaymentaccordingtotheprepaymentratio,thentherefund=Prepaymentwithdrawn－deducedamountofaccountreceivables×prepaymentratio.

IfPartyAhassufficientfundinitsdepositaccountopenedinPartyB,PartyBis

entitledtodeductthefundfromtheaccountdirectly.

Article22

PartyBshallsendPartyA“ComplaintNotice”inareasonableperiodoftimeafterreceivingpurchasers’writtencomplaintnotice.IfpurchasersfilethecomplaintdirectlytoPartyAorPartyAacknowledgesthatpurchasersmayfileacomplaint,PartyAshallnotifyPartyBinoneworkingday.

Article23

PartyBisentitledtorequirePartyAtorepurchasetheaccountreceivablesrelatedtocomplaints.
